Morris, Manning & Martin Partner Helps Navigate Complex SEC Investigations and Enforcement Actions
Help is on the way for companies and individuals trying to wade through complex Securities and Exchange Commission issues and regulations. In an authoritative new book, Inside the Minds: The Practice of Corporate Law: Leading Lawyers on Best Practices for Representing Public and Private Companies, Morris, Manning & Martin partner Ross Albert was chosen to author a chapter on navigating the rough waters of SEC investigations and enforcement actions.

The volume, published by Aspatore Books, is an authoritative, insider’s perspective on best practices for compliance with the most common corporate laws and regulations that companies face today. Albert’s selection as an author means that he has been recognized as a leader in corporate law. His chapter will accompany chapters authored by some of the most highly regarded corporate and transactional attorneys in the world, including Dennis Block, Steven Block, Clarkson Collins, Gary LeClair and Alan Reische.

Albert notes that as the SEC cracks down on corporate fraud in light of recent scandals, it is deploying more aggressive tactics to uncover unlawful practices. Companies and individuals in today’s markets may be conscious of the need to comply with stricter codes, but are often unprepared to deal with aggressive SEC investigative measures and litigation tactics. Albert’s chapter, “Defending SEC Investigations and Enforcement Actions,” sheds light from a legal standpoint on how companies and individuals can properly handle SEC investigations and protect themselves.

Using his experience as a veteran attorney in cases responding to SEC enforcement actions, investigations and regulatory inquiries, Albert provides a candid look at SEC tactics. His focus is on translating complex issues into practical reference points. Albert also draws on his wealth of regulatory and prosecutorial experience (which includes tenure as a Senior Special Council with the SEC’s Division of Enforcement, Legal Counsel to former SEC Commissioner Norman Johnson and Special Assistant U.S. Attorney with the Atlanta U.S. Attorney’s Office) to offer firsthand, expert insights into the less obvious and often unpublicized issues surrounding SEC investigations.

Morris, Manning & Martin Represents Atlantic Station, LLC in Office Building Disposition and Financing
Attorney Shawn Lanier of Morris Manning & Martin, LLP recently represented Atlantic Station, LLC in the disposition of certain air rights and related office building improvements. Lanier also represented Atlantic Station, LLC in negotiating certain aspects of the financing for the office building and related parking improvements.

Wachovia Corp. is providing a $78 million syndicated loan facility to One Market Street Office LLC, which is developing an 18-story tower at 17th and Market streets in Atlantic Station®, an expansive mixed-use development in Midtown Atlanta. One Market Street is a joint venture between American International Group Inc. and Jacoby Development Inc. The new building will be called 201 17th Street.

This is one of many deals in which Morris, Manning & Martin has represented Atlantic Station, LLC and its various ffiliates.

The law firm of Spilman Thomas & Battle, PLLC is pleased to welcome back an associate after serving as the Assistant General Counsel to the West Virginia Department of Health and Human Resources.

Christopher H. Harich joined the Charleston office in 2003. He recently served as the ssistant General Counsel to the West Virginia Department of Health and Human Resources. His primary areas of practice are occupational health and safety (MSHA and OSHA) law and employment litigation. Harich is admitted to the West Virginia State Bar, West Virginia Supreme Court of Appeals and United States District Courts for the Northern and Southern Districts of West Virginia.

WILLIAM HERBERT JOINS SGR
Smith, Gambrell & Russell LLP (SGR) has added William Herbert to its International Section as Counsel to work with its growing number of Japanese clients. He has extensive experience representing leading Japanese companies in the pharmaceutical, medical devices, biotechnology, electronics, automobile, aerospace, telecommunications, software and financial services industries. He spent 10 years living and working in Japan. He speaks, reads and writes Japanese.

Before he joined SGR, Mr. Herbert worked in Tokyo as in-house counsel to one of Japan’s largest pharmaceutical manufacturers, then at a Japanese law firm which specializes in Intellectual Property.

He received his undergraduate degree in Japan Studies and Asian Languages & Literature from the University of Washington. He earned his J.D. from the University of Washington and concurrently earned his LL.M. in Asian and Comparative Law. He has also studied at Kyoto University of Foreign Studies in Japan.

LICENSING AGREEMENT NEGOTIATED BY SAUL EWING LLP PARTNER WINS BUSINESS PARTNERSHIP AWARD
A licensing agreement negotiated by Saul Ewing LLP Business Partner Mark I. Gruhin was recognized today when Supernus Pharmaceuticals Inc. and United Therapeutics Corp. received the Montgomery County (Maryland) Department of Economic Development’s Business Partnership Award.

The award honored the definitive licensing agreement signed in June 2006 between Rockville, MD-based Supernus and Silver Spring, MD-based United Therapeutics for the development of UT-15C, United Therapeutics’ oral prostacyclin analog. Mr. Gruhin represented Supernus Pharmaceuticals in the deal, in which Supernus’ drug delivery technologies will be used in connection with the development of UT-15C.

“We are delighted to receive this award, “said Jack Khattar, President and CEO of Supernus. “This was a collaborative effort between Supernus and United Therapeutics and we are particularly grateful to our legal counsel, Mark Gruhin, for helping to make this complex deal a reality “ one that ultimately will benefit tens of thousands of patients.”

UT-15C is an oral sustained release formulation of treprostinil, the active ingredient in Remodulin® that is currently marketed for subcutaneous and intravenous treatment of pulmonary arterial hypertension. Under the license agreement, Supernus will receive milestone payments and royalties from United Therapeutics based on the sales of UT-15C.

The award was presented earlier today at the Montgomery County 2006 Workforce and Economic Development Awards Breakfast at the Montgomery County Conference Center in Bethesda, MD.

RJ&L Welcomes Three New Associates, Edward Schroeder, John Wroldsen, and Courtney Lee Tawresey
Rothgerber Johnson & Lyons LLP is pleased to announce the addition of three new associates, Edward T. Schroeder and John S. Wroldsen in the firm's Denver office and Courtney Lee Tawresey in the firm's Colorado Springs office.

Edward Schroeder's practice focuses on religious institutions law. Mr. Schroeder also represents clients in commercial and complex civil litigation involving business entities of various sizes.

Mr. Schroeder received his Juris Doctor from the University of Texas School of Law, with honors, and Order of the Coif. He received a Bachelor of Artis in Finance and History, and a Bachelor of Business Administration from the University of Oklahoma.

John Wroldsen's practice focuses on a wide array of corporate and business transactions, including venture capital financing and mergers and acquisitions. Mr. Wroldsen represents businesses in all stages of development, from start-up to multi-national clients.

Mr. Wroldsen received his Juris Doctor, magna cum laude, from Duke University School of Law. He received a Bachelor of Artis, in Latin American Studies, magna cum laude, and a Master of Secondary Education from the University of Arizona.

Courtney Lee Tawresey's practice in the Colorado Springs office focuses on religious institutions law and employment law.

Ms. Tawresey earned her Juris Doctor, cum laude, from Notre Dame Law School. She received a Bachelor of Arts, cum laude and with distinction, from Cornell University.

Rothgerber Johnson & Lyons's attorney, Ed Gleason was applauded for his work on a no-hassle trial to clear up a contract dispute. The civil tone of the attorneys, Ed Gleason for First and Main and Scott Mikulecky for Cinemark, casued 4th District Judge Thomas Kane to remark at the end of the trial that it was "fabulously lawyered."
