Rick Menson (Chicago) spoke on "Understanding the SEC's Executive Compensation Disclosure Requirements" to the American Forest and Paper Association's General Counsels Committee meeting at the Allegro Hotel in Chicago on Sept. 28. He also spoke on "Other Issues Relating to Defined Benefit Plans - Including Cash Balance Designs and PBGC Premiums" at the CBA's overview of the Pension Protection Act of 2006 on Oct. 9.

Robinson & Cole Tax Lawyer on Panel at ABA Fall Meeting
R&C Tax Lawyer, Jack Shaughnessy, was a panelist in October at the Fall Joint Meeting of the ABA Sections of Taxation and Real Property, Probate and Trust Law in Denver. The panel, hosted by the Closely Held Business Committee, addressed Planning for the Succession of Control of Assets. Jack focused on state and local tax considerations arising on change of entity. Ply Gem Completes Acquisition of Alcoa Home Exteriors
Paul, Weiss client Caxton-Iseman Capital Inc.'s portfolio company Ply Gem Industries, Inc. announced today that it has completed its acquisition of Alcoa Home Exteriors, Inc. from Alcoa Inc. in a cash transaction valued at approximately $305 million. Alcoa Home Exteriors is a leading manufacturer of vinyl siding, aluminum siding, injection molded shutters, and vinyl, aluminum and injection molded accessories. The Paul, Weiss team included M&A partner Carl Reisner and associates Miki Kondo, Denny Kwon, Emily Malone and Lindsey Wiermsa and staff attorney Trey Elmer; financing partner Eric Goodison, and associates Nadia Khattak, Gigi Parris and Joe Teichman; securities partner John Kennedy and associate Jane Danek; intellectual property partner Chuck Googe and associate Patricia Harley; environmental counsel William O'Brien; tax partners Richard Bronstein and David Mayo, and associate Sonia Inamdar; employee benefits partner Rob Fleder, associates Erin Murphy and Lauren Voss, and former associate Brooke Monahan; and corporate paralegal Peter Anderson. Buffets Acquires Ryan’s Restaurant Group in $876-Million Transaction
Today Buffets Inc., the leading owner and operator of buffet-style restaurants and one of the portfolio companies of our long-standing private equity client, Caxton-Iseman Capital, Inc., completed its acquisition of Ryan’s Restaurant Group, Inc., the leading publicly traded buffet operator, for $16.25 in cash for each outstanding share of Ryan’s common stock. The total value of the transaction, including Buffets’ assumption of Ryan’s debt, is expected to be approximately $876 million at closing. The transaction was funded through a combination of debt financings, including a high-yield notes offering and new credit facility, and also a sale-leaseback transaction. Caxton-Iseman has been a Paul, Weiss client for more than 10 years, and the firm represented Caxton-Iseman in the transaction in which it acquired Buffets in 2000. Since then the firm has represented Buffets in a number of major financings, securities and other transactions. Fulbright Partner Elected President of Houston’s Oldest Musical Group
Fulbright partner Rodney Koenig has been elected president of the Houston Saengerbund, the oldest known musical group in Houston. Founded in 1883, the Houston Saengerbund (Singing Society) was initially formed for German immigrants in Houston to join their countrymen and sing songs in the German language. Today, the Houston Saengerbund is still thriving with over 100 members and seeks new singers, as well.

The group continues to perform at public events as well as singing every Tuesday at the First Lutheran Church, located at 1311 Holman in midtown Houston.

Koenig, who grew up on a farm where primarily German was spoken, sings in two choirs a week—the Houston Saengerbund and the Christ the King Lutheran Church. When he’s not singing in Christ the King’s choir, he plays the trumpet for the church.

Koenig is also the past president of the Houston Early Music, an organization whose purpose is to present historically-informed performances of early music from the European traditions and other world cultures, mainly from the 15th and 16th centuries. He is also a board member of The Bach Society, a 24-year old group that performs the music of Johann Sebastian Bach and other composers in his tradition.

Fulbright Partners Elected to Texas Defense Counsel's Board of Directors
Fulbright partners John W. Weber, Jr., of San Antonio and Richard Thomas (Tom) Stilwell of Houston have been elected to the Board of Directors of the Texas Association of Defense Counsel (TADC) for 2006-2007. This will be John Weber’s second year as a Director at Large. Stilwell will be serving District 18, located in the Houston area. Currently, 64 Fulbright attorneys are members of this organization.

The TADC is a Texas organization of civil trial attorneys in private practice whose purpose is to bring together by association, communication and organization, lawyers of Texas who devote a substantial amount of their professional time to the handling of litigated civil cases and whose representation in such cases is primarily other than of plaintiffs' personal injury cases.

The TADC’s aim is to promote improvements in the administration of justice and to increase the quality of the service and contribution which the legal profession renders to the community, state and nation.
