Ken Myer Joins Foster Pepper PLLC
Foster Pepper PLLC is pleased to welcome Kenneth L. Myer to the firm.

Myer joins Foster Pepper as a Member in the firm’s Business practice group. Prior to joining Foster Pepper he was a Partner at Short Cressman & Burgess PLLC, focusing on Mergers and Acquisitions and Business and Corporate Planning. Myer, who has practiced law since 1973, has completed more than 300 large and small transactions representing both buyers and sellers in a wide variety of companies and businesses.

Myer received his B.A. in Accounting from the University of Washington in 1970 and his J.D. degree from Stanford University in 1973. He has been an adjunct faculty member at the University of Washington School of Business since 1975.

With offices in Seattle, Portland, and Spokane, Foster Pepper PLLC provides a full range of legal services to businesses, municipalities and individuals both regionally and across the country. In 2005, the firm entered its second century of service.

DETROIT
Tiffany A. Buckley practices in the areas of labor and employment relations and commercial litigation. Tiffany was a 2005 Summer Associate and served as an intern to The Honorable Donald E. Shelton, Washtenaw County Trial Court. She received her J.D. from the Boston College Law School and her B.S. (with honors) in psychology from the University of Michigan. Tiffany is admitted to practice in the state of Michigan and resides in Royal Oak.

Brandon R. Calvert practices in the areas of banking and financial services, corporate and real estate. Brandon was a 2005 Summer Associate and served as a legal intern at the Chicago Housing Authority Office of the General Counsel, Real Estate Division. He received his J.D. from the Chicago-Kent College of Law and his B.A. in social relations from the Michigan State University James Madison College. Brandon is admitted to practice in the state of Michigan and resides in Southfield.

Ryan W. Darnton practices in the area of commercial and business litigation. Lindsay earned her J.D. from the American University Washington College of Law where she was Editor-in-Chief and a founding member of the Business Law Review. She earned her B.A. from Vanderbilt University. Lindsay is admitted to practice in Michigan and Massachusetts. She resides in Rochester.

Ray H. Littleton, II practices in the area of commercial and business litigation. A 2005 Summer Associate, Ray also served as an intern under Governor George E. Pataki in the State of New York Executive Chamber. He earned his J.D. from the Marquette Law School and his B.A. in economics from Yale University. Ray is admitted to practice in the states of Michigan and Wisconsin and before the U.S. Court of Appeals, Sixth Circuit. He resides in West Bloomfield.

Tina M. Allen practices in the area of commercial and business litigation. Tina served as a judicial law clerk to Justice Maura D. Corrigan of the Michigan Supreme Court for two years prior to joining Dickinson Wright. She earned her J.D. (cum laude) from the University of Detroit Mercy School of Law where she was Editor-in-Chief of the University of Detroit Mercy Law Review and a member of the Frank Murphy Honor Society. Tina earned her B.A. in Psychology (cum laude) from the University of Michigan-Dearborn. She is admitted to practice in the state of Michigan and is author of the article "Gender Neutral Statutory Rape Laws: Legal Fiction Disguised as Remedies to Male Child Exploitation," 80 U. Det. Mercy L. Rev. 111 (2002). Tina resides in Livonia.

Kristy A. Deskovitz practices in the areas of real estate and corporate law. A 2005 Summer Associate, Kristy served as intern to the Honorable Judge Gerald E. Rosen, United States District Court Eastern District of Michigan. She earned her J.D. from the Wayne State University Law School and her B.A. (with high distinction) from the University of Michigan. Freddie Mac, Fannie Mae and Ginnie Mae in More Than $6 Billion of Mortgage-Backed Securities Deals in October
In October, Cleary Gottlieb represented the underwriters, including Barclays, Citigroup, Countrywide, Greenwich, HSBC, JP Morgan Chase, Lehman, Morgan Stanley and UBS, in 14 Freddie Mac, Fannie Mae and Ginnie Mae mortgage-backed transactions, totaling more than $6 billion of mortgage-backed securities in October and over $124 billion so far in 2006.

In general, the "agency" transactions involve the issuance of mortgage-backed securities, in each case guaranteed by Freddie Mac, Fannie Mae or Ginnie Mae. Ginnie Mae is part of the U.S. government, while Freddie Mac and Fannie Mae are government-sponsored, publicly-owned companies. In each transaction, the underlying assets were residential mortgage loans. The cash flows on these mortgages support the issuance of securities. The securities were issued in multiple classes, with some of the deals issuing more than 50 classes.

This type of mortgage securitization—originally known as a CMO—was pioneered by Cleary Gottlieb in 1983, and now accounts for roughly one-third of the total debt issuances on Wall Street. Economists estimate that the existence of securitizations has reduced prevailing mortgage rates in the United States by about 1/2 of 1% per annum since their introduction.

"Clark Hill attorney Paul F. Novak will present at the State Bar of Michigan Antitrust, Franchising and Trade Regulation section seminar entitled “Gasoline Pricing and the Antitrust Laws: Is there anything that can really be done about the high price of gasoline?” on Tuesday, November 14 from 9:00 a.m. – 3:30 p.m. at the Lansing Center.

Novak’s presentation focuses on price fixing under state and federal antitrust laws and price gouging under the Michigan Consumer Protection Act.

The seminar will also feature economists and attorneys from the Federal Trade Commission, the American Petroleum Institute, New York Attorney General Eliot Spitzer’s office, the Service Station Dealer’s Association of America, and Howrey and Simon (a Washington DC based antitrust law firm).

It's a Win for the U.S.A! Chicago Patent Attorneys Garner First U.S. Win in Patent Cup History
Gary M. Ropski, president of Brinks Hofer Gilson & Lione, and co-skipper, Leif R. Sigmond, a partner at McDonnell Boehnen Hulbert & Berghoff LLP, brought in the first-ever USA victory when they crossed the finish line in the Patent Cup Regatta held at The Chicago Yacht Club on Lake Michigan earlier this fall.

"This event is a wonderful opportunity for patent attorneys to develop contacts and friendships among various law firms across the world," said Ropski. "The competition was tough, but with our tactical expertise, boat-handling skills and knowledge of the local sailing conditions, we were able to win."

Participating for the first time in this event, Ropski, Sigmond and their crew sailed a Tartan 10 called the "American Flyer." In addition to Ropski and Sigmond, members of the winning U.S. team included Robert Irvine, an attorney at McDonnell Boehnen, Michael Gannon, a partner at Baniak Pine & Gannon, Matthew Kelly from the Chicago Mercantile Exchange and various local sailors who are not patent attorneys.

"This is a great opportunity for the intellectual property community," said Sigmond. "We have grown so much in the past few years."

Thirteen teams representing the U.S. and other countries, including France, Great Britain, Germany, Canada and Brazil, competed in this competitive, but friendly, sailing race. Established in 1989 by two friends, a German patent attorney, Peter Franck, and a French patent attorney, Frederic Benech, the Patent Cup, unique to the field of intellectual property law, was created to foster camaraderie and help cultivate strong relations among patent attorneys from around the world as well as provide opportunities for new and exciting sailing venues. According to the Patent Cup charter, each sailing boat must have a crew consisting primarily of patent attorneys. Every year the race is held in a different country with the host country responsible for the organization, terms and conditions of the race, the boats chosen and all other arrangements for the event.

As winners of this year's race, Ropski and Sigmond have the honor of exhibiting the handsome silver "Patent Cup" in Chicago until next year's race, which is scheduled to be held in Scotland.

Ropski is the president of Brinks Hofer Gilson & Lione and has practiced intellectual property law exclusively since joining Brinks in 1976. His practice now focuses on litigation, but has included patent prosecution and litigation, trademark prosecution, including oppositions, and litigation, trade dress litigation, copyright registration and litigation, trade secret litigation, right of publicity counseling and litigation and related unfair competition and antitrust matters in federal and state courts. He races a Shields one-design sailboat in Chicago during the summer months, and has consistently been second in the fleet championship series.

Weil Gotshal Advises on Lion Capital on the Sale of Materne
International law firm, Weil, Gotshal & Manges, is advising Lion Capital on its agreement to sell Materne, a leading French manufacturer of compote, jams, and industrial preserves, to Activa Capital for an undisclosed sum. The transaction is expected to close in late November.

Weil Gotshal’s London Office Completes First Deal for European Capital
International law firm, Weil, Gotshal & Manges, has acted for private equity firm European Capital, on the acquisition of Whitworths Limited. Founded in 1886, Whitworths' product range covers a variety of food products and it is the leading UK supplier of branded and private label dried fruit and nut based products used for healthy snacking and home cooking and baking. In addition to selling to the retail channel, Whitworths supplies a range of blue-chip industrial customers. European Capital's investment in Whitworths takes the form of senior facilities, subordinated debt and equity. European Capital is also providing a revolving credit facility.

This is the first deal the London office of Weil Gotshal has completed for European Capital. Managing Partner Mike Francies, led the team assisted by associates David Allen and Oliver Williams. Associate Jane Scobie advised on tax matters and financing advice was provided by associate Michael Nicklin with Helen Parkinson and John Britton. Rupert Jones, of counsel, provided property advice and partner Barry Fishley provided IP advice.

European Capital is a buyout and mezzanine fund with capital resources of approximately €1.7 billion ($2.2 billion). European Capital invests in and sponsors management and employee buyouts, invests in private equity buyouts and provides capital directly to private and mid-sized public companies. European Capital generally invests from €5 million to €200 million per transaction in equity, mezzanine debt and senior debt to fund growth, acquisitions and recapitalizations.
