A new dawn in Irish company law - The new Company Law Reform and Consolidation Bill
The Company Law Review Group (CLRG) is a statutory body established to advise the Minister for Enterprise, Trade and Employment (the Minister) on the reform and modernisation of Irish company law.
Gavin O'FlahertyMary Harney (the then Minister) asked the CLRG on its formation in February 2000 to “examine the simplification of company law as it applies to small and medium companies” . The stated policy of the CLRG is to “think small first”.

The process to consolidate and modernise Irish company law was initiated in response to the increasing complexity of Irish company law which is currently based on 12 Acts, numerous Statutory Instruments and other provisions derived from both common law and EU Law. The UK is currently undergoing (albeit a little further down the line) the same process with the UK Companies Bill which is currently working its way through the British Parliament to much debate.

The CLRG has since its formation published three full reports, one separate report (on Directors’ Compliance Statements) and three minor reports. It has also fed into the enactment of the Company Law Enforcement Act 2001, the Companies (Auditing and Accounting) Act 2003, the Investment Funds, Companies and Miscellaneous Provisions Act 2005, and various statutory instruments transposing European Directives on accounting law, prospectuses, insider dealing, market manipulation and public company takeovers. It is currently engaged in the process which will lead to the transposition of the Transparency Obligations Directive.

Ortho Evra weekly birth control patch target of lawsuit
The maker and distributor of a widely used once-a-week birth control patch were the targets of lawsuits filed Wednesday in San Francisco by the mother of a 25-year-old woman who died after using the patch and by 44 other women who blame the device for blood clots and other illnesses.
The Superior Court suits are among about 800 filed nationwide against Ortho-McNeil Pharmaceutical Co., manufacturer of the Ortho Evra patch, said plaintiffs' lawyer Shawn Khorrami. He said the San Francisco connection to the case is that another defendant, McKesson Corp., which distributes the device, is based in the city.
Ortho-McNeil spokeswoman Julie Keenan declined to comment on the suit or the product, saying the company does not discuss pending litigation. The company's Web site says a recent study by the Boston Collaborative Drug Surveillance Program, a prominent pharmacological research organization, examined the risk of women suffering certain types of blood clots and found no difference between Ortho Evra and oral contraceptives. Ortho-McNeil, based in New Jersey, is a subsidiary of Johnson & Johnson.

New York Power Authority Executive Joins Hiscock & Barclay
David E. Blabey, former Executive Vice President, Secretary and General Counsel of the New York Power Authority, has joined the Albany office of Hiscock & Barclay, LLP, bringing with him expertise in New York State energy policy matters, project licensing, siting and permitting as well as corporate governance. Blabey has also served as General Counsel to the New York State Public Service Commission and as Counsel to the New York State Senate Energy Committee. He will concentrate on serving energy producers, developers and electric, gas, telecommunications, and water utility clients.

In his capacity as a senior member of the Authority’s management team, Blabey reported directly to the Authority’s Chairman, supervised a department of 57, and regularly interacted with the Presidents, Commissioners, Executive Directors and Senior Staff of the Governor’s Office, New York State Public Service Commission, New York State Department of Environmental Conservation, New York State Energy Research and Development Authority, Long Island Power Authority, New York Independent System Operator, Electric Power Research Institute, New York City Economic Development Authority, Municipal Electric Utility Association, and the New York Transmission Owners. Blabey also supervised preparation of major revisions to the Authority’s general bond resolution, developed numerous draft Preliminary Offering Statements in relation to Authority debt issuances, implemented ethical procedures and practices for Authority employees, and prepared a revised Code of Conduct for such employees.

Rebecca Gardner Joins Hanson Bridgett as Associate
Rebecca Gardner has joined Hanson, Bridgett, Marcus, Vlahos & Rudy as an associate in their Sacramento office. She joins partner Jack Johal and associate Wendy Tauriainen in the Estate Planning and Administration Section of that office, as well as Hanson Bridgett's three estate planning attorneys in their San Francisco office. Gardner's practice focuses on estate planning, trust administration, probate matters and asset protection. She honed her estate planning and administration skills for 3 years with her previous firm.
