Covington’s Richard Mosier Recognized as a "Rising Legal Star" by Hispanic Bar Association of DC
Covington & Burling LLP senior associate Richard D. Chaves Mosier was recognized as a “Rising Legal Star” by the Hispanic Bar Association of the District of Columbia at its 29th Annual Equal Justice Awards Reception. The rising stars represent the next generation of leaders in their respective fields.

Mr. Mosier is a senior associate in the firm's litigation, international, and antitrust practice groups. He has litigated antitrust, patent, and other cases before the International Trade Commission, federal circuit courts of appeal, federal district courts, and various state courts. Mr. Mosier has also been the lead organizing lawyer on litigation matters staffed nationwide. In addition to antitrust litigation and counseling, his experience on general civil litigation and other matters include First Amendment issues, trade secret cases, unfair competition claims, defamation charges, contract disputes, as well as white-collar criminal defense.

Mr. Mosier is a member of the firm’s Diversity Committee and was tapped by the firm to participate in a special Working Group focused on diversity matters. He is a graduate of the University of Southern California (B.A., cum laude, 1993), Yale University (M.A., 1994), and Stanford Law School (J.D., 1998). He served as a law clerk to the Honorable Donald C. Nugent in the Northern District of Ohio from 1998-2000.

The Hispanic Bar Association of the District of Columbia (HBA-DC), was founded in 1977 as the Hispanic Lawyers Association. Its membership includes several hundred lawyers practicing in Washington, D.C., Maryland, and Virginia, as well as Hispanic students attending local law schools, and other non-lawyers, who join as associate members.

Global Equity Services Lawyers Join Baker & McKenzie LLP in New York
Baker & McKenzie LLP expanded its Global Equity Services Practice Group with the addition of three lawyers in its New York office. Partners June Anne Burke and Kate Clancy, and associate Nicole C. Calabro join the Firm from Mercer Human Resource Consulting LLC.

“We welcome June Anne, Kate and Nicole to the Firm. Their experience in the tax, legal and accounting aspects of global equity plans, including design, administration, compliance, recharge programs, option exchanges, repricings and mergers and acquisitions, will complement and strengthen our existing Global Equity Services team and deepen our strength in the East Coast market,” said Edward Burmeister, Chair of the Global Equity Services Practice Group in San Francisco. “By adding talented lawyers of the standing and reputation of June Anne, Kate and Nicole, we are on track with supporting the Firm’s long-term growth strategy in key practice groups and locations.”

June Anne Burke was head of Mercer’s Global Equity Group. Burke has extensive experience advising clients on the tax, legal and accounting considerations of awarding equity and other long-term incentives to employees, joint venture employees, and non-employee directors worldwide in connection with the strategy and design, program implementation of spin-offs, IPOs, mergers & acquisitions, option repricings, option exchange programs, plan terminations, and compliance audits. She also has coordinated governmental filings, prepared employee and employer tax summaries, country feasibility reports, compliance manuals, and design and implementation of chargeback programs. Burke received her J.D. from the University of Connecticut School of Law in 1979, and has completed a substantial amount of coursework toward her LL.M. in Taxation at New York University School of Law. She received her B.A. from Wellesley College in 1976.

Kate Clancy’s practice focuses on global equity plan design, implementation, corporate income tax deductions, global feasibility studies, compliance reviews and guidelines, employee communications, option exchange programs, IPOs, mergers and acquisitions, and spin-offs. She received her J.D. in 1981 from the University of Detroit School of Law, and B.A. from Michigan State University in 1977.

Nicole C. Calabro advises multinational companies in the implementation and ongoing compliance of their equity compensation plans dealing with issues such as securities law compliance, tax obligations, data privacy, exchange control and labor law compliance. She received her J.D., magna cum laude, from Pepperdine University School of Law, and LL.M. in Taxation from New York University School of Law. She received her B.A. from University of Maryland in 1992.

Commenting on the additions, David Hackett, the Firm’s North American Managing Partner, said, “We are delighted that June Anne, Kate and Nicole have joined the Firm. We are committed to expanding our capabilities in New York and in our key regional practice specialties. Attracting talent of their calibre advances those objectives and enhances our ability to serve the North American and global needs of our clients.”

Last month, Baker & McKenzie announced a new strategy and management team for New York. The Firm plans to significantly add to the size and depth of its New York practices, with special emphasis on corporate and banking transactional practices (including M&A, private equity, securities, and banking and finance), litigation, tax and intellectual property. Headlined by the September 2005 acquisition of Coudert’s flagship office in New York, which more than doubled Baker & McKenzie’s presence in the city, the Firm continues its steady growth in New York with key additions in M&A and banking & finance law since 2004 that include Laurence Pettit, Martin Weisberg, David Spencer, Roslyn Tom, Howard Jiang, Robert Grauman and, just recently, Jonathan Stapleton and Margaret Paradis.

Kathleen Wu Receives Louise B. Raggio Award
Andrews Kurth Partner Kathleen Wu has been named the 2006 recipient of the Louise B. Raggio Award from the Dallas Women Lawyers Association.

The Louise B. Raggio Award is awarded to a Dallas-area attorney who has worked to advance women in the legal profession, shown outstanding legal proficiency and the highest level of ethics, and made a significant contribution to the profession.

Wu received the award at the annual DWLA Judicial Reception on Thursday, November 2 at the Starlight Room in downtown Dallas’ West End. The keynote speaker for the evening was the Honorable Judge Jane Boyle.

“We at Andrews Kurth are very proud of Kathleen for this significant accomplishment, said Managing Partner Howard Ayers. “Her personal and professional dynamism continue to be an outstanding asset to our clients and the firm as a whole, and to everyone around her. We congratulate Kathleen for this welldeserved recognition.”

Kathleen joined Andrews Kurth in 1987 and has served as Hiring Partner and Managing Partner of the firm’s Dallas office. She now serves on the firm’s Policy Committee. She has been recognized as one of the top real estate lawyers in Texas on several occasions. She was named a Texas Super Lawyer in 2006, 2005, 2004 and 2003 and is a perennial recipient of D Magazine’s Best Lawyers in Dallas recognition. In 2003, Texas Lawyer named her one of the top six “go-to” real estate lawyers in Texas.

“I’m unbelievably gratified and humbled by this award,” says Wu. “The past recipients—Barbara Lynn, Harriet Miers and many others—are truly remarkable women. I’m honored to be in their company.”

She is a speaker and author on multiple issues affecting women in the workplace, including articles in the National Law Journal, Texas Lawyer and Legal Times. For her column in Texas Lawyer, Wu has twice been named a finalist for the Association for Women Journalists’ Vivian Castleberry Award.

Dennis Lalli Addresses ORC Worldwide Conference on Employee Privacy Issues
On October 27, 2006, Dennis Lalli made a presentation on "Employer Monitoring of Employee Electronic Communications" at a meeting of the Employment Law & Litigation Group of ORC Worldwide. The audience consisted of in-house labor and employment counsel from more than 25 of America's largest corporations. ORC Worldwide, formerly the Organizational Resources Council, is a major advocate of employer interests that regularly conducts professional education programs and independent research, and provides extensive human resources support on a wide range of policy, technology, labor relations, and employment issues.

Growth in M&A to continue despite ' disturbing wave of protectionism
New analysis of global flows of Foreign Direct Investment (FDI) conducted by the Economist Intelligence Unit (EIU) and commissioned by Clifford Chance suggests that the high level of cross-border Mergers & Acquisitions is likely to continue, though at a slower growth rate.

The analysis identifies many positive factors which are expected to push FDI flows upwards. Equally possible constraining factors are expected to include the impact on FDI flows of different Government approaches to M&A activity. The EIU’s 'baseline' prediction of FDI flows (which are very closely associated with the value of cross border M&A) is that after strong growth in 2004, 2005 and 2006 (where FDI flows are predicted to grow by 22 per cent), the average annual growth rate for 2006 to 2010 will be around 8%.

As alternative scenarios to its baseline forecast, the EIU offers a 'boom' and 'backlash' scenario. The creation of an encouraging environment for cross border M&A (the boom) could create additional global value of nearly US$2 trillion over the EIU baseline predictions for FDI inflows between 2006 and 2010. By contrast, a more protectionist approach (the backlash) could impair FDI flows by as much as 20% per annum against the EIU baseline prediction.

Peter Charlton, global head of M&A at Clifford Chance, said:
"Protectionism is certainly increasing but as we've seen in Europe we feel the economic forces driving M&A will prove irresistible."

Other highlights include:
Asia bookends the analysis with the highest and lowest FDI inflows per head over the last five years: Singapore is ranked first, Indonesia last of the world’s 82 leading economies. Belgian, in third place overall, is the largest European beneficiary of FDI inflows per head of population, with Ireland in fourth place and the Netherlands fifth. The UK is placed seventh, France 11th and the USA 22nd.

Ashurst announces strong half-year performance
International law firm Ashurst today announces a significant increase in revenue for the half-year ended 31 October 2006. Revenue in the last six months was £117 million. This represents a 28 per cent increase on the first six months of 2005/6. The increase in revenue consolidates the firm's successful 2005/6, which saw average profits per partner increase by 23 per cent.

Simon Bromwich, managing partner of Ashurst, said:

"Ashurst has had a very strong six months. We are extremely busy and growing across all practice areas and offices. In particular, our business in Germany has undergone a period of notable expansion and success. We are looking to build on this platform and deliver excellent full year results.

The end of a controversy for some distribution agreements
If a distribution agreement relating only to non-Belgian territory provides that Belgian law applies, but does not expressly refer to the 27 July 1961 law on unilateral termination of exclusive distribution agreements of indefinite duration ('the Belgian Distribution Law'), then that law does not apply.

The Belgian Distribution Law is striking in the Belgian and European legal context as it interferes significantly with the parties' contractual freedom to terminate a distribution agreement and is very protective of distributors.

Whether a mere reference to Belgian law as the law governing a distribution agreement relating only to non-Belgian territory implies that the termination of the agreement is governed by the Belgian Distribution Law (a law of mandatory effect when Belgian territory is concerned) has been debated for many years.

The Belgian Supreme Court put an end to that controversy in a recent decision of 6 April 2006: the Court stated that if a distribution agreement relating only to non-Belgian territory provides that Belgian law applies, but does not expressly refer to the Belgian Distribution Law, then that law does not apply. The rules of the Belgian Civil Code and general Belgian contract law will apply to the agreement and to its unilateral termination.
