Willkie Advises Teksid Aluminum in $497 Million Asset Sale
TK Aluminum Ltd., the indirect parent of Willkie client Teksid Aluminum Luxembourg S.à r.l., S.C.A., announced that it has entered an agreement to sell certain assets to Tenedora Nemak, S.A. de C.V., a subsidiary of ALFA, S.A.B. de C.V. for $496.8 million in cash and a synthetic 11.5% equity interest in the Nemak business post-closing. The agreement calls for the company to sell most of its assets in North America and all of its operations and interests in South America, China and Poland. Teksid Aluminum is a leading independent manufacturer of aluminum engine castings for the automotive industry. The company operates 15 manufacturing facilities in Europe, North America, South America and Asia. The transaction was handled by partner Thomas Cerabino and associates Mark Cognetti, Margaret Mansouri, Christopher Peters and Christopher Freeland.

Willkie Assists Nomura in acquisition of Instinet From Silver Lake
Willkie client Nomura Holdings, Inc. announced that it has agreed to purchase global agency-broker Instinet Inc., a major provider of electronic trading services for institutional investors, from private equity firm Silver Lake Partners. Tokyo-based Nomura, one of Japan's largest financial services providers, will acquire Instinet through a subsidiary in an all cash transaction. The acquisition will allow Nomura to match its strong client base with Instinet’s advanced trading platforms and products, especially in Asia and Europe, where electronic trading continues to grow. The transaction gives Nomura an additional 1,500 institutional clients worldwide, including mutual funds, hedge funds, and pension funds. The deal was handled by partners Daniel Rubino and Kelsy Nix; special counsel Martin Miller; and associates Aaron Katzel, Leslie Spencer, Katherine Schroeder, Johanna Ferraro, Sophie Bosquet and Kathryn Fugina.

Vinson & Elkins Advises Endeavour International Corporation in $400 million Deal
Vinson & Elkins advised Endeavour International Corporation, the North Sea-focused energy company, on its successful acquisition of Talisman Expro Limited, a subsidiary of Talisman Energy Inc.. The deal completed on 1 November for a purchase price in excess of $400 million. As a result of the transaction, Endeavour bought interests in eight oil and gas fields in the Central North Sea section of the UK Continental Shelf.

The V&E team in London was led by partner Alex Msimang and assisted by Claire Roberts and Anna Chard.

"This transaction is a perfect example of the ongoing surge in energy M&A activity and, in particular, it proves there is significant life left in the North Sea as a target area for our clients and therefore for us," said Mr. Msimang.

Talisman was advised by a team from CMS Cameron Mckenna, including partners Stephen Miller and Andrew Sheach.

Kimberly deBeers Serves on Securities Laws Conference Panel
Chicago corporate partner Kimberly deBeers took part in the Chicago session of the Practising Law Institute's "Understanding the Securities Laws 2006" seminar held November 2-3. (Other sessions were held in New York City on September 7-8 and San Francisco on September 14-15, and an additional session will be held in New York City on December 11-12.) Ms. DeBeers was among the panelists discussing "Corporate Takeovers and Mergers & Acquisitions." The panel discussed regulation of tender offers, defending against tender offers, straight and triangular mergers, stock acquisitions, securities law requirements and more.

Law firm Thelen forges ties in Big Apple
Thelen Reid & Priest LLP agreed to merge with a New York firm in a deal that will more than triple Thelen's presence in the Big Apple and expand the firm's technology-related business.

The linkup with Brown Raysman Millstein Felder and Steiner LLP will become official Dec. 1. . . .

San Francisco-based Thelen Reid has been emphasizing growth in recent years. Like many law firm leaders, Thelen Reid's chairman Stephen V. O'Neal has said the firm must get larger to compete for some of the biggest and most lucrative deals.

"When we combine, you [will] have a firm that can service all the needs of any multinational corporation," said O'Neal.

The merged firm will be called Thelen Reid Brown Raysman & Steiner LLP and will have more than 610 lawyers and estimated revenues of $380 million.

That will place the firm among the 50 largest in the nation. O'Neal will be co-chair of the unified firm along with Julian Millstein, a founder of Brown Raysman. . . .

. . .Brown Raysman's technology practice also gives Thelen Reid more exposure to tech-related business, which can be a fast growing area.

Thelen, founded in San Francisco in 1924, got its start in the construction industry with clients including the founders of Bechtel Group Inc. and notes industrialist Henry J. Kaiser. The firm later represented the companies that built the Hoover Dam, the San Francisco-Oakland Bay Bridge, and Golden Gate Bridge.

Thelen has pulled off a major merger before. In 1998, San Francisco's Thelen Marrin Johnson & Bridges merged with New York's Reid & Priest LLP, creating a firm of 350 lawyers.

KROC CENTER DEAL READY FOR DULUTH CITY COUNCIL
Attorneys for the Salvation Army and the city of Duluth hammered out the agreements needed for construction of the long-awaited $20 million Ray and Joan Kroc Corps Community Center in West Duluth, Minn. But there's still lots of political maneuvering left to do.

Rider Bennett attorney, Doug Franzen, represents the Salvation Army. "We have reached a deal on a staff level," says Franzen. "I expect us to have something final in place before the end of the year.

Vicki R. Harding of Pepper Hamilton Speaks at Bankruptcy Seminar
Vicki R. Harding, a partner with Pepper Hamilton LLP, recently spoke at the Institute of Continuing Legal Education’s “Homeward Bound: Bankruptcy Sale and Lease Issues – Mastering the Maze” seminar, which took place on November 2, 2006 in Troy, Michigan.

Ms. Harding participated in two panel discussions: “Buying and Selling Real Estate Out of Bankruptcy” and “Leasing and Bankruptcy.” The discussions centered around the interaction between bankruptcy and real estate law that arises in connection with bankruptcy sales and leases. Other panelists included the Honorable Phillip J. Shefferly, Bankruptcy Judge, U.S. Bankruptcy Court for the Eastern District of Michigan

Ms. Harding concentrates her practice in commercial transactions with an emphasis on real estate and bankruptcy issues. She represents clients in a broad range of matters involving real estate, including real estate acquisitions and dispositions, financings and workouts, and leasing and zoning. Ms. Harding is a member of the American College of Real Estate Lawyers and is listed in Who’s Who Legal: USA - Real Estate 2006.

The seminar is part of the “Homeward Bound” seminar series, which is co-sponsored by ICLE and the State Bar of Michigan Real Property Law Section.
