Carl Singley Joins WolfBlock as Counsel
WolfBlock announced today that Philadelphia attorney Carl E. Singley will join the firm as counsel, effective Monday, November 6.

Singley, a leader in Philadelphia's legal and political communities for decades, will take on numerous special projects, business development and other administrative functions. He has practiced law in both the public and private sectors while also spending decades as a legal educator and administrator. He was a business litigator for nearly 20 years before leaving private practice earlier this year.

In the public sector, Singley served as the first deputy city solicitor for the City of Philadelphia and as special counsel for the MOVE Commission, Philadelphia City Council and SEPTA. As an educator, he taught law at Temple University for 30 years, serving as dean of the university's law school in the mid-1980s; he is now a professor emeritus there.

Singley has served on numerous civic and nonprofit boards and has published many articles and essays on a variety of topics. He holds degrees from Yale University (LL.M.), Temple (J.D.) and Talladega College (B.A.).

Executive Compensation Group Advises Senior Management on Encore Medical's $870 Million Merger
On November 3, Encore Medical Corporation closed on a definitive merger agreement with a company newly formed and controlled by Blackstone Capital Partners V L.P. in a going private transaction valued at $870 million. Willkie’s Executive Compensation and Employee Benefits Department represented members of Encore’s Senior Management Team in the transaction. Encore develops, manufactures and distributes a comprehensive range of surgical reconstructive implant products, and orthopedic devices used for rehabilitation, pain management and physical therapy. The deal was handled by partner Stephen Lindo and associates David Rubinsky, Matthew Rizzo and Jordan Messinger.

White & Case in High Yield Double First
White & Case acted for Cablecom Luxemburg S.C.A ("Cablecom"), a subsidiary of Liberty Global Europe Inc. ("Liberty Global"), in its €300 million issue of 8% Senior Notes due 2016, which is the first ever dual issuer structure offering in the European high yield market. This means that in the event of Cablecom becoming a direct or indirect subsidiary of UPC Holding B.V. ("UPC Holding"), another subsidiary of Liberty Global, all of Cablecom’s obligations under the Notes would be assigned to UPC Holding. On the assignment of the debt from Cablecom to UPC Holding, the terms of the Notes, including the covenants, would be modified to become substantially identical to the terms (other than interest, maturity and redemption provisions) of the existing Senior Notes of UPC Holding outstanding on the issue date of the high yield Notes. JP Morgan and Deutsche Bank were Joint Bookrunners and Joint Lead Managers for the high yield issue.

"The high yield market is evolving at speed, not just in terms of geographical expansion and a sharply rising volume of deals, but also in the form of increasingly sophisticated transaction structures," commented Rob Mathews, lead White & Case partner advising on the Cablecom deal. "Although the structure of this deal is unlikely to be repeated, what it does show is the potential flexibility of the high yield product."

The White & Case team acting for Cablecom was led by partner Rob Mathews in London, working closely with partner Christopher Kandel, counsel Colin Chang and associates Tina Lee, Kim Lubbe and Katharine Summerley in London and partner Ray Simon and associate Wilda Lin in New York.

This is not the first time that White & Case has worked with Cablecom. Last year the Firm represented United ACM Holdings, another subsidiary of Liberty Global, on its US$2.19 billion acquisition of Cablecom, advising on the acquisition and the financing.

In a separate deal that was also another first in the high yield market, White & Case advised Invitel Holdings N.V. ("Invitel Holdings"), the parent of Hungarian telecommunications company Invitel, on its offering of €125 million Floating Rate Senior PIK Notes due 2013, which was the first issue of a PIK Note in Central and Eastern Europe. The proceeds of the offering were used to finance a payment to the company’s private equity shareholders. Credit Suisse acted as Sole Bookrunner and Lead Manager, with BNP Paribas acting as Co-Lead Manager.

"PIK issues have risen sharply in Europe this year as sponsors have looked to take returns on their equity in a buoyant capital market," explained Rachel Hatfield, head of the White & Case’s London high yield practice and lead partner advising on the deal. "The use of high yield in emerging markets is on the rise. What were historically distinct financing techniques and covenant packages in the emerging market corporate debt sector and the European high yield sector are showing signs of converging. As one of the world's leading emerging markets firms, this plays well to our strengths."

The White & Case team advising Invitel Holdings was led by partner Rachel Hatfield, working closely with counsel Colin Chang and associate.

Firm's Boston Office Holds Fourth Annual Golf Tournament to Benefit Special Olympics Massachusetts
Robins, Kaplan, Miller & Ciresi L.L.P., a national law firm located in Boston, recently held its fourth annual golf tournament to benefit Special Olympics Massachusetts. The event held this past October took place at the prestigious Myopia Hunt Club in South Hamilton, MA.

Robins, Kaplan, Miller & Ciresi L.L.P. is expected to present a check to the organization for close to $50,000 for this year's event. This contribution will bring the four-year total to over $150,000 raised for Special Olympics athletes in Massachusetts.

"The partners, associates and staff of Robins, Kaplan, Miller & Ciresi L.L.P. are very thankful for the support of so many clients, friends and colleagues who made this year's fourth annual golf tournament to benefit Special Olympics Massachusetts another great success," stated Anthony A. Froio, regional managing partner. As part of the tournament, Special Olympics athlete Keith Peabody, a Wilmington resident spent the entire day on the golf course challenging golfers in the closest to the pin contest during the event.

The evening concluded with a moving speech by Amesbury Special Olympics athlete Kelly Dwan, a global messenger for the organization. Dwan who has given countless speeches about the benefits of Special Olympics spoke to the crowd about her years as a Special Olympics athlete and what the organization means to her and her family.

Leonard Schneidman, International Tax Lawyer, Joins Pepper Hamilton's Boston Office
Pepper Hamilton LLP announced that Leonard Schneidman, an international tax lawyer active in advising private investment funds, has joined the firm as of counsel in the Boston office.

“Len is a well-known and well-respected attorney, and his addition to our new Boston office will enable us to grow with strength there,” said Robert E. Heideck, Pepper’s executive partner. “His experience in international tax matters is tremendous, and it compliments our tax practice perfectly.”

Mr. Schneidman focuses his practice on U.S. and international tax planning and the tax aspects of corporate transactions. He is a Fellow of the American College of Tax Counsel and a member of the Executive Committee of the Federal Tax Institute of New England.

He is the author of the book, U.S. Taxation of Foreign Portfolio Investors: A Practical Guide to Taxation in the U.S. Capital Markets (Boulder Publishers, Inc., 2006; www.SchneidmanOnTaxation.com).

“It is a pleasure to be with Pepper and exciting to be part of the firm’s newest office,” said Mr. Schneidman. “The firm’s tax practice is a nice fit with mine, and the depth and breadth of the corporate practice will be great assets to my practice.”

Mr. Schneidman’s practice includes advising with regard to federal income tax planning issues for off-shore private investment funds; assisting U.S. companies in the tax-efficient structuring of their activities abroad, principally in Western Europe; counseling foreign clients on the tax-efficient structuring of their investments in the United States; counseling domestic and foreign clients on U.S. federal income tax planning for their intellectual property assets; and advising with regard to federal income tax planning for domestic and cross-border mergers and acquisitions.

Before joining Pepper, Mr. Schneidman was a partner with Foley Hoag LLP, where he had been chairman of that firm’s Taxation Department. He also served for two years as an attorney-advisor to Judge Graydon G. Withey of the United States Tax Court.

Mr. Schneidman is active in many organizations, including the American Bar Association’s Tax Section, where he is co-chair of the Task Force on International Tax Reform, and a former chairman of the Tax Section’s Committee on U.S. Activities of Foreign Taxpayers and Tax Treaties. He also is a frequent lecturer on tax and related topics.

He is listed in The Best Lawyers in America; Euromoney’s Guide to the Leading U.S. Tax Lawyers; and Chambers USA – America’s Leading Lawyers for Business.

Rom of Pepper Hamilton Appointed to University of Michigan Law School's Dean's Advisory Council
Barbara Rom, a partner with Pepper Hamilton LLP and the partner in charge of the firm’s Detroit office, has been appointed to a three-year term on the inaugural Dean’s Advisory Council by the Dean of the University of Michigan Law School. The Council will serve as a source of external advice and guidance for academic and related programs, and will help chart the future course of the Law School.

Ms. Rom, who received her J.D. from University of Michigan Law School in 1972, concentrates her practice in workouts, bankruptcy, insolvency and commercial litigation, and is certified as a business bankruptcy specialist by the American Board of Certification – the nation’s premier legal specialty certification organization. She is a fellow of the American College of Bankruptcy, and was designated a Life Delegate by the U.S. Court of Appeals for the Sixth Circuit, for which she served on the Rules Advisory Committee.

Ms. Rom is named in The Best Lawyers in America and has been selected by Crain’s Detroit Business as one of “Detroit’s Most Influential Women.” She is a member of the Michigan Gaming Control Board.

Pepper has been practicing in downtown Detroit since 1979, and was one of the first national law firms to enter the Detroit market. Lawyers in the office handle bankruptcy and reorganization, corporate and securities (including venture capital and SBIC), environmental (litigation and regulatory), labor and employment, litigation, public finance, real estate and tax matters. Orrick Supports Sacramento Women's Initiative
The Sacramento Business Journal identified Orrick as a signatory of the Sacramento No Glass Ceiling Initiative, which pledges to involve women attorneys in all aspects of firm management, equalize retention rates between men and women and adopt part-time and flexible-leave schedules for all lawyers. Orrick is one of thirteen signatories to this initiative.
