LeBoeuf Lamb advises EnCore Oil plc on North Sea acquisitions
International law firm LeBoeuf, Lamb, Greene & MacRae is advising EnCore Oil plc on the acquisition of four oil and gas exploration companies: privately held Virgo Oil & Gas plc and Virgo Energy Limited, Nido Petroleum (UK) Limited, a UK subsidiary of Australian-listed Nido Petroleum Limited, and Grove Energy (UK) plc, a UK subsidiary of Toronto and AIM-quoted Grove Energy Limited.

The acquisitions will be implemented by way of share exchange. Approximately 15% of the enlarged share capital of EnCore will be issued to the vendors at completion.

This transaction represents a continuation of EnCore's recent acquisition activities, which have broadened and deepened its UK offshore North Sea exploration asset portfolio and has significantly increased its presence in the southern North Sea gas basin, as well as providing additional drilling opportunities.

This is the latest in a series of diverse transactions on which LeBoeuf Lamb has advised EnCore, including the setup and initial financing of the EnCore business in 2005, and its reverse takeover with Oil Quest Resources plc in March 2006, which brought the business to the AIM market.

The LeBoeuf Lamb team was led by energy partner Keith Hughes, who was assisted by associates Kimberley Wood, Paul Dufays and Bjorn Benckert, together with partners James Lewis (capital markets) and Judith Harger (tax).

Farella Braun + Martel Continues to Expand Real Estate Department
Farella Braun + Martel announces the addition of Ilene Dick to the firm's growing Real Estate and Land Use Department.

Dick's 15 years of experience with land use, redevelopment and building permitting matters throughout Northern California make her a solid complement to the group, which has a long track record for successfully handling the complexities involved in the acquisition, development and disposition of commercial property in the region.

"The Real Estate and Land Use Department has continued to expand the breadth and depth of our resources in 2006. We welcomed Steve Vettel in June, adding the benefit of his significant experience assisting major urban developers - many of which faced tough opposition - in obtaining land use entitlements for construction of some of the most significant recent projects in San Francisco," said Tony Ratner, chair of Farella Braun + Martel's Real Estate and Land Use Department. "Ilene also brings a unique and valuable perspective to the practice - an ‘insider's view' of land use policy and permitting issues gained through experience in both governmental agency work and private practice."

Dick's practice is focused on land use and zoning, redevelopment and building permitting, including California Environmental Quality Act (CEQA)-related matters, on behalf of real estate developers and property owners. She has secured CEQA approvals and entitlements for several contentious projects, including the construction of 150 units of housing at the site of a historic Mission District printing plant and the rehabilitation of many historic homes and properties in San Francisco. Most recently with Gladstone & Associates, Dick was previously Director of Housing for the City of East Palo Alto and a deputy city attorney for the City of San Francisco.

Since its founding in 1962, Farella Braun + Martel has achieved a national reputation for the acumen of its business practice, the high profile cases of its complex commercial litigation practice and its prestigious client base. The San Francisco-based firm serves a diverse group of clients from multinational corporations to emerging businesses. The firm also has an office in the Napa Valley focused on the wine industry and related businesses. Farella Braun + Martel is a Green Business.
