AV&H Represents Harcourt General in Sale to Reed Elsevier and Thomson Corporation
AV&H successfully represented its longtime client, the publishing conglomerate Harcourt General, Inc., in the $5 billion sale of the company to two publishing rivals, Reed Elsevier and Thomson Corporation. The Department of Justice, Antitrust Division conducted a lengthy and intensive review of the Thomson and Reed Elsevier acquisitions, and the United Kingdom Competition Commission conducted its own intensive review of the Reed Elsevier acquisition. After complying with information requests from both agencies from Harcourt's offices around the United States and abroad, AV&H successfully obtained the approval of the U.S. and U.K. governments to proceed with the sales.

AV&H successfully defeated an attempt by an aerospace firm to enjoin a senior executive from accepting a position with a rival company.

New York State Attorney General’s Office Retains AV&H
The New York State Attorney General's Office retained AV&H to investigate and prosecute a monopolization claim against Service Corporation International (SCI), the largest operator of funeral homes in the world. AV&H, on behalf of New York's Attorney General, filed a complaint in the United States District Court in Manhattan alleging that SCI had monopolized the Jewish funeral home services market in Manhattan and in New York City through its acquisition of several previously independent Jewish funeral homes. AV&H negotiated a settlement with SCI pursuant to which SCI agreed to sell three funeral homes to independent operators and to reimburse the Attorney General's office for the cost of its investigation.

Senior Partner Steve Axinn to Work with United States Department of Justice Antitrust Division
AV&H senior partner Steve Axinn was selected by Assistant Attorney General Joel Klein and formally retained by the United States Department of Justice, Antitrust Division, to lead the antitrust investigation of WorldCom's attempted acquisition of Sprint Corp. AV&H partner John Harkrider also was retained by the Justice Department. After an investigation of several months, Axinn signed the complaint that sought to enjoin WorldCom from acquiring Sprint. Valued at $129 billion, WorldCom/Sprint was the largest merger ever challenged in the United States. In the face of the government's suit, WorldCom and Sprint abandoned the proposed acquisition.

Davis Polk Advises Oracle on Its Acquisition of Stellent
Davis Polk & Wardwell is advising Oracle Corporation on its acquisition of Stellent, Inc., a global provider of enterprise content management (ECM) software solutions based in Minnesota.

According to the terms of the merger agreement, Oracle has agreed to acquire Stellent through a cash tender offer followed by a second-step merger for $13.50 per share, valuing the transaction at approximately $440 million. The transaction is expected to be completed in late 2006 or early 2007 and is subject to customary closing conditions, including regulatory clearances.

The Davis Polk corporate team includes partner William M. Kelly and associates Sam Kelso, Adan M. Powley and Stephen Salmon. Partner Rachel D. Kleinberg is providing tax advice and associate Cynthia Akard is providing employment advice. All members of the Davis Polk team work in the Menlo Park office.

William Black Joins Steptoe & Johnson PLLC
William J. Black has joined the Business Department of Steptoe & Johnson PLLC practicing in the firm’s Clarksburg office as an associate. Black will focus his practice in the areas of banking and commercial transactions. He received his legal education from West Virginia University College of Law, where he was a member of the M. E. Lugar Trial Association. Black received his undergraduate degree in business administration from West Liberty State College in 2003.

Senniger Powers' Attorney Michael J. Vander Molen Comments on the State of Intellectual Property in the Ethanol Industry
In an article entitled "Strong Roots: Maximizing Innovation by Developing a Robust Patent Estate" and published in the October 2006 issue of Ethanol Producer Magazine, Senniger Powers' attorney Michael J. Vander Molen outlines the benefits of patent protection and challenges the ethanol industry to be vigorous in its efforts to protect intellectual capital. In the article, Michael provides the results of his study on the intensity of patent filings by year related to ethanol production and its use as an alternative fuel since 1976. Michael comments that "the next several years promise to be fruitful in terms of innovation within the industry" but cautions that, as compared to other renewable energy sources, much room exists to expand R&D and the filing of corresponding patent applications.
