AV&H overcame concerns raised by the FTC during a Second Request, and successfully persuaded the FTC to close its investigation without requiring any divestitures or other relief.

AV&H Wins Antitrust Clearance for Movie Gallery's Acquisition of Hollywood Video
AV&H acted as antitrust counsel to Movie Gallery in its successful acquisition of Hollywood Entertainment. Our engagement included representation of Movie Gallery in avoiding the issuance of a Second Request from the Federal Trade Commission and in presenting arguments and evidence to the FTC in connection with its investigation of a rival bid from Blockbuster which was abandoned by Blockbuster once it became clear that the FTC intended to commence litigation to enjoin Blockbuster.

John D. Harkrider Speaks at Milton Handler Annual Antitrust Review
John D. Harkrider joined The Hon. John D. Bates, U.S. District Court for the District of Columbia, Thomas O. Barnett, Deputy Assistant Attorney General, Antitrust Division, and Margaret Guerin-Calvert, former Assistant Chief of the Economic Regulatory Section at the Antitrust Division, in delivering remarks at the Milton Handler Annual Antitrust Review sponsored by the Association of the Bar of the City of New York. The speakers' remarks were published in the Columbia Business Law Review. Proving Anticompetitive Impact: Moving Past Merger Guidelines Presumptions, 2004 Milton Handler Antitrust Review, 2005 Colum. AV&H Counsels BellSouth and Cingular in Acquisition of AT&T Wireless
AV&H served as antitrust counsel to BellSouth and co-counsel to Cingular in the successful completion of Cingular's acquisition of AT&T Wireless. This precedent-setting merger was the largest all-cash merger in history ($41 Billion). It involved one of the most extensive HSR second requests on record and required resolution of a number of important and complex issues at both the U.S. Department of Justice and the Federal Communications Commission. AV&H lawyers played a major role in satisfactorily resolving all the major substantive issues involved in gaining antitrust and regulatory approval of this transaction.
