Franklin Green Joins Cozen O'Connor Washington, D.C. Office as Associate
Franklin Green recently joined Cozen O'Connor's Washington, D.C., office as an associate in the firm’s business law department. Prior to joining the firm, he was a corporate associate with a law firm in Washington, D.C. Green’s practice areas include securities offerings and regulations, emerging business and venture capital and mergers and acquisitions. He advises and counsels U.S. public companies, foreign private issuers, principals and underwriters on federal securities laws and disclosure rules affecting capital-raising transactions, mergers and acquisitions and corporate governance matters. Green provides interpretive advice and guidance to issuers involved in primary and secondary offerings of debt and equity securities, tender offers, exchange offers and mergers and acquisitions. He also assists emerging growth companies with respect to business planning, and the structuring of private-equity and venture capital transactions.

From 2000 through 2004, Green was a corporate finance attorney-advisor, disclosure operations, in the manufacturing and construction industry group of the Division of Corporation Finance of the U.S. Securities and Exchange Commission. From 2004 through 2005, he served as a senior corporate finance attorney-advisor, global security risk and securities in the Office of Global Security Risk of the Division of Corporation Finance of the U.S. Securities and Exchange Commission.

Green is a member of the corporate, finance and securities law section of the District of Columbia Bar; a member of The Bar Association of the District of Columbia; a member of the American Bar Association; and a founding member of the Young Executives Board of Governors of The City Club of Washington, D.C.

Green is admitted to practice in the District of Columbia. He earned his undergraduate degree in political science from the University of Delaware (B.A., 1991), his graduate degree in international relations from American University, School of International Service (M.A., cum laude, 1996) and his law degree from American University, Washington College of Law (J.D., 2000).

Massachusetts Super Lawyers Honors Goodwin Procter Partners
Goodwin Procter LLP today announced that 56 of its partners were named to Law & Politics' 2006 Massachusetts Super Lawyers ranking. The survey honors the top 5 percent of Massachusetts attorneys.

Four Goodwin Procter partners, Christopher P. Davis, Daniel M. Glosband, Joseph F. Savage Jr., and Paul F. Ware Jr., were named to the Top 100 lawyers statewide. In addition to this honor, the firm’s partners were also ranked within the following categories of law: Banking; Bankruptcy & Creditor/Debtor Rights; Business Litigation; Business/Corporate; Criminal Defense/White Collar Crime; Employee Benefits/ERISA; Employment & Labor; Energy & Natural Resources; Environmental; Estate Planning & Probate; General Litigation; Intellectual Property Litigation; Land Use/Zoning; Mergers & Acquisitions; Professional Liability Defense; Real Estate; Securities & Corporate Finance; Securities Litigation; and Tax.

Law & Politics sent over 31,000 ballots to active attorneys across Massachusetts and asked them to vote for the best lawyers they had personally observed in action. Each lawyer is then given a score based on the number and type of votes received. Super Lawyers rankings are published in a total of 21 states, and lists outstanding lawyers in more than 60 practice areas.

Nicholas Munday is voted new practice area leader for London litigation and dispute resolution
Nicholas takes over from Jeremy Sandelson, who became managing partner of the firm's London office in January 2006.

Currently head of the insurance group of the London litigation and dispute resolution practice, Nicholas won the support of partners in a nomination round which led to an uncontested election. The role also incorporates that of regional head of litigation of the Dubai office.

Nicholas commented:
I am delighted and excited about taking on this role. We have an extremely successful litigation team and I plan to build on the excellent practice we have established. I look forward to working with all partners and lawyers in our team to deliver to our clients the most effective and efficient international dispute resolution service."

Nicholas joined the firm in 1990 and was made partner in the litigation practice in 1995. Nicholas is joint head of the firm's global insurance group and a leading reinsurance law specialist.

Firm Achieves $425 Million Settlement with JP Morgan Chase in IPO Litigation
As one of the lead counsel firms in In re Initial Public Offering Securities Litigation, No. 21 MC 92 (S.D.N.Y.) (the “IPO Litigation”), Bernstein, Liebhard & Lifshitz, LLP has negotiated a $425 million settlement with JP Morgan Chase. Partner Stanley Bernstein is Vice Chair of the Plaintiffs’ Executive Committee, and partner Rebecca Katz supervises over 100 attorneys and other professionals who prosecute the largest securities class action in history.

The IPO Litigation consists of more than 300 coordinated lawsuits involving issuers that were brought public between 1998 and 2000. The defendants include the companies that were brought public, certain of their officers and directors, and 55 of the investment banks that underwrote the IPOs. These enormously complex lawsuits allege that the IPO offerings were manipulated by the issuers, their officers and directors, and investment banks to artificially inflate the market price of those securities and to reap excessive compensation, and that their conduct was concealed from the public, in violation of the federal securities laws.

Last year Judge Shira A. Sheindlin preliminarily approved a partial settlement of the litigation with the issuer defendants worth a minimum of $1 billion. This year Bernstein Liebhard has negotiated the first settlement with an underwriter defendant, JP Morgan Chase, for $425 million.

Senior Partners Bernstein and Fleischman Named Top Lawyers in Country
Two of the Firm’s partners, Stanley Bernstein and Keith Fleischman, have recently been named among the top lawyers in the country for their extraordinary professional achievements. Bernstein was named by LawDragon magazine to be one of the 500 Leading Litigators in America and one of the 3,000 Leading Lawyers in America. Fleischman was named both a Super Lawyer by Super Lawyers magazine and one of the 3,000 Leading Lawyers in America by LawDragon magazine.

AV&H files lawsuit to compel Attorney General to maintain the confidentiality of subpoenaed materials
AV& H has filed a landmark declaratory judgment lawsuit on behalf of Brown & Brown, Inc. against the Connecticut Attorney General. The suit asks the Court to interpret a statute providing that material subpoenaed in antitrust investigations "shall not be available for public disclosure." The Attorney General claims that the statute permits disclosure of subpoenaed materials whenever he believes it will advance his investigation or any litigation arising from it. For years, this issue has plagued companies that respond to subpoenas in Connecticut since the Attorney General's interpretation would permit trade secrets and other confidential commercial and financial information to be disclosed to competitors, customers, potential customers and the general public.

AV&H obtains antitrust clearance for Rent-Way, Inc.'s $567 million acquisition by Rent-A-Center
AV&H represented Rent-Way, Inc., a leading operator of rent-to-own stores based in Erie, PA, in Rent-Way's acquisition by rival Rent-A-Center, Inc. The transaction was valued at $576 million. AV&H attorneys Stephen Axinn, Michael Keeley and Michelle Seagull lead AV&H's successful efforts before the Federal Trade Commission to avoid the issuance of a second request.
