Firm Represents J.C. Flowers & Co.-Advised Consortium in its Acquisition of 26.58% of HSH Nordbank AG for €1.25 Billion
Simpson Thacher recently represented an investor consortium advised by J.C. Flowers & Co. LLC ("JCF") in its acquisition of 26.58% of HSH Nordbank AG ("HSH") for €1.25 billion. This transaction was noteworthy in two respects. First, it is the first private sector investment into a Landesbank, or state-owned wholesale bank, in Germany. Second, in order to avoid any JCF-advised entity being deemed to "control" the bank for purposes of the United States Bank Holdings Company Act, the acquisition used a novel structure involving seven trusts, each of which is advised by JCF but controlled by a separate trustee independent of JCF.

The majority of the equity capital for the acquisition was funded by trusts that are alternative investment vehicles of J.C. Flowers II L.P. ("JCF II"), a private equity fund with a $7 billion target that ST&B is representing in connection with its formation. The remainder of the equity capital was funded by limited partners of JCF II in the form of co-investment.

Simpson Thacher Represents Underwriters in Initial Public Offering of Globalstar, Inc.
The Firm represented Wachovia Capital Markets, LLC, J.P. Morgan Securities Inc. and Jefferies & Company, Inc. in connection with the initial public offering by Globalstar, Inc. of 7,500,000 shares of its common stock, which are listed on NASDAQ under the symbol "GSAT," for an aggregate price to the public of $127,500,000. The offering closed on November 7, 2006.

Loeb & Loeb CIO Named Global Tech Leader
Loeb & Loeb LLP announced today that Judi Flournoy, the Chief Information Officer at Loeb & Loeb, has been named by City Tech magazine to their Top 100 List of Global Tech Leaders. City Tech is a publishing and events company dedicated to the global technology industry with a primary focus on professional practices in the United Kingdom and the United States.

Compiled by email and telephone research, more than 2,000 global technologists, were polled and asked to recommend fellow industry thought leaders as their ‘most highly respected’ choices in the legal technology field. Those polled were asked to put forward peers from anywhere around the world. The selection could include anyone providing services to the legal technology industry. Those technology leaders who received the most nominations and recommendations were selected for the Top 100 list.

According to the City Tech Top 100 Global Tech Leaders list, Ms. Flournoy was selected for her “work with ILTA and being a successful thought leader and CIO.” Ms. Flournoy is currently the President of ILTA, the International Legal Technology Association.

Ms. Flournoy began working at Loeb & Loeb law firm in 2004. Prior to joining Loeb & Loeb, she was the CIO at Kelley Drye & Warren LLP in New York City. Ms. Flournoy has been in the legal technology field for 16 years.

Stuart Fleet Joins Kaye Scholer's London Office
Kaye Scholer announced today that Stuart Fleet, a highly respected international corporate lawyer, will be joining the firm as partner in its London office. Fleet was previously a partner with Eversheds.

The addition of Fleet, coupled with the firm's recently announced addition of Tim Spangler in London, strengthens the firm's international corporate and finance practice and further complements Kaye Scholer's global public and private mergers and acquisitions, capital markets, investment fund, and business reorganization and creditors' rights capabilities.

Barry Willner, managing partner of Kaye Scholer, said, "Stuart has an active practice in complex public and private mergers and acquisitions, IPOs, restructurings and joint ventures. He will play an active role in further developing the firm's mergers and acquisitions practice, which has been a prominent strategic goal of our firm. Kaye Scholer Victory: After Three Week Patent Trial For Comdata, Jury Returns Verdict of Noninfringement, Invalidity and Unenforceablitlity
Representing firm client Comdata Corporation's wholly owned subsidiary Stored Value Systems, Inc., Kaye Scholer won a patent infringement lawsuit relating to gift card technology owned by plaintiff, Barry Fiala, Inc. In a total and complete victory, the successful Kaye Scholer team included Washington, DC partners Alan M. Fisch and Kelly A. Clement, and associates Jason Hoffman, Bill Sigler and Jeremy White. The case, pending since 2002 in Memphis, Tennessee, culminated in a three-week trial before a 10-member jury. On November 3, 2006, after over a day of deliberation, the jury returned a verdict finding that the patent was not infringed, invalid for obviousness, invalid for failure to name all of the inventors, and unenforceable due to inequitable conduct. This matter was featured in the November 6 edition of IP Law 360 and the November 7 edition of Bloomberg News.

CBA Pro Bono Fair Connects Hundreds of Attorneys With Volunteer Opportunities
Hundreds of attorneys and law students recently gathered at Jenner & Block for the Chicago Bar Association Young Lawyers Section’s annual Pro Bono & Community Service Fair. Now in its 13th year, the event was an opportunity for members of Chicago’s legal community to meet with representatives from 45 pro bono clinics, public service organizations and mentoring programs.

CBA President Kevin Durkin welcomed the attendees to the event and encouraged them to seek out opportunities at the fair to help those in need. Illinois lawyers are not required by law to do pro bono work, he said, but our justice system is based on the principle that “no one should be denied equal access to the courts.”

Jenner & Block Partner Anton R. Valukas delivered the evening’s keynote address. Mr. Valukas, a former U.S. Attorney, said that it is “individual efforts that make the most significant difference” in the community. In encouraging the attendees to volunteer, he noted that without the legal clinics and organizations at the fair and their volunteer lawyers, the needy would often have “no place to turn.”

The Pro Bono & Community Service Fair was the centerpiece of Chicago’s Pro Bono Week, which Mayor Richard M. Daley and Illinois Governor Rod R. Blagojevich officially declared as a time “to honor lawyers’ pro bono efforts and to educate the public and the legal community about how these lawyers are improving the lives of the less fortunate.”

Co-sponsors of the event were The Chicago Bar Association Young Lawyers’ Section, The Chicago Bar Foundation, Jenner & Block, Exelon Corporation and the Public Interest Law Initiative.

WMCCAI Honors David H. Cox as Committee Chair of the Year and 2006 Public Advocate for the District of Columbia
At the Annual Meeting of the Washington Metropolitan Chapter Community Associations Institute (WMCCAI) on November 4, 2006, David H. Cox of Jackson & Campbell, P.C. was recognized for his leadership in the community association industry by being awarded the Committee Chair of the Year Award and the District of Columbia Public Advocate Award. Both awards spring from David’s work on the D.C. Legislative Action Committee (DC LAC) for the Chapter.

The Public Advocate Awards are given to individuals committed to making a significant contribution within the legislative or regulatory environment by regularly attending meetings with District of Columbia council members and District administrative agencies and departments. David was selected for both awards because of his establishment of “a legislative tracking system to keep committee members informed on matters affecting community associations,” and for his dedication “to making community association living in the District the best it can be.”

David currently serves as co-chair for the DC Legislative Action Committee for WMCCAI. At Jackson & Campbell, he is co-chair of the Real Property & Asset Management Practice Group and a member of the Executive Committee.

WMCCAI serves the educational, business, and networking needs of the community association industry throughout Maryland, Virginia, and the District of Columbia.
Members include professionals and community volunteers from condominium, cooperative, and homeowner associations as well as service providers.
