HASKELL SLAUGHTER HOSTS ALABAMA GERMANY PARTNERSHIP, GERMAN CONSUL GENERAL
The International Law and Immigration Practice Team of Haskell Slaughter Young & Rediker, LLC was pleased to join the AlabamaGermany Partnership in hosting a reception in the firm's offices on October 24, with special guest the Honorable Hans-Joerg Brunner, Consul General of the Federal Republic of Germany. Consul General Brunner, who is the German representative to the southeastern United States, was joined at the reception by representatives of the Economic Development Authority for Saxony, a German state that serves as the gateway between Western and Eastern Europe. Over 50 participants attended the event including representatives from Alabama companies doing business in Germany, German owned companies who have operations in Alabama, members of the AlabamaGermany Partnership, invited guests from the Birmingham business, political and economic development communities and Haskell Slaughter attorneys.

HASKELL SLAUGHTER EXPANDS FINANCIAL SERVICES PRACTICE WITH ADDITION OF REGULATORY AND PAYMENT SYSTEMS COUNSEL AL WATKINS
Haskell Slaughter Young & Rediker, LLC has expanded its Real Estate, Banking and Commercial Finance practice team with the addition of W. Al Watkins, a leading financial services regulatory and payment systems attorney. Watkins joins Haskell Slaughter in its Birmingham office as Of Counsel.

"Al Watkins has advised leading financial institutions on bank regulatory matters for two decades, both as an internal or external general counsel and through his private legal practice. Al's regulatory and niche electronic funds transfer focus adds important new capacities and strategically complements our existing services to banking and financial services clients," said Robert E. Lee Garner of Haskell Slaughter.

Mr. Watkins focuses his practice on clients in the financial services industry, concentrating in federal and state regulation of banks and other financial institutions and regulation of payment systems. In addition, he represents financial institutions in secured lending transactions, commercial loan restructuring matters and e-commerce. Mr. Watkins currently serves as General Counsel for both the Alabama Automated Clearing House Association and the Tennessee Automated Clearing House Association.

In addition to the Real Estate, Banking and Commercial Finance practice, Mr. Watkins will also join Haskell Slaughter's Bankruptcy, Reorganization and Creditors' Rights, Securities and Corporate Finance and Corporate Law and Corporate Governance practice teams.

Mr. Watkins began his practice in Birmingham in 1996, joining the Legal Department of Compass Bank after 10 years of private practice in Texas. At Compass, he served as Associate General Counsel from 1998 until 2001, when he returned to private practice in Birmingham. As Associate General Counsel at Compass, he was responsible for the legal affairs of the bank's Corporate and Wealth Management Divisions. In addition to his practice, Mr. Watkins has been extensively involved in professional activities, having served as a member of the Alabama Law Institute's Revised Article 9 and Electronic Transactions Committees, as Secretary-Treasurer of the Business Law Section of the State Bar of Texas, and as a member of the Board of Directors of the Texas Association of Bank Counsel.

Haskell Slaughter's Real Estate, Banking and Commercial Finance practice team has extensive experience representing both lenders and borrowers in all types of lending and leasing transactions, including secured and unsecured loans, syndicated credit facilities, REIT financings, asset-based financings, synthetic leases and acquisition financings. The firm has a particular focus on representing community banks, but is also frequently called upon to represent regional banks in lending and restructuring activities and to serve as counsel for out-of-state lenders in transactions involving borrowers or collateral located in Alabama.

Wrongful Death Claims Dismissed
Two Wyoming residents were killed in an auto accident in northern Colorado just south of the Wyoming border. Personal representatives of the decedents sued the defendant trucking company in Wyoming state court for wrongful death. Hall & Evans first removed the case to federal court and then moved to dismiss under Colorado law. Because the accident occurred in Colorado, Hall & Evans argued that Colorado law controlled by virtue of Wyoming's choice of law rules. The federal court agreed and dismissed the case. Michael W. Jones and James W. Britt of Hall & Evans represented the defendant. Thorne v. South Park Motor Lines, Inc., case number 06-CV-33D in the United States District Court for the District of Wyoming.

Not Business As Usual: Venable’s “Election Watch Group” Assesses Impact Democratic House Will Have On Multiple Industries
The mid-term elections are likely to bring changes regardless of which political party controls Congress. Should the Democrats gain control of either one or both chambers, many observers believe the legislative shift will have an impact on a host of industries. Steve Howard Quoted Regarding an SEC's Investigation
Steve Howard was quoted in an article in Board IQ regarding the SEC's investigation of a service provider making side deals with fund advisors or other third parties to cover marketing expenses. Steve said, "...in general, boards should not shy away from asking fund advisors directly whether they have side arrangements with service providers. If side arrangements exist, boards should be sure to ask fund advisors how the arrangements impact their profitability, what the money is used for and whether payments are being made directly to the advisor or to another party.

The firm is representing McKesson Corporation in its cash acquisition of Per-Se Technologies, Inc. McKesson is a Fortune 16 healthcare services and information technology company dedicated to helping its customers deliver high-quality healthcare by reducing costs, streamlining processes and improving the quality and safety of patient care. Per-Se Technologies is a leading provider of financial and administrative healthcare solutions for hospitals, physicians and retail pharmacies.

In total, including Per-Se’s outstanding debt, the transaction is valued at approximately $1.8 billion. The transaction was announced on November 6, 2006 and is expected to close in the first quarter of 2007.
