King & Spalding's November E-Learn Seminar Focuses on Hot Button Issue of Stock Option Backdating
As part of King & Spalding’s monthly E-Learn Series, an hour-long web seminar entitled "Stock Option Granting Practices: Discovering and Preventing Backdating Issues" will be offered to King & Spalding clients on November 21, 2006 at 12:30 p.m. EDT. The program will be of particular interest to general counsels, CFOs and other persons with SEC reporting responsibilities and will provide practical ways to address stock option backdating issues.

Speakers on the panel will include Special Matters group partner Gary Grindler as well as Christopher Paci and Jeffrey Stein, both partners in the firm’s Corporate Finance group. Corporate Finance associate Sara Brown will also participate in the presentation.

The seminar will be presented online from 12:30 to 1:30 p.m. EDT. Clients of the firm will be able to participate online, or may view the program at the firm’s offices in Atlanta, Houston, London, New York, and Washington, D.C. Participants in the King & Spalding E-Learn Series generally receive CLE credit for attending the program.

Kennedy Covington Partners to Co-Chair 5th Annual Private Equity and Mezzanine Finance Conference
Kennedy Covington, one of the largest law firms in the Carolinas, is pleased to announce the upcoming 5th Annual Private Equity and Mezzanine Finance Conference at the Omni Hotel in Charlotte.

The conference, which will be held November 16-17, will include presentations by more than 20 business professionals in the private equity, mergers and acquisitions (M&A), mezzanine finance, and capital markets industries. Principals representing the largest private equity funds and finance groups in the Carolinas and the Southeast, including Bank of America, Goldman Sachs and Wachovia, will be discussing topics such as today's leveraged buyout (LBO) deal and legal environment and the outlook for 2007.

In addition to the perspectives of these seasoned dealmakers, Mark Vitner, director and senior economist for Wachovia Securities, will once again enlighten and entertain the group with his economic forecast for the year ahead.

"In recent years, Charlotte has become a leading hub for buyout activity in the Southeast. We're thrilled to bring together local, regional and national speakers of this caliber," says organizer T. Richard Giovannelli. "We're proud to be part of this conference, which is the largest of its kind in the Southeast."

Last year's conference drew more than 200 professionals from the buyout and finance industry across the country.

Giovannelli and Kevin P. Stichter—co-chairs of Kennedy Covington's Private Equity and Mezzanine Finance practice—are co-chairing the conference. They will lead panel discussions on the state of buyout and private equity markets, the buyout deal environment in the healthcare industry, the state of the senior and mezzanine finance markets, and a discussion by in-house counsel. Kiran Mehta, also a partner at Kennedy Covington, will speak about the increasingly prevalent and important role of litigation in today's acquisition market.

New this year will be a special presentation by the organizers of two leading American Bar Association studies on current trends in negotiated acquisition deal terms. "We're excited that, for the first time anywhere in the country, the study founders will compare and contrast the results of the study of acquisitions of private companies by public companies with the study of private company LBOs," says organizer Kevin Stichter.

This two-day event will also include presentations on a broad range of other topics including: legal and business issues in post-acquisition integration, recent developments in the market for private equity fund formation, and the use of equity incentives and deferred compensation.

Freshfields advises KKR and Goldman Sachs Capital Partners on €4bn acquisition of Linde's Kion division
International law firm Freshfields Bruckhaus Deringer has advised private equity firm KKR and Goldman Sachs Capital Partners on the acquisition of Kion, the forklift truck division of Linde AG, for €4bn. The sale is subject to the approval of the competition authorities, and was conducted as an accelerated auction. This is the largest ever leveraged buyout in Germany.

The Freshfields Bruckhaus Deringer team was led by Frankfurt corporate partners Andreas Fabritius and Nikolaus Reinhuber with Stephan Eilers in Cologne leading on the tax structuring. The team also included the following partners and principal consultant: Ulrike Schweibert (employment, pensions and benefits, Frankfurt), Laurie McFadden (corporate, London), Thomas Wessely (antitrust, competition and trade, Brussels), Frank Laudenklos and Konrad Schott (both finance, Frankfurt), Markus Fisseler (real estate, Frankfurt), Stefan Krüger (intellectual property/information technology, Frankfurt), Bertrand Pellet (corporate, Paris), Cyril Valentin (tax, Paris), Claude Stansbury (tax, Washington) and Ken Dierden (EPB, London). Senior associates involved included Heiner Braun (corporate, Frankfurt), Norbert Schneider (tax, Cologne), and Catherine McAllister (EPB, London).

CRAVATH RECEIVES FIVE TOP TIER RANKINGS IN IFLR 1000 DIRECTORY
Cravath received five first-tier rankings in the IFLR 1000 2007 directory. The Tier 1 rankings were awarded to the Firm's U.S. bank lending, debt and equity, high-yield and M&A practices, and its UK high-yield practice. Additionally, 19 partners were recommended by the guide as leading lawyers in these fields.

Chile’s Largest Iron and Steel Producer in $200 Million Bond Offering
Cleary Gottlieb represented Chile's largest iron and steel producer, CAP S.A., in its debut in the international capital markets, a $200 million Rule 144A/Regulation S offering of its 30-year bonds. CAP subsidiaries, Compañía Minera del Pacífico S.A. and Compañía Siderúrgica Huachipato S.A., guaranteed the 7.375% bonds due 2036, which are listed on the Luxembourg Stock Exchange. Citigroup Global Markets Inc. and HSBC Securities (USA) Inc. were the initial purchasers of the bonds.

David DuMouchel serves as panelist during November 30 MACPA Fraud Awareness Symposium
Butzel Long attorney and shareholder David F. DuMouchel will be a featured panelist during a November 30, 2006 Fraud Awareness Symposium presented by The Michigan Association of Certified Public Accountants (MACPA) at the Hilton Hotel in Troy.

Mr. DuMouchel is one of four panelists to participate in a presentation titled, "Private Equity and Governance." The panelists will discuss best practices, professional expectations and current trends intended to fight the threat of fraud.
