Hogan & Hartson Represents GE Capital Solutions in Acquisition of Trustreet Properties, Inc.
Hogan & Hartson LLP advised GE Capital Solutions in its agreement to acquire Trustreet Properties, Inc., one of the leading restaurant real estate investment trusts (REITs) in the United States. The acquisition, which is subject to certain closing conditions, including approval by Trustreet's common stockholders, was announced October 30, 2006 and is projected to close in the first quarter of 2007.

GE Capital Solutions is the business-to-business leasing, financing, and asset management arm of General Electric. The transaction, valued at approximately $3 billion, or $17.05 per share of common stock, is expected to increase GE Capital Solutions Franchise Finance’s East Coast presence and broaden its finance and sales capabilities within the restaurant industry.

The Hogan & Hartson team included corporate attorneys Warren Gorrell, David Slotkin, Christopher Walsh, and Henry Kahn; tax attorneys Prentiss Feagles and Cristina Arumi; environmental attorney Scott Reisch; real estate attorney Lee Berner; benefits attorney William Neff; and antitrust attorney Michele Harrington.

Daryl Washington Awarded President's Award from J.L. Turner Legal Assoc.

Dykema Attorneys To Participate In Mentoring Panel
Dykema attorneys Bonnie Mayfield and K.J. Miller are scheduled to present in a breakfast panel discussion entitled Mentoring and Its Role in Professional Development for Women in the Legal Profession, part of a seminar sponsored by the Women Lawyers Association of Michigan and the American Corporate Counsel Association, "WLAM & ACCA present Mentoring and Role Models: Learning from One Another" being held at the DoubleTree Detroit Hotel on Thursday, November 9 at 7:30 a.m. For more details and registration, go to www.womenlawyers.org.

Ms. Mayfield is an accomplished member of the Litigation Department of Dykema. Throughout the years, Ms. Mayfield practiced in several areas of litigation and now specializes in class action and complex litigation, in the areas of employment, product liability, and commercial litigation involving petroleum manufacturing practices, Federal Aviation Administration Authorization Act, and the Carmack Amendment. She received her J.D. from New York University in 1983 and her B.A. from Dillard University in 1980. She attended St. Mark’s High School, receiving her diploma in 1976, has written numerous articles and often speaks to legal and other organizations.

Ms. Miller’s practice focuses on civil litigation matters in state and federal courts, with an emphasis on cases involving consumer financial services, construction disputes, personal injury, insurance contract disputes and wrongful death claims. She has a broad commercial and tort litigation practice that includes defense of lender liability claims, breach of contract, fraud and consumer protection act claims, as well as class actions. Ms. Miller received her J.D. from Michigan State University-Detroit College of Law in 2000 and her B.S. from Michigan State University in 1986.

Beth Southern Joins Greensboro Office; Among 14 New Lawyers at the Firm
Womble Carlyle Sandridge & Rice, PLLC today announced that fourteen new lawyers have joined Womble Carlyle's Charlotte, Greensboro, Research Triangle Park and Winston-Salem offices. Twelve of the new attorneys come to the firm as entry-level attorneys and two of them are lateral attorneys. Thirteen of these attorneys worked previously as summer associates with the firm.

"We are pleased to have this group of talented individuals join our firm," said Keith Vaughan, Womble Carlyle managing member. WilmerHale Advises Linde On The Sale Of Its Forklift Truck Division Kion
WilmerHale is advising Linde AG on antitrust and competition law issues in connection with the sale of Linde’s forklift truck division Kion to a consortium of financial investors comprising Kohlberg Kravis Roberts & Co. (KKR) and Goldman Sachs Capital Partners. Worth € 4 billion, the transaction signed last weekend remains subject to clearance by the antitrust authorities.

Previously this year, WilmerHale also represented Linde on all aspects of antitrust and competition law with regard to its takeover of the BOC Group.

The Kion transaction was supported by a Berlin-based team of lawyers consisting of Partner Ulrich Quack, Counsel Dr. Jan Heithecker and Associates Dr. Alexander Jüngling, Christian Wörz and Angelika Peck. In Washington DC, Counsel Janet Durholz Ridge advised on deal.
