Shearman & Sterling Advises IVG on Increase of Shareholding in Oppenheim Immobilien
Shearman & Sterling advised the European investment company IVG Immobilien AG on its increase of its shareholding in Oppenheim Immobilien-Kapitalanlagegesellschaft mbH (OIK) from 50.1% at present to 94%. IVG will purchase 25% from Sal. Oppenheim bank in November. The increase to 94% will be effective in January 2007.

OIK is Germany´s market leader for special real estate funds with a fund volume of approximately €10 billion.

IVG was advised by partners Hans Jürgen Meyer-Lindemann (Düsseldorf-Antitrust) and Harald Selzner (Düsseldorf-Mergers & Acquisitions) and associate Marco Sustmann (Düsseldorf-Mergers & Acquisitions).

Corporate Partner Joins California Practice
McDermott Will & Emery is pleased to welcome Peter N. Townshend as a partner in the Firm's Corporate Department. Mr. Townshend has extensive experience representing emerging companies and investors in venture capital and various other transactions. As a member of the Firm's Private Equity/Emerging Companies Group, he will be working from the San Diego and Silicon Valley offices.

"Peter is a significant addition to our California corporate team, bolstering our emerging companies practice in California and Firm-wide," commented Mark Mihanovic, head of the Firm's California corporate practice. "We are enthusiastic about what Peter's credentials, experience and knowledge in the IT and life sciences sectors bring to our Firm and our clients."

Mr. Townshend's practice includes mergers and acquisitions; venture capital; corporate formation; distribution, development, manufacturing, licensing and other commercial transactions; and executive compensation and employment agreements. His clients span various industries, including life sciences, medical device, software, wireless, semiconductors, internet, telecommunications, computer hardware, venture funds and angel networks.

"Peter's representation of life sciences and telecommunications companies will complement our existing focus in San Diego while expanding our scope of services here," commented John Hankins, partner-in-charge of the San Diego office. "Peter's addition is a very positive step in the growth of our California practice, which continues to be an important strategic initiative for the Firm," added Anthony de Alcuaz, partner-in-charge of the Silicon Valley office.

Mr. Townshend earned his J.D. from the University of California, Boalt Hall School of Law. He earned an undergraduate double degree in English and economics from Yale University and his M.B.A. with an emphasis in finance from University of California, Haas School of Business. Mr. Townshend is a member of the American Bar Association, California State Bar Association, Business Law and Technology Sections of the San Diego County Bar Association, American Heart Association, San Diego Venture Group, Women in Technology International, University of San Diego Leadership Institute for Entrepreneurs, CONNECT and the San Diego Software Industry Council.

Judge Rules that State Wrongly Denied Operating License for Children's Home - St. Basil Academy in Garrison Seeks Integration Into Community
Kramer Levin Naftalis & Frankel announced today that an administrative law judge has ruled that the New York State Office of Children and Family Services improperly denied an operating certificate to St. Basil Academy, a Greek Orthodox home for children in need in Garrison, NY. The decision should conclude a lengthy legal battle that pitted St. Basil against the town and the state and ensures that the home can once again accept children in need.

At the core of the dispute is whether St. Basil (www.stbasil.goarch.org), in operation since 1944, can send its children to the Garrison school. As a result of the decision, the school board should recognize that they must accept St. Basil children, said Gregory Horowitz, an attorney with Kramer Levin Naftalis & Frankel who is representing St. Basil pro bono.

"It's been very distressing to us that Garrison has tried to shut us out and shut us down," Horowitz said. "We hope that this decision will cause them finally to start talking with us about a mutually beneficial relationship. We just want to be part of the community, and we have a lot to offer. We will work with Garrison to minimize the financial impact because the health of the district is a primary concern of ours."

The OCFS in October denied the license on two grounds: lack of an adequate education plan for the children and the harboring of an illegal alien - a 14-year old girl whose mother brought her to the US when her brother needed cancer treatment in NYC. When the brother died , the mother left her. St. Basil has cared for her ever since.

After hearing the case in Albany in May before Administrative Law Judge William B. Day, the Bureau of Special Hearings issued its decision Nov. 3, rejecting both of the state's arguments and directing that OCFS must "issue St. Basil a certificate to operate a residential care program forthwith.

Samberg Participates as Faculty Member in NITA's NYC Deposition Skills Program
Peter Samberg, counsel in the Litigation Department, just completed his annual participation as a faculty member for the National Institute for Trial Advocacy (NITA)'s New York City Deposition Skills Program. The program instructs practicing lawyers in how depositions fit into the overall plan for case theory and development, how to prepare and defend witnesses, and how to effectively gather information, test theories and obtain admissions. He is also on the faculty for NITA's Trial Skills Program and Cardozo Law School's Intensive Trial Advocacy Program.

Staton Receives AWLA Award
Georgia Staton, a partner with Jones, Skelton & Hochuli, P.L.C., received the 2006 AWLA (Arizona Women Lawyers Association) President's Award at the 27th Annual AWLA State Convention on November 3, 2006.

The statewide award is given annually at the President's discretion to one member of AWLA who has demonstrated an exceptional level of service to AWLA and to the advancement of women in the legal profession. Ms. Staton was recognized for her 25 years of service on AWLA's State Board and for her longstanding service on the Maricopa Chapter Steering Committee. Throughout her AWLA membership, Ms. Staton has consistently supported AWLA members and activities, and she continues to promote the mission and goals of AWLA.

Ms. Staton has practiced law for over thirty-two years, chiefly as a trial attorney defending governmental entities in catastrophic personal injury claims; civil rights and employment matters. She is licensed to practice before the U.S. Supreme Court and all Arizona, Kansas and Illinois courts. Ms. Staton is certified before the Arizona State Bar Association as a Specialist in Personal Injury and Wrongful Death.

Favorable Consent Decrees in Landmark Pro Bono Case for Disabled Rights
A closely-watched legal battle led by Jenner & Block attorneys on behalf of persons with disabilities in Lake County, Indiana, has resulted in federal court approved consent decrees mandating that public transportation services be improved for the disabled in northwestern Indiana.

The Firm represented Everybody Counts Center for Independent Living, a not-for-profit advocacy agency and a certified class of persons with disabilities in a pro bono class action lawsuit filed six years ago that alleged a systemic failure by the governmental oversight entities and transportation providers to provide Americans with Disabilities Act (ADA)-compliant public transportation services to persons with disabilities.

The lawsuit alleged multiple violations of the ADA, which was passed by Congress more than 15 years ago to protect disabled individuals’ ability to have equal access to public faculties and services. The complaint contended that the defendant state agencies misused federal funds earmarked for improving transportation services to people with disabilities and that they ignored repeated complaints about the lack of transportation for persons with disabilities in Lake County, Indiana.

The October 6, 2006 court-sanctioned agreements requires that the defendants take immediate steps to improve services for the disabled, including requiring specific training for drivers on how to interact with people with disabilities and establishing policies and procedures to ensure that persons disabilities can avail themselves of public transportation services which are fully ADA-compliant.

“The outcome of this matter sends a strong message that the ADA is a law that must be fully complied with and reaffirms the fundamental rights of the disabled,” said Partner Steven M. Siros, who led the Firm’s legal team.

One defendant, Northwest Community Action Corporation, has not agreed to settle and the Firm is preparing for trial.

Firm Hosts "Sneak Preview Reception" to Connect with Second Year Law Students Considering Jenner & Block’s Summer Program
Jenner & Block attorneys in the Chicago office hosted students from law schools around the country at a Sneak Preview reception. The goal of the reception was to introduce the attendees – Chicago-area students who have offers to join the 2007 Summer Program – to more lawyers at the Firm and provide them additional information about the Summer Program. The event was hosted jointly by the Firm’s Diversity Committee, Hiring Committee and various affinity groups including the African-American Affinity Group, Women’s Forum, Asian Forum, LGBT Forum, Hispanic Lawyers Affinity Group and Work-Life Balance Affinity Group.

Jenner & Block Partner Anton R. Valukas welcomed the students and described the Firm’s inclusive and diverse culture. He stressed that while the Firm is made up of unique individuals, Jenner & Block attorneys share certain core values including a commitment to public service, continuous learning and providing excellent client service.

Other speakers included Partner Charlotte L. Wager, Co-Chair of the Firm’s Executive Hiring Committee, Partner Jorge M. Leon, Associate Sejal P. Parikh, and 2006 Summer Associate Nancy Jacobson, a third year law student at University of Chicago. The speakers gave their perspective on the Firm's summer program and their experiences at Jenner & Block. Approximately 50 students chatted with the same number of Firm attorneys, learning more about the Firm's practice and culture.

Jenner & Block’s Summer Program is designed to expose second year law students to the Firm's practice, culture and environment. The Sneak Preview Reception gave students a chance to learn more about the Summer Program including the assignments they can expect to receive; training opportunities (including mock trial and negotiations workshops); community service events in which they can participate (a mentoring program with the Boys and Girls Club and volunteer night at the Greater Chicago Food Depository); and social events that are held.

On display at the reception were design plans for the Firm’s new Chicago and DC offices. The Firm is slated to occupy these new offices, located respectively at 351 North Clark Street and 1099 New York Avenue, N.W., in late 2009.
