Ulmer & Berne LLP Announces the Addition of Jess E. Gamiere and E. Beth Farrell
Ulmer & Berne LLP, one of Ohio’s largest law firms with four offices across the Midwest, announced the addition of associates Jess E. Gamiere and E. Beth Farrell. Mr. Gamiere, who previously worked for Ulmer & Berne from September 2002 to September 2004, is based in the Firm’s Cleveland office and joins the Business Litigation Group.

Ms. Farrell, who previously worked for Ulmer & Berne from December 2002 to June 2005, is based in the Firm’s Cincinnati office and joins the Business and Real Estate Groups. Mr. Gamiere focuses his practice on general business litigation including contract disputes, insurance coverage, products liability defense, employment-related matters, landlord-tenant issues and claims related to the Racketeer Influenced and Corrupt Organizations Act. Prior to joining Ulmer & Berne, he served as a judicial law clerk to Judge Kathleen M. O’Malley in the United States District Court, Northern District of Ohio. Mr. Gamiere earned his J.D., summa cum laude,from Cleveland- arshall College of Law in 2002, and his B.A., with honors, from Cedarville University in 1999.

Ms. Farrell counsels clients on all aspects of real estate law including acquiring, selling and developing real estate. She represents owners and tenants in the negotiation, drafting and reviewing of leases for retail, commercial and industrial properties. Her business law practice includes counseling clients on business transactions and general business and corporate governance law. Ms. Farrell previously worked as senior counsel to Duke Energy, formerly Cinergy Corporation, in Cincinnati, Ohio. She earned her J.D. from the University of Cincinnati College of Law in 1989, her LL.M. (business and tax) from Capital University Law and Graduate Center, and her B.A. from Vanderbilt University in 1985.

Lewis Brisbois, et al. congratulates Kimberlei Evans on her election to the office of President in the Charles Houston Bar Association (CHBA). The CHBA was founded in 1955 as the Charles Houston Law Club. The group took its name to honor the groundbreaking lawyer and educator Charles Hamilton Houston. Houston was a remarkable constitutional lawyer and the key legal strategist in the early battles against racial discrimination in education, labor and housing. CHBA is comprised of lawyers, judges, and law students throughout Northern California.

Peter Donati appointed to the board of the Human Resource Association of Greater Oak Brook
Peter Donati, partner in the Litigation Practice Group and leader of the Employment Service Group, has been named to the board of the Human Resource Association of Greater Oak Brook (HRA). HRA is a local branch of the Society of Human Resource Professionals, made up of over 100 business and non-profit organizations in Chicago and the western suburbs.

Peter will be taking the position of Legislative Representative starting in January and will serve through 2007. He will be involved in briefing the board on new legal developments, keeping in touch with legislators on issues of importance to employers, and writing articles for the monthly newsletter. Additionally, he will present a legal "year in review" seminar for members in November.

Medical Malpractice Defense Verdict
After a two week jury trial held in the Circuit Court for Berkeley County, West Virginia, Michael E. Olszewski, Esq. obtained a defense verdict for his client, a general surgeon. The defendant surgeon performed an open cholecystectomy. After the cholecystectomy, the patient was restarted on blood thinners for his prosthetic heart valve. The patient hemorrhaged day 5 post-op and died the following day. Plaintiff's counsel alleged the defendant surgeon failed to perform surgery in order to stop the internal bleeding and to treat the patient's abdominal compression syndrome. Mr. Olszewski established that the bleeding was caused by a toxic level of Refludan, a dangerous blood thinner, which could not be reversed due to kidney failure. Mr. Olszewski further established that surgery would not have helped the patient whatsoever. The jury agreed and returned a verdict in favor of the surgeon.

Gide Loyrette Nouel, legal counsel to the €452,000,000 Paris Prime Commercial Real Estate FCC transaction
Gide Loyrette Nouel has acted as counsel to Lehman Brothers and Morgan Stanley (acting as joint arrangers) on the €452,000,000 Paris Prime Commercial Real Estate FCC transaction. This CMBS transaction involved the securitisation by way of a French mutual debt fund (fonds commun de créances or FCC) of a commercial mortgage loan granted by Lehman Brothers and Morgan Stanley to special purpose entities belonging to the Mines de la Lucette group for the acquisition of a portfolio of properties located in and around Paris.

The debt instruments (obligations) issued by the FCC on 23 October 2006 have been listed on the Irish Stock Exchange and are rated by S&P and Fitch and were offered to institutional investors, including in the United States under Rule 144A.

This is the first FCC global offering of securities including Rule 144A eligibility in the US market.

The Gide Loyrette Nouel team was led by Gilles Saint Marc and Miriam Munzberg in Paris with the assistance of Christopher Mead and Gretchen Kellner in London and Robert MacDonald and Vanessa Tollis in New York.

Gide Loyrette Nouel Beijing advises the European semiconductor company STMicroelectronics N.V. and DBS Bank Ltd on the financing of a semiconductor manufacturing facility in China
The financing follows the establishment of a joint venture company for the construction, ownership and operation of a 12-inch and 8-inch wafer production line manufacturing facility in Wuxi, Jiangsu Province, People’s Republic of China jointly set up by STMicroelectronics N.V. and the Korean semiconductor company, Hynix Semiconductors Inc.

Approved by the National Development and Reform Commission (NDRC) of China in 2005, the total investment in the project is US$ 2 billion, the third largest foreign investment project in China to-date. The project is funded by a combination of equity and debt. The debt financing facilities consist of a senior syndicated loan facility in the amount of US$750 million provided by a syndicate of international and domestic banks and a junior syndicated loan facility in the amount of $250 million provided by DBS Bank Ltd.

Gide Loyrette Nouel Beijing office has advised STMicroelectronics N.V on the senior syndicated loan documentation and both DBS Bank Ltd and STMicroelectronics N.V. on the junior syndicated loan documentation. The team included partner Hua Xiaojun, senior associate Marianne Ramel and associate Zheng Yu.

Partner Hua Xiaojun commented: "Our Chinese finance team was delighted to work with STMicroelectronics N.V and DBS Bank Ltd on this benchmark financing investment in China.

Free Legal Healthcare Seminars Begin November 15 at Flaster/Greenberg
A series of free programs geared toward physicians, dentists, chiropractors and other healthcare professionals will begin on Wednesday, November 15, when Flaster/Greenberg attorneys, Alan H. Zuckerman, CPA, and Michael P. Spiro, will discuss “Asset Protection Planning Lessons Learned: Prescription for Medical Professionals.” The seminars will run from 5:30 to 7 p.m., followed by wine tasting receptions from 7 p.m. to 8 p.m. in the Conference Center at Flaster/Greenberg's Cherry Hill office located at 1810 Chapel Avenue West.

The free seminars are intended to provide healthcare providers and physicians with information pertaining to such issues as malpractice liability claim, asset protection, the value of ambulatory surgery centers, and physician buy-ins and buy-outs. The first seminar will address the risks of uninsured malpractice liability claims and the means by which physicians and other healthcare providers may take steps to protect their assets. Techniques that will be discussed include the transfer of assets to family members, joint titling of assets with a spouse, family limited liability companies and partnerships, domestic asset protection trusts, and offshore trusts.
