Hogan & Hartson Advises Graceway Pharmaceuticals in $875 Million Acquisition of 3M Pharmaceuticals Business in North and Latin America
Graceway Pharmaceuticals, Inc. has announced the acquisition of 3M Company’s (NYSE: MMM) branded pharmaceuticals business in the United States, Puerto Rico, Canada, and Latin America for $875 million.

Under this agreement, Graceway will acquire 3M’s branded pharmaceuticals and related new drug applications, trademarks, copyrights, patents, licenses to certain patents associated with potential new formulations of such products, and other related intellectual property. As part of the acquisition, Graceway will enter into manufacturing agreements for the acquired products. Estimated 2006 net revenues for the products in North and Latin America total approximately $350 million.

Hogan & Hartson LLP represented Graceway in the transaction. Graceway is a pharmaceutical company focused on acquiring, in-licensing, and developing branded prescription pharmaceutical products.

The Hogan & Hartson team was led by partners Thomas E. Repke (corporate/M&A), Victoria F. Sheckler (intellectual property), and Richard T. Horan, Jr. (corporate/M&A) and included corporate and intellectual property associates Cullen Taylor, Lauren Griswold, and Anishiya Abrol.

Other members of the firm’s inter-disciplinary team included David Fox, Philip Katz, Robert P. Dykema Member Contributes To National Recognition Of Michigan Pain Policies
The Wisconsin Pain and Policy Studies Group of the University of Wisconsin School of Medicine and Public Health recently issued its 2006 Report Card on state pain policies. This authoritative U.S. resource on pain policy ranks only Michigan and Virginia as receiving an A for balanced pain policies (balancing effective pain management and minimizing drug diversion under state laws, regulations and policies). Over about a six year period, Michigan has improved from a C grade to A.

J. Kay Felt, Member of the firm’s Health Care Practice Group, served on the Michigan Commission on End of Life Care and chaired its subcommittee on pain and symptom management. These groups advocated for improved state statutes and regulations and the removal of burdensome, ineffective and inappropriate requirements. They spent hundreds of hours in committee work, research, writing reports, and testifying before legislative committees. The Commission completed its work during the Engler administration, but most of the changes in laws and policies and their implementation have been accomplished during the Granholm administration.

Ms. Felt is experienced in a wide range of health law areas, including corporate transactions, nonprofit organizations; biomedical ethical issues and end of life care; liability coverage and off-shore insurance; medical staff matters and physician agreements; anti-dumping; and institutional and professional licensure.

She is a member of the American Bar Association (past chairperson, Committee on Health Reform), the State Bar of Michigan (past chairperson, Medical Legal Problems and Awards Committees; Disabilities Committee of the Open Justice Commission) and the Ohio State Bar Association. Ms. Felt was the first president of the Michigan Society of Hospital Attorneys and is past president of the American Academy of Health Care Attorneys. She served on the Michigan State Medical Society/State Bar Task Force on Interprofessional Affairs and the House Public Health Blue Ribbon Commission on AIDS. The National Law Journal listed her among 20 outstanding U.S. health care attorneys. She has been listed for over ten years in the health care law category of The Best Lawyers in America and is in the 2007 class of Super Lawyers.

Dykema Attorney Speaks At MACPA Seminar
Wayne D. Roberts, Of Counsel in the Dykema Taxation & Estates Department, was a presenter at a recent seminar sponsored by the Michigan Association of Certified Public Accountants (MACPA). Mr. Roberts spoke on the subject of CPA representation of taxpayers at the Michigan Tax Tribunal’s Small Claims Division. This program provided CPAs with continuing education, along with practical insight regarding how to prepare and present a small claims tax case.

Mr. Roberts is a tax attorney, and his practice includes all aspects of federal and state tax planning and litigation. Mr. Roberts has represented both closely held and Fortune 1000 companies in tax disputes with the Internal Revenue Service, the Michigan Department of Treasury, and revenue departments in Pennsylvania, Indiana, Tennessee, New York, California, and numerous other state and local taxing jurisdictions.

Mr. Roberts also has experience with corporate, LLC, and partnership law matters, financial accounting matters, bankruptcy matters involving both creditors and debtors, estate and family wealth succession planning and tax return preparation, review and analysis.

Chadbourne Represents Rockwell Automation in $1.8 Billion Sale of Power Systems Unit
Chadbourne & Parke LLP is representing Rockwell Automation, Inc. in the $1.8 billion sale of Reliance Electric Company and certain affiliated companies of Rockwell's Power Systems unit to Baldor Electric Company.

Baldor will purchase the Power Systems business for $1.8 billion, comprised of $1.75 billion in cash and approximately 1.6 million shares of Baldor common stock, valued at $50 million.

The transaction is expected to be completed in the first quarter of 2007 and is subject to customary closing conditions and necessary regulatory approvals.

The combined company will be one of the leading North American manufacturers of industrial electric motors and power transmission products.

Working on the deal for Chadbourne are New York corporate partner Marc Alpert, associate Kessar Nashat and paralegal Sarah Chan, as well as DC partner Andrew Giaccia, New York partners Bill Cavanagh and Marjorie Glover and associate Brad Berman. Assisting on the deal are New York partners Charlie Hord and Kevin Smith and associate David Santangelo.

Bracewell & Giuliani Joins Energy Publishing Giant Platts to Honor Industry Elite
Platts, the world' s leading supplier of energy information, along with sponsors Bracewell & Giuliani LLP and Capgemini, have announced the 2006 Global Energy Award finalists. Winners in 16 categories will be named at a gala celebration Nov. 30 at Cipriani Wall Street in New York City.

The Global Energy Awards, described as the "World Series" of energy, was established in 1999 to recognize outstanding achievement and vision in this industry. More than 200 entries are received each year for consideration by an international panel of judges who include energy ministers, national regulators, past and present heads of major energy companies, and leading academics and legislators. Local Artist Kathy Miller Stone on Display at the Adams and Reese Conference Center Art Gallery
The law firm of Adams and Reese extends an invitation to view the artwork of local artist Kathy Miller Stone at the Adams and Reese Conference Center Art Gallery on the 19th floor of the Riverside Tower North (formerly known as the North Tower of the Bank One Building). The exhibit is a part of the continuing “Attorneys and Art” series developed by Adams and Reese to increase community support by showcasing and promoting local artists. Stone’s work will be on display now through December 31, 2006. A reception will be held honoring the artist on Thursday, November 9, 2006 from 5:00 p.m. until 7:00 p.m.

A professional artist of 44 years from Baton Rouge, Louisiana, Stone enjoys signature status in the National Watercolor Society as well as six other societies. She paints realistically, but not photographically, and is currently painting in transparent watercolor, stressing well designed composition, strong values, and the use of many unusual colors which brighten shadows, making the subject come to life. Primarily a landscape artist, Stone is known for capturing the mystery and grandeur of intriguing old live oak and cypress trees, and for a unique pouring technique.

Participants Laud First Annual Women in Construction Conference
Thelen Reid and Priest LLP— soon to be Thelen Reid Brown Raysman & Steiner LLP—hosted the “First Annual Women in Construction Conference—A Leadership & Networking Conference by Women, for Women,” at its Washington, DC office November 9. The four-panel conference was coordinated by Thelen Reid Construction partner Barbara Werther, Esq., along with fellow Board of Directors, Lisa Enloe of Held Enloe & Associates LLC, Kathy S. Taub, Esq. of Kathy S. Taub LLC, Barbara C. Wagner of The Clark Construction Group, Tracy Browne from Centex Construction, Margaret Van Voast of WCD Metro LLC and Cecilia Morgan, Esq. of JAMS.

The full-day conference brought together high-powered business, legal, and community leaders with experience in areas that are of critical importance to women working in the construction and design industry. The agenda combined valuable technical information with ideas and advice about how to improve professional skills like networking and negotiating.

The first panel, World Trade Center, focused on the “hypothetical rebuild” of the site and the costs of determining property insurance claims. Panelists Lisa Enloe, Jon Held of Held Enloe & Associates and Jane Stevens of Sonnenschein Nath & Rosenthal LLP discussed the key legal and construction issues for one of the largest insurance cases in history. They also described their innovative work in creating a construction model used for the insurance appraisal that predicts what it would cost to completely rebuild the World Trade Center complex. Thelen Reid attorney Melissa Lesmes then concluded the panel with a discussion of current insurance and risk management protections for catastrophic events.

The second panel, Mentoring, was moderated by Barbara Wagner and was made up of respected professionals in various stages of their careers: Margaret Van Voast, Doug Turner of Centex Construction, Liz Walsh of Thelen Reid & Priest LLP, Susannah O’Connor of The Clark Construction Group, LeeAnn Goodwin of Smoot Construction, and Christine Merdon of McKissack & McKissack. The panelists provided insight and inspiration to the younger women in the audience, but also emphasized the tremendous responsibility women have to those who follow in their footsteps. Susannah O’Connor’s story of being “hit on” by a potential client resonated, and engaged the audience in an interactive discussion.

Kathy Taub led the third panel, Top 5 Issues in Construction Contracts, and addressed recent trends in drafting construction contracts and the implications of various clauses from the perspective of developers, owners and contractors.

Panelists Gretchen Dudney of J Street Development, Jane Mahaffie of Stonebridge Associates Inc. and Rosemarie Schmidt of Marriott International Inc. discussed consequential damages, risk-shifting clauses, responsibility for errors and omissions, and the differences in bargaining power between the various parties to a construction contract.

The fourth panel, Women as Negotiators, was moderated by JAMS’ Cecilia Morgan and featured an elite panel of both sitting and retired judges, as well as three arbitrators/mediators. The panel, Judge Ruth Burg (ret.) and Judge Cheryl Scott of the Armed Services Board of Contract Appeals, Judge Marion Blank Horn of the United States Court of Federal Claims, Judith Ittig of Ittig & Ittig PC and conference chair and organizer Barbara Werther, provided insight into the effectiveness of various negotiation styles used by female negotiators. Judge Horn’s story of being asked to serve coffee when the parties did not realize she was a judge was a sad reminder that women are not always regarded as professionals. “Take control of the situation,” was the advice. The judges on the panel offered valuable advice regarding their own experiences, and provided tips for effective negotiation.

The conference also featured two dynamic keynote speakers. Lurita Alexis Doan, Administrator of General Services, U.S. General Services Administration, gave a memorable address about taking charge of your life as a wife, mother, and business executive. She counseled the “elder stateswomen” to mentor the up-and-coming women of the trade and advised attendees to relish the role of “the only woman in the room” by taking advantage of the free marketing while at the same time conducting yourself responsibly.

The second keynote speaker, Katherine Gurun, a mediator at JAMS, shared her personal success story and unique career path that took her to positions around the globe. She advised that opportunities often come at inconvenient times and shared her thoughts on making extremely difficult career choices. She stressed the importance of staying true to yourself and pursuing your goals, even when all logic points to giving up.

The event culminated with a networking reception and a guided tour of the Smithsonian Institute’s National Portrait Gallery and American Art Museum, conducted by the gallery’s architect, Mary Kay Lanzillotta of Hartman Cox Architects.

The conference was over the top! The next day DAVIS had an “all hands” meeting and the ladies who attended the conference were so pumped. Thank you for all your hard work in putting it together.
