Nelson Raust Joins Devine Millimet’s Trusts and Estates Group
Nelson A. Raust has rejoined the law firm of Devine Millimet where he is now practicing of counsel in the Trusts and Estates Practice Group. A seasoned attorney with over eighteen years of experience, he handles all types of estate planning, trust administration and probate issues, with a special concentration on issues related to elder law and those with disabilities.

Mr. Raust chairs the Elder Law, Estate Planning and Probate Section of the New Hampshire Bar Association. He is a founding member of the New Hampshire Chapter of the National Academy of Elder Law Attorneys (NAELA) and a member of the New Hampshire Estate Planning Council.

He received his undergraduate degree in economics and political science, magna cum laude, from the University of Rochester; his J.D. from Vanderbilt University; and his LLM in Taxation from Boston University.

Woodcock client completes $40M Series D financing
Firm client, Morphotek Inc., a privately held biopharmaceutical company focused on the discovery and development of therapeutic monoclonal antibodies recently completed a $40 million Series D financing.

Woodcock Washburn LLP is proud to have handled the intellectual property aspects of the deal. The investment from a consortium of major funds, will be used primarily to further clinical development of the Company’s lead therapeutic antibodies, MORAb-003 and MORAb-009, and to advance its pipeline of preclinical antibodies for the treatment of oncology, inflammatory and infectious diseases. Woodcock Washburn has been counsel to Morphotek since its founding.

Restrictions on Eminent Domain Approved by Majority of States Considering Them
Referenda on eminent domain restrictions were considered by the voters in 12 states as part of Tuesday’s mid-term elections. The initiatives were a response to the Supreme Court’s decision in Kelo v. New London, 545 U.S. ___ (2005). This opinion held that private redevelopment which created an economic benefit to a community qualified as a public use, thereby allowing local governments to exercise the power of eminent domain to expropriate private property under the Takings Clause of the Fifth Amendment to the US Constitution. The proposed restrictions, which would prohibit local governments from using this power for private projects, were approved in nine states and rejected in three. Restrictive propositions were approved in Arizona, Florida, Georgia, Michigan, Nevada, New Hampshire, North Dakota, Oregon, and South Carolina. Voters in California, Idaho, and Washington rejected similar measures.

Rose Kenyon Selected to Present at Wake Forest University School of Law Employment Law 2006 Seminar
Smith Anderson, Partner, Rose Kenyon, recently spoke on Employment Contracts at the Wake Forest University School of Law Employment Law 2006 Seminar.

In addition to Ms. Kenyon, the faculty for the two-day program included a distinguished group of North Carolina employment lawyers. Focusing on practical implementation and recent legal developments, the program covered a full range of topics. Hosted live at the McKimmon Center in late October, the program also will be offered three more times throughout November and December by video.

Ms. Kenyon has over 25 years of experience in the labor and employment law field and is a frequent speaker before business and professional groups. She is active in community and professional groups and is currently a member of the Board of Governors of the North Carolina Bar Association and the Board of Directors of Habitat for Humanity of Wake County. She has been recognized by Business North Carolina's Legal Elite and is a member of the Academy of Women of the YWCA of the Greater Triangle. Ms Kenyon joined Smith Anderson in 1999 after serving for over 13 years as in-house counsel for Carolina Power & Light Company (now Progress Energy), in a variety of roles including Deputy General Counsel.

Schottenstein Zox & Dunn Professionals Strive to Eliminate Racism
As part of Schottenstein Zox & Dunn’s (SZD) commitment to diversity within central Ohio’s legal community, the firm recently joined the YWCA of Columbus in the fight against racial discrimination. In support of the YWCA’s Mission of Eliminating Racism, 11 SZD professionals took part in the Racial Justice Dialogues, serving a significant role in promoting YWCA’s endeavors. SZD is the first firm in central Ohio to participate in this YWCA program.

SZD attorneys and professionals completed six, two-hour dialogue sessions which are intended to produce active learning from participants. “Our Dialogues are not lectures – they require active engagement and participation,” said Courtnee Carrigan, YWCA Director of Racial Justice. “We also stress action planning, so that the participants begin with dialogue and end with action.”

SZD professionals worked with Carrigan to explore topics including the power and prevalence of racism, issues of institutional racism and opportunities for challenging racism, including establishing action plans. “Participating in the program is rewarding for each individual on a personal level and also for our firm as whole as we strive to provide exemplary service to each client and our community,” said Smokey Williams, Director of Operations for SZD.

“Although the YWCA has conducted its award-winning Racism Dialogues program for over a decade, tailoring the program to lawyers and judges significantly broadens the program’s community impact,” said Lazarus, a former judge with the Franklin County Court of Appeals. “Judges and lawyers affect our community in so many important ways,” she said. “Not only are they responsible for running our legal system, they often serve in leadership roles in other sectors, from business to nonprofit to education. If we can engage the legal profession in the effort to eliminate racism, think of the ripple effect that will have in all parts of society,” said Lazarus.

Participating in the six sessions were the following SZD professionals: Patrick Devine, Eve Ellinger, Hansel Rhee, Susan Rector, David Ball, David Kauffman, Victoria Powers, Susan Porter, Kelly Louis, Kelly Curtis and Smokey Williams.

Friedman Comments on Maryland's En Banc Review Amendment
Dan Friedman, Special Counsel in the Litigation Department in the Baltimore office and author of The Maryland Constitution: A Reference Guide, commented on one of four Maryland ballot questions, this one dealing with en banc appeals, or the "poor man's appeal." This generally occurs when a three-judge panel hears and reviews an appeal instead of the Court of Special Appeals.

Question 2 of the ballot, which was overwhelmingly passed, amends Section 22 of Article IV of the Maryland Constitution, and provides a direct appeal to the Court of Special Appeals after en banc review of a circuit court decision, provided the appellant was not the one initially seeking en banc review.

This amendment reverses the Court of Appeals decision in Bienkowski v. Brooks, 2005, when the top court concluded that the only way to appeal an en banc decision was to the state's highest court.

Salans steps up presence in China with new partner and new managing partner
Salans announced today the appointment of corporate M&A partner Yanwen Le in its Shanghai office and the appointment of John Flanigan as the new managing partner as part of its drive to strengthen and enhance its presence in China. Yanwen Le joins Salans from the Shanghai office of Lovells.

Reflecting the increasing importance of the Chinese market to Salans' clients, the Salans' board decided unanimously to substantially increase the firm's presence in China. These appointments are key building blocks in the firm's strategy to grow this presence which also includes considering the establishment of other offices in the region.

Commenting on these developments Salans' Chairman Stephen Finch said, "Yanwen Le is an excellent fit with our Firm. He is a sophisticated corporate M&A lawyer and is highly experienced in dealing with the governmental bodies, their processes and key people. John Flanigan will play a leading role in further building our Chinese practice and integrating it with the rest of the firm. With Yanwen's arrival and John's enhanced role, we're confident that the firm is well on the way to achieving its objectives in China."

Yanwen Le has extensive experience structuring acquisitions of private, public and State-owned enterprises as well as business operations, FDI and corporate restructurings in China. Yanwen has also been involved extensively in energy and transportation related infrastructure projects in China. John Flanigan specialises in mergers and acquisitions and corporate finance, including leveraged acquisitions, securities offerings and venture capital investments.
