Davis Polk Advises IHS Inc. on a Follow-On Stock Offering
Davis Polk & Wardwell advised IHS Inc. on the public offering by a stockholder of 9.66 million shares of Class A common stock, for gross proceeds of $324 million. Goldman, Sachs & Co. and Citigroup Global Markets Inc. acted as joint book-running managers for the offering, and Morgan Stanley & Co. Incorporated acted as joint lead manager.

IHS, based in Englewood, Colorado, is one of the leading global providers of critical technical information, decision-support tools and related services to customers in the energy, defense, aerospace, construction, electronics and automotive industries.

The Davis Polk corporate team included partners Richard J. Sandler and Joseph A. Hall, and associates Christopher S. Schell, Ross A. Oliver and Patrick Jackson. Partner Harry Ballan and associate Kent Heggerud provided tax advice. Associate Jodi B. Ganz provided ’40 Act advice. Paulina Vargas was the legal assistant on the transaction. All members of the Davis Polk team work in New York.

Worth Magazine Names Katten’s Andrew Katzenstein among Top 100 U.S. Attorneys
Katten Muchin Rosenman LLP is pleased to announce that Andrew M. Katzenstein, a partner in the Firm’s Trusts and Estates Practice, has been named among the nation’s Top 100 Attorneys by Worth magazine. The complete list of the nation’s Top 100 Attorneys serving affluent individuals in a variety of practice areas, including trusts and estates, matrimonial law and philanthropy, will be published in Worth’s December issue.

Mr. Katzenstein’s selection to Worth’s Top 100 Attorneys comes on the heels of his recent election as a Fellow to the American College of Trusts and Estates Counsel (ACTEC), a professional association comprised of the most distinguished trusts and estates attorneys in the United States. Katten counts seven ACTEC Fellows among its attorneys.

Mr. Katzenstein’s practice focuses on estate, gift, generation-skipping tax planning, income tax planning for trusts, and probate and trust administration matters, including resolving disputes between fiduciaries and beneficiaries. He also devotes a significant portion of his practice to charitable organization matters.

Mr. Katzenstein has taught Estate Tax at UCLA Law School since 1992 and previously taught Estate Planning and Advanced Estate Planning in the Graduate Tax Program at both the University of San Diego and Golden Gate University. He is a frequent lecturer on a variety of estate planning and tax related topics in the U.S., Europe and Canada, and appears annually before the Los Angeles County, Beverly Hills, and California State Bar Associations. In addition, he has participated in the USC Tax Institute and the USC Probate and Trust Law Conference.

Mr. Katzenstein has served on numerous bar committees, including acting as Chair of the Century City Bar Association’s Trusts and Estates Section, the Los Angeles County Bar’s Estate and Gift Tax Section, and the Beverly Hills Bar Association’s Probate and Trust Law Section. He is currently an at-large member of the State Bar of California's Trusts and Estates Section.

Mr. Katzenstein has published articles in Estate Planning Magazine, Journal of Taxation, and Taxes Magazine, and was also one of the principal contributors to the probate treatise “Marshall and Garb on Probate.” He was recently listed as one of the “Top 100 Wealth Advisors in North America” by Citywealth (a U.K. weekly) and was included in the “Best Lawyers in America” publication in the field of Trusts & Estates Law. In addition, Mr. Katzenstein was recognized in 2004, 2005 and 2006 as a Southern California Super Lawyer in Estate Planning and Trusts in Los Angeles Magazine and Southern California Super Lawyers Magazine.

Katten’s trusts and estates attorneys provide the full panoply of trusts and estates related services on a local, national and international level. They perform sophisticated estate, tax, business, charitable and personal planning for high net worth individuals, entrepreneurs and others with complex assets or affairs. They represent both fiduciaries and beneficiaries in connection with ongoing estate and trust administration on a multigenerational basis and are also experienced in handling contested proceedings involving estates and trusts in the courts, before taxing authorities, and before governmental and regulatory authorities.

Joseph V. Norvell Receives INTA’s Volunteer Service Award
Brinks Hofer Gilson & Lione, one of the largest intellectual property firms in the U.S., is pleased to announce that Joseph V. Norvell, chair of Brinks' Copyright Practice Group, has recently been awarded the International Trademark Association's (INTA) Volunteer Service Award. The award acknowledges Mr. Norvell's outstanding volunteer contributions to the association and to the practice of trademark law.

Mr. Norvell was presented the award at INTA's Leadership Meeting in Phoenix for conceiving, implementing and administering the Young Practitioners Subcommittee. Mr. Norvell and a colleague from another firm benchmarked the needs of INTA's young practitioners and developed a mentoring program, young practitioners' receptions and a charity project that will be held in conjunction with INTA's Annual Meeting in Chicago in 2007.

Mr. Norvell focuses his intellectual property practice in trademark, copyright and unfair competition law. He has significant experience in federal court litigation; proceedings in the United States Patent and Trademark Office before the Trademark Trial and Appeal Board; Internet domain name disputes; corporate trademark licensing; franchising; publishing; and U.S. and international trademark and copyright prosecution.

RQ&N Welcomes Associate Ryan Bell
Ryan B. Bell joins the Firm’s Litigation Section after completing a judicial clerkship with Judge Ted Stewart of the U.S. District Court for the District of Utah and practicing in litigation for two years with a Salt Lake City firm. He graduated from Georgetown University Law Center in 2003 where he co-authored a note in the Georgetown Journal of Legal Ethics, and competed regionally on the law school's negotiations team. He received a B.S. in Sociology cum laude from Brigham Young University in 1999. Mr. Bell focuses his practice on a wide range of civil litigation matters.

Matheson Ormsby Prentice tops Q3 2006 European CDO Adviser to Issuer Rankings - Thomson Financial.
Matheson Ormsby Prentice has again been recognised as the leading European adviser to Collateralised Debt Obligation (CDO) Issuers in results recently released by international financial publisher, Thomson Financial.

In Thomson’s Quarter Three 2006 European Debt Capital Markets league tables, reflecting the first nine months of 2006, the firm was credited in having advised issuers on more international CDO transactions than any other law firm in Europe. In fact, Matheson Ormsby Prentice advised nearly twice as many issuers as any other law firm in Europe.

The firm has so far this year advised on CDO transactions having a combined value of over USD$8.4 billion. Thomson also ranks the firm as the leading Irish adviser in a range of other categories including Top Adviser to Issuers of EMEA Convertible Offerings, Investment Grade Corporate Debt and of International Debt.
