Finnish Banking Deal is Country's Largest Ever Cash Acquisition
White & Case acted for Danske Bank A/S in its €4.05 billion acquisition of Finnish bank Sampo Bank plc, a subsidiary of Sampo plc, the Finnish financial services group. The transaction is the largest ever cash acquisition in Finland and is expected to close, subject to regulatory approvals, in the first quarter of 2007.

This year White & Case has been involved in a number of significant European M&A deals in the banking sector. Recent work includes acting on two separate acquisitions in Turkey, advising Sabanci Holding and Akbank, Turkey’s largest private bank, in the sale of a 20 percent equity stake to Citigroup for approximately $3.1 billion, and acting for Dexia, a key player in Belgian retail banking, in its acquisition of 75 percent of Turkish bank Denizbank, for a purchase price of $2.4 billion.

"Reflecting the global trend in the banking sector, the Nordic banking market has recently seen a lot of consolidation and this is the latest deal in a series," commented Risto Ojantakanen, lead White & Case partner advising on the deal. "Finland has one of the strongest economies in the European Union and as a result, its market is seen as an attractive option by international banks."

Danske Bank is the largest bank in Denmark and a leading player in the Scandinavian financial markets. Sampo Bank is the third largest bank in Finland with 1.2 million retail and corporate customers and a network of 125 branches. In addition, Sampo Bank has significant asset management operations in Finland and banking subsidiaries in the Baltic States and in St. Petersburg, Russia.

The White & Case team advising Danske Bank on the deal was led by Risto Ojantakanen, working closely with partners Petri Haussila and Timo Airisto, as well as associates Petri Avikainen, Henrik Carlborg, Sara Leclerc, Kai Lintunen, Nella Salokatve and Mikko Luukkonen in Helsinki; counsel John Runeckles and associate Kristjan Larusson in London; and partner Maya Melnikas and associate Ksenia Pozdnyakova in Moscow.

Preeta Bansal Addresses Communications Law Seminar
Litigation partner Preeta Bansal served as one of the faculty members for the Practising Law Institute's "Communications Law 2006" seminar, held November 9-10 in New York City. The seminar examined whether copyright law will negatively affect Google, whether bloggers are journalists, whether the FCC might loosen ownership limits, how the Internet is redefining libel and other current questions in the area of communications law. Ms. Bansal served on a panel specifically examining commercial speech.

Chinese Unions Gain Strength from Government Directives and Proposed Law
Shanghai-based partner Meg Utterback is quoted in this article on Labor and Employment issues in China.

. . . For foreign firms, the changes could be costly, says Meg Utterback, a partner in Thelen Reid & Priest in Shanghai, especially for companies that previously managed human resources issues from overseas.

"Having labor unions involved means employers will need a human resources team here on the ground," Utterback says. "It's not so much that any one provision is the death knell for foreign business, but the cumulative effect is fairly significant." . . .

. . ."The Chinese are not used to doing business as we do it in the West," Utterback says. "They may balk at the way things are done in the U.S.

The Power of a Logo
Newly merged firms like Thelen Reid Brown Raysman & Steiner, Cooley Godward Kronish, and DLA Piper, and the pending Dewey Orrick combination, can—with the use of expensive consultants—spend millions of dollars on branding and marketing their new firms. . . .

. . .Following the merger of Thelen Reid & Priest and Brown Raysman Millstein Felder & Steiner last week, the new marketing team decided to do away with Brown's shiny brown polyhedron O—suggestive of a globe and intended to represent "a world of experience."

Thelen Reid Brown Raysman & Steiner's new letterhead, which will be in use on Dec. 1, is blue with an accentuated tan ampersand, but no ornate O.

Thelen Chief Marketing Officer Craig Soderstrom said it's part of a larger marketing effort aimed at minimizing confusion over the new firm's identity following the merger.

"The whole idea of creating a logo or a graphic takes a long time and can be quite controversial," he said.

A logo may eventually come, as may the shortening the firm's lengthy name—a popular marketing tactic aimed at making firm names easily memorable.

Still, the new lettering was not without consideration for the firm's new identity.

"There was the thought that Thelen Reid brings the old economy and that Brown Raysman brings the new economy," Soderstrom said. "What we tried to do was to create an identity that has a traditional look but a modern spin to it as well.
