Warner Donates Special Gift to Los Angeles Fire Department
Ray Warner, an associate in our Los Angeles office, recently donated stuffed animals belonging to the collection of his late wife, Fran, to Captain Stimson of the Los Angeles Fire Department in Century City. These stuffed animals will be given to young victims at trauma sites to help calm and make them more comfortable with firefighters and paramedics. Marc S. Cohen, a partner at Kaye Scholer who has a long-standing relationship with the Los Angeles Fire Department and is an active volunteer, helped to make this special donation possible.

Bayou Hedge Funds Announce First Litigation Settlement, More Settlements to Follow
The sole managing member of the failed Bayou Hedge Funds, Jenner & Block Partner Jeff J. Marwil, announced today the first of what he expects to be several settlements with redeeming investors.

In May 2006, the Bayou entities commenced Chapter 11 cases and, subsequently, filed lawsuits against redeeming investors to recover the proceeds of fraudulent, Ponzi scheme distributions. The filed lawsuits seek to recover fictitious profits and principal from investors who redeemed their original investments from one of the Chapter 11 Debtors between May 2004 and May 2006. The legal claims asserted by the Bayou Chapter 11 Debtors are based on the Bankruptcy Code fraudulent conveyance statutes, which provide for the recovery by the Chapter 11 estates of the proceeds of transfers made with the intent to hinder, delay, or defraud creditors. Here, the Chapter 11 Debtors’ actual fraudulent intent has been admitted by the company’s former principals and can be inferred from the existence of the Ponzi scheme.

The proposed settlement filed today for court approval resolves a lawsuit with UT Medical Group Basic Pension Plan. Mr. Marwil explained that “the settlement with UTMG is a complete victory for Bayou, as UTMG will disgorge 100% of fictitious profits.” H. Jeffrey Schwartz of Dechert LLP in New York, Bayou’s lead bankruptcy counsel, stated that “the facts uncovered with respect to UTMG support Bayou’s decision not to pursue recovery of principal.”

“This is a win-win for Bayou and the defrauded investor creditors. The litigation was resolved in a fair and equitable manner, and without unnecessary legal expense on either side. We expect to file several additional settlements within the near future, and continue in our settlement dialogue with many other defendants” said Mr. Marwil.

Hogan & Hartson Lawyers Win $2.5 Million Jury Verdict Against Homeland Security on Behalf of Pro Bono Client
Lawyers with the Miami office of Hogan & Hartson LLP won a $2.5 million jury verdict in favor of the firm's Community Services Department (CSD) client, Ulysses Hudson, in what is being hailed as a record verdict for a case referred from the Volunteer Lawyers' Project for the U.S. District Court for the Southern District of Florida.

In June 2005, Hudson sued the Department of Homeland Security alleging that Homeland Security retaliated against him starting in 2002 for his complaints about discrimination and retaliation in the workplace. Hudson also sued Homeland Security alleging that Homeland Security discriminated against him based on his disability by taking away a workplace accommodation previously given to him and then by refusing to give Hudson another workplace accommodation so he could return to work. Hudson lost similar claims against Homeland Security in a prior jury verdict, and was proceeding with this case pro se.

Upon being retained just weeks before a potential trial date, the court requested that the firm submit a response on Hudson's behalf to a potentially case-ending motion filed by Homeland Security. The court eventually denied Homeland Security's motion and ordered that the case immediately proceed to trial. The court also granted Hudson's motion to restore his jury trial demand.

The trial commenced on November 1, 2006. After five days of trial and hearing the testimony of 17 witnesses (most of whom were management and high level senior members of Homeland Security), the jury found in Hudson's favor on all of his counts on November 7, 2006. The jury awarded Hudson $2.5 million in damages, with $1.5 million of the damages attributable to the pain and mental anguish caused by Homeland Security's unlawful conduct.

The Hogan & Hartson trial team included Maria Eugenia Ramirez, Brian Lerner, Jason Kellogg, and Mark Cheskin.

Over thirty-five years ago, Hogan & Hartson became the first major law firm in the United States to establish a separate practice group devoted exclusively to providing pro bono legal services. Since its inception in 1970, the CSD has been charged with attracting and staffing both high impact matters raising issues of public importance, as well as smaller cases addressing individual problems.

The firm's Florida commitment to pro-bono work was exemplified in February of 2006 when the Hogan & Hartson Miami office held a "Pro-Bono Open House," inviting state and federal judges, law school deans, and directors of a number of the area's legal assistance groups (including Put Something Back, Legal Aid, Lawyers for Children America, Volunteer Lawyers Project, the ACLU and numerous others) to speak and meet with Hogan & Hartson's lawyers for the purpose of encouraging pro-bono work and furthering the culture of giving back to the community.

The approximately 35 lawyers in the firm's South Florida offices spent a total of 2,045 hours on pro-bono work in 2005. The total pro-bono hours contributed in 2005 by the firm's personnel in South Florida, including non-lawyer timekeepers such as summer associates and legal assistants as well as lawyers, included over 2,360 hours. As of September 30, 2006 the approximately 38 lawyers in the firm's South Florida offices have already accumulated a total of 2,176 hours dedicated solely to providing pro-bono legal services.

Hogan & Hartson Represents Essex Corporation in Merger Agreement With Northrop Grumman Corporation
Hogan & Hartson LLP advised Essex Corporation (NASDAQ: KEYW) in its merger agreement with a subsidiary of Northrop Grumman Corporation (NYSE: NOC), under which Northrop Grumman will acquire Essex Corporation. The transaction is valued at approximately $580 million and is expected to close in the first quarter of 2007, subject to customary closing conditions.

Essex provides advanced signal, image, information processing, information assurance, and cyber-security solutions, primarily for U.S. government intelligence and defense customers, as well as for commercial customers. The proposed acquisition offers new opportunities for Essex and its employees to continue and expand the range and depth of solutions they offer, and to accelerate the advancement of several key technologies.

Mergers and acquisitions attorneys Lynne Puckett, Mike Silver, John Booher, Hazvinei Mugwagwa, and Brian Diamond led the inter-disciplinary Hogan & Hartson team on this matter. Godwin Pappas Langley Ronquillo congratulates Associates Brandon Bains and Rob Sayles upon their passing the Texas Bar Examination and beginning their careers as licensed attorneys in the firm’s Dallas office.

Mr. Bains will focus his practice on construction and surety, and bankruptcy matters. He believes that only through careful preparation and attention to all of the issues presented in a case can the client's needs best be served. Chadbourne & Parke Partner Alan Raylesberg Honored at Benefit For Memorial Sloan-Kettering Cancer Center
Chadbourne & Parke LLP partner Alan Raylesberg was presented with the Humanitarian Award last night by the Award of Courage Corporation at its Award of Courage Dinner and Auction benefiting Memorial Sloan-Kettering Cancer Center. The event took place at the Grand Hyatt in New York.

Raylesberg was honored as a long-time, active supporter of the Award of Courage Dinner and of Memorial Sloan-Kettering Cancer Center, as well as for his other charitable and civic involvement. Other honorees at this year’s dinner included former NFL star and TV celebrity Ahmad Rashad and Bill "Moose" Skowron of the 1961 Yankees.

Chadbourne & Parke co-sponsored the dinner and auction with The Schultz Organization.

"I’m very pleased by this recognition," said Mr. Raylesberg. "There is no better cause to support than the war against cancer, a war that can be won with the help of dedicated medical professionals such as those at Memorial Sloan-Kettering Cancer Center."

Mr. Raylesberg is the co-head of Chadbourne’s commercial litigation practice. He has extensive experience in commercial litigation matters of all kinds, with a number of sub-specialties, including securities litigation and accountants’ liability. Mr. Raylesberg also has experience defending both individuals and entities in white collar criminal matters and in regulatory proceedings before the Securities and Exchange Commission, the New York Stock Exchange and other agencies. He was recently listed in New York Super Lawyers (2006) in the areas of securities and business litigation.

In addition to supporting the Award of Courage Corporation, Mr. Raylesberg has long been involved in a variety of professional, civic and charitable activities. These include serving on the Board of the New York County Lawyers Association, the New York County Lawyers Foundation and the Fund for Modern Courts. He is a former member of the Executive Committee of the Town Club of New Castle, N.Y. Mr. Raylesberg has represented non-profit foundations, including Dorot Foundation, and has supported other charities such as the Dr. I. Fund Foundation (which raised money for medical research), the American Cancer Society, the American Heart Association, the Leukemia Society of America, the Center for Hope, the Make a Wish Foundation and the United Jewish Appeal.

A resident of Chappaqua, N.Y., Mr. Raylesberg holds a B.A. degree from New York University and a J.D. degree, cum laude, from Boston University, where he was a member of the Law Review. He has been married for 24 years to Caren and has two children: Lisa, a junior at Cornell University, and Jason, a junior at Horace Greeley High School.
