Sean Cook, Geoffrey Gallinger and Jeffrey Moss featured presenters at MACPA seminars
BLOOMFIELD HILLS, Mich. – Butzel Long senior attorneys Sean H. Cook, Geoffrey S. Gallinger and Jeffrey D. Moss were featured speakers recently during seminars presented by The Michigan Association of Certified Public Accountants (MACPA).

During an October MACPA nonprofit conference, Mr. Cook discussed tax issues faced by tax exempts in the Sarbanes-Oxley era. He also participated in a panel discussion with Geoffrey Gallinger during an October MACPA Real Estate Issues conference. The panel presentation focused on choice of entity and self employment tax.

In addition, Jeffrey Moss was a featured speaker at the October MACPA Real Estate Issues conference. His presentation focused on avoiding dealer status and structuring gain.

McGuireWoods Partner Named "Volunteer of the Year
Alexander H. Slaughter, a partner at McGuireWoods LLP, will be honored by The Central Virginia Chapter of the Association of Fundraising Professionals during their annual National Philanthropy Day luncheon. Slaughter will be presented with the “Volunteer of the Year” award.

The event, held on Tuesday, November 14, at the Downtown Richmond Marriott, annually recognizes individuals and organizations for exceptional generosity and leadership. More than 800 people are expected to attend this year’s event.

“Everyone who knows Alex Slaughter knows of his tireless dedication to helping others. He serves as an inspiration to many,” said Robert L. Burrus, Jr., chairman of McGuireWoods. “He has spent countless hours making a difference in the lives of adults and children who need help the most in our society.”

Slaughter has been active in numerous causes. For more than 20 years, he has worked with the Daily Planet, a non-profit organization in Richmond, dedicated to addressing the issue of homelessness in the greater Richmond area. One of his contributions for the Daily Planet was helping found its Safe Haven program, which is a transitional housing operation for homeless people who are mentally ill.

He also has supported St. James Children’s Center, a pre-school and after-school education program for at-risk and special needs children in the Richmond area. As a member of its board, Slaughter created an annual fund campaign. As a member of the board for the Richmond chapter of the Multiple Sclerosis Society, Slaughter helped attract numerous community leaders to serve as volunteers and become board members.

Slaughter has served on McGuireWoods’ Executive Committee and as chairman of the Products Liability and Litigation Management Department. He also has served as the firm's general counsel. His primary legal focus is on insurance coverages for insureds in mass tort situations. He is a Fellow of the American Bar Foundation.

Robinson & Cole Land Use Attorney Selected as Participant in Yale School of Forestry & Environmental Studies Project on Climate Change
R&C Land Use lawyer John Casey was selected to be a Project Participant in the Yale School of Forestry & Environmental Studies Project on Climate Change (YPCC). The overall objective of the YPCC is to facilitate the implementation of recommendations from the Yale F&ES Conference on Climate Change, 2005. Project Participants are chosen by YPCC action project leaders based on level of commitment they are able to dedicate to the project as well as anticipated value of input. Value of input is determined by a combination of evaluation of the proposed participant's input in the Forum as well as an assessment of past professional experience. John has spoken about sea level rise and its effect on coastal development and regulations at the University of Colorado School of Law, Natural Resources Law Center's 27th Annual Summer Conference.

Paul, Weiss Represents Syndicate of Underwriters in $600-Million Notes Offering
On November 10, Talisman Energy Inc., a Canadian oil and gas company, completed its offering of $600 million of 6.250 percent notes due in 2038. The offering was made off of a shelf registration statement for $2 billion of debt securities established on December 19, 2005. In this transaction, Paul, Weiss represented a syndicate of underwriters led by Banc of America Securities LLC and Citigroup Global Markets Inc., as joint book-running managers. The Paul, Weiss team included corporate lawyers Andrew Foley, Christopher Arana, Leslie Inamasu and Stanislav Grigoryev; tax lawyers David Sicular and Patrick Karsnitz; litigator Liza Velazquez; and environmental lawyer William O’Brien.

Paul, Weiss Represents Wellspring Capital Management and Tube City IMS Corporation in Sale
On November 10, Paul, Weiss clients Wellspring Capital Management LLC and Tube City IMS Corporation announced that they have entered into a definitive agreement to sell all of the outstanding shares of Tube City to Onex Partners, for total consideration of $620 million on a cash and debt-free basis, subject to post-closing adjustments. Tube City is the largest North American provider of raw materials procurement, scrap and materials management and slag processing services to steel mills. Onex Partners is a $3.5-billion private equity fund managed by Onex Corporation, Canada’s largest buyout firm. Paul, Weiss represented Wellspring, Tube City and members of Tube City management who are also making a significant equity investment in connection with this transaction. The sale of Tube City was the result of a dual-track process in which Wellspring simultaneously pursued an initial public offering of Tube City and an auction for a private sale. The Paul, Weiss team included corporate associates Steven Williams, Krista Penna and Lucy Popkin, intellectual property associate Clinton Stauffer, employee benefits counsel Lawrence Witdorchic and associate Paul Koppel and environmental counsel William O’Brien. The Paul, Weiss lawyers working on the IPO alternative included associates Brian Korn, Krista Penna and Sidne Koenigsberg and former associate Carl McCarthy. Partners involved in the transactions included Eric Goodison, Peter Rothenberg, Ray Russo and James Schwab.
