Hederman Urges Wall Street’s Quantitative Analysts to Be Part of the Energy Market Solution
William Hederman, Executive Director of Morgan Lewis Energy Resources Group and FERC's former "Top Cop," told a gathering of hundreds of Wall Street's Quantitative Analysts at Goldman Sachs' auditorium in lower Manhattan that time is running short for industry to lead the way in assuring energy market integrity. He noted that several individual energy companies have constructively engaged to meet the challenges of FERC and CFTC regulations but urged the investment community to do more.

In assessing the implications of the November 7 election results, he told the International Association of Financial Engineers to expect Congress to pursue further initiatives on energy trading transparency. He described the current and evolving energy marketplace as rich with opportunities for the quantitative specialists he was addressing.

Hederman said a strategic formula for success in "adding value both for your firm and for society" is the same:

Scrupulously assure compliance and ethics.
Proactively engage policy formulation.
Intensively analyze fundamentals in energy and environmental markets.
Combine fundamental insights with quantitative analysis.

Prior to joining Morgan Lewis, Hederman served as the founding Director of FERC's Office of Market Oversight and Investigations. Earlier he was an executive at Columbia Gas Transmission and headed the IEA's International Centre for Gas Technology.

Douglas R. Cole Joins Jones Day Columbus Office
The international law firm Jones Day is pleased to announce that Douglas R. Cole has joined the Columbus office as Partner in the Issues and Appeals practice. In addition he will serve intellectual property, patent and technology clients.

Prior to joining Jones Day, Mr. Cole served as State Solicitor in the Ohio Attorney General's office, during which time he argued five cases before the United State Supreme Court, as well as numerous cases in the Sixth Circuit Court of Appeals, the Ohio Supreme Court and other appellate courts in Ohio.

Prior to his move to Ohio Mr. Cole practiced law in Illinois where he counseled clients relating to intellectual property and patent matters as well as commercial litigation.

Knapp Discusses Principles-Based Standards for Public Company Annual Reports and Proxy Statements
Jenner & Block Partner Tobias L. Knapp highlighted the implications of the Security and Exchange Commission’s amended executive compensation and related party disclosure rules in an article published in Compliance Week.

In a recent speech, SEC Corporate Finance Director John White emphasized the "principles-based" approach to these disclosure requirements, which were adopted by the SEC this July.

The emphasis on principles-based disclosure in White’s speech "reflects a regulatory trend against reliance on bright-line rules and toward a more demanding, fact-based analysis of related person transactions and other disclosure issues," Mr. Knapp told Compliance Week.

Mr. Knapp emphasized that that public companies must put in place a process to prepare their annual reports and proxy statements "that ensures they can live up to the challenges of principles-based disclosure."

Officers and directors should be "sensitized to the importance of the facts they provide to the company’s disclosure process," Mr. Knapp told Compliance Week. He noted that related person transactions "can begin to look very different, and appear more or less material to the company, with each additional layer of factual context.

Five Holland & Knight Lawyers Named to Worth Magazine's Top 100 Attorneys List
Holland & Knight LLP is pleased to announce that five lawyers have been named to Worth Magazine's Top 100 Attorneys List, published in its December 2006 issue. Andrew Gelman, Kenneth Harvey, Edward Koren, J. Alan Jensen and Alban Salaman are included on this prestigious list as top lawyers in the nation serving affluent individuals' personal and family needs.

In the selection process for its "100 Top Attorneys" list, Worth's editors evaluated lawyers specializing in trusts and estates, philanthropy, elder care, matrimonial and other private practice areas, using feedback from professionals in the wealth management industry, including financial advisors, accountants, consultants, family office executives, academics and clients. Finalists were chosen based on their experience, professional affiliations, publishing history, and attention to important legal trends.

With five lawyers named to Worth's Top 100, Holland & Knight boasts more lawyers on this list than any other law firm in the country. The firm has the largest group of private wealth services lawyers in the country, and the highest number of lawyers who are Fellows of the American College of Trust and Estate Counsel (ACTEC).

Edward Koren (Tampa)
This is the second year that Edward Koren, a partner in the firm's Tampa office, has been named to Worth's Top 100 list. Koren's practice is heavily involved in estate planning and administration matters, particularly focusing upon planning for executives and owners of closely held business interests, as well as the determination of the value of entities. He often handles tax disputes involving succession and income taxes, and is involved in various aspects of probate and trust controversies, both as counsel and as an expert witness.

Koren is the immediate Past Chair of the Real Property, Probate and Trust Law Section of the American Bar Association, after serving for two years as head of its Probate and Trust Division. He is immediate past Chair of the Estate and Gift Tax Committee of the American College of Trust and Estate Counsel, and also is past Regent. Koren is a Fellow of the American College of Tax Counsel and the American Bar Foundation. He is included in The Best Lawyers in America for 2007.

J. Alan Jensen (Portland, Ore.)

J. Alan Jensen, a partner in the firm's Portland, Ore., office, focuses on tax planning for individuals and businesses, including corporate and estate planning for closely-held and family-owned businesses. He has an extensive background in the use of life insurance. Jensen advises businesses and individuals with regard to the operation of their businesses as well as the acquisition of new businesses or the divestiture of existing businesses. Additionally, he counsels individuals on the successful transfer of family-owned businesses and other assets between generations. Jensen is the practice group leader for the firm's Private Wealth Services, Family Business Group, and the team leader for the Northwest Private Wealth Services Team. Alban Salaman (Washington, D.C.)

Alban Salaman is a partner in the firm's Washington, D.C., office and chair of Holland & Knight's Mid-Atlantic Region Private Wealth Services Group. He practices in the areas of estate planning, estate administration, and premarital agreements. He has more than 20 years' experience in designing sophisticated estate tax plans for wealthy families in the metropolitan Washington, D.C., area and professional athletes nationwide. Salaman also administers large estates, supervises the preparation of federal estate tax returns, and represents clients with respect to federal estate tax audits.

Both the Washingtonian magazine and the Legal Times of Washington have recognized him as a leading trusts and estates attorney in the metropolitan area. He also is included in The Best Lawyers in America for 2007. Salaman is a member of the Board of Directors of the D.C. Estate Planning Council and the Washington, D.C., chapter of the American Committee for the Weizmann Institute of Science.

Andrew Gelman (Chicago)

Andy Gelman, a partner in the firm's Chicago office, concentrates his practice in estate planning and estate and trust administration and controversies and chairs the firm's Illinois private wealth services practice group. He advises in the area of federal and state estate, gift and generation-skipping transfer taxation, asset planning and various types of property transfers and rearrangements. Gelman also concentrates in the area of legal disability, the use of trusts to protect disabled adults and minors, and probate proceedings such as the adjudication of incompetency, termination of such adjudication, and financial planning and health care for a ward.

Gelman is a member of the Chicago Estate Planning Council and a member and former division chair of the Probate Practice Committee of the Chicago Bar Association. He is included in The Best Lawyers in America for 2007, and has been named a Leading Lawyer by Law Bulletin Publishing Company in the field of trusts, wills and estate planning law.

Kenneth L. Harvey (Boston)

Kenneth L. Harvey, a partner in the firm's Boston office, concentrates his practice in the areas of estate planning and administration, trusts and estates law, trusts administration, and federal and state taxation. He is an active member of the Boston Bar Association, the Massachusetts Bar Association (Taxation Section and Probate Section), and the American Bar Association. Hogan & Hartson Advises MedImmune in its Sale of CytoGam to ZLB Behring
MedImmune, Inc. (Nasdaq: MEDI) has announced its intent to sell CytoGam® to ZLB Behring AG. Cytogam is a biologic drug designed to help prevent cytomegalovirus (CMV) infections in certain organ transplant patients. Under the terms of a definitive agreement entered into November 8, 2006, ZLB Behring will make a one-time upfront payment of $50 million to MedImmune, plus equipment and inventory payments, for full worldwide rights to CytoGam. Further, an additional $70 million may be paid to MedImmune by ZLB Behring upon achievement of certain cumulative net sales milestones.

MedImmune is a biotechnology company that is focused on the areas of infectious diseases, cancer, and inflammatory diseases. MedImmune and ZLB Behring expect the transaction to be completed in approximately 30 days, subject to fulfillment of customary closing conditions, including any necessary governmental approval.

Hogan & Hartson LLP represented MedImmune in the transaction. The interdisciplinary Hogan & Hartson team included Michael Williams, Asher Rubin, Kevin Clayton, and Hazvinei Mugwagwa (corporate and securities); Robert Brady and Ellen Chung (FDA); Alice Curran (health); Joy Sturm (government contracts); Victoria Sheckler (intellectual property); and Michele Harrington and Tracy Weir (antitrust).

Dykema Patent Agent Becomes Attorney
Dykema announces that Gregory M. Zinkl, Ph.D., a registered patent agent, has become licensed to practice law in the State of Illinois. Dr. Zinkl currently drafts and prosecutes patent applications in the U.S. and for use abroad. He also advises on scientific matters, especially in the areas of biotechnology, including plant and mammalian cell biology, molecular biology, developmental biology and genetics.

In addition to his patent prosecution experience, Dr. Zinkl has provided support in due diligence, invalidity, inventorship and freedom to operate opinions, and assisted with litigation involving inventorship, know-how, patent infringement and unjust enrichment by improper intellectual property appropriation. Representative technologies include gene therapy, stem cells, diagnostic tests (antibody-, gene- and cell-base), recombinant antibodies and enzymes, polymerase chain reaction (PCR) technologies and plant biology.

A resident of Chicago, he received a B.A. degree, summa cum laude, from Millikin University, his Ph.D. from Harvard University, and his J.D. from Chicago-Kent College of Law.

Erna Womble Organizes Professionalism Seminar and Speaks at Ceremony Honoring District Court Judge
The legal profession constantly changes, but maintaining the highest standards of professionalism remain as important today as ever.

That was the message at the recent "Renaissance of Professionalism" seminar, presented Oct. 13 by the North Carolina Bar Association and organized by Womble Carlyle attorney Erna Womble. For the past two years, Womble has chaired the Professionalism Committee of the N.C. Bar Association. The seminar marked the completion of more than 18 months of dedicated work.

By just about every measure, the seminar was a total success. Attorneys from across the state filled Dorsett Auditorium at the N.C. Bar Center in Cary. To accommodate the overflow crowd, a closed-circuit video was set up in an additional room, which was filled to capacity.

The seminar featured several panel discussions and presentations by a number of federal District Court and State Superior Court and District Court judges. Womble introduced the CLE and moderated a panel discussion on “The Worthy Adversary: Professionalism as it Relates to the Lawyer’s Relationship with Other Lawyers.” Each panelist addressed a different hypothetical problem involving an attorney’s relationship with adversaries.

Other topics discussed at the seminar included client relationships, professionalism in the courtroom and the lawyer’s role in the community.

Womble introduced Mike Colombo, Immediate Past President of the N.C. Bar Association, who complimented the work done under Womble’s leadership of the Professionalism Committee, and said that standards of professionalism generally are high among North Carolina attorneys. But as the legal arena grows more competitive and as more attorneys enter the job market, Colombo said it is critical for the Bar Association to focus on maintaining those high standards.

"We must find ways to meet the challenge to maintain and improve the level of professionalism in the face of these changes," he said.

One week later in Charlotte, Womble spoke in Federal Court at a ceremony honoring the late U.S. District Court Judge H. Brent McKnight.

Womble remembers McKnight as a brilliant judge and principled attorney. But she also knew him to be a loving family man and devout Christian, with a great sense of humor, as McKnight was a good friend of Womble and her law partner and husband, Bill Womble, Jr.

McKnight died of esophageal cancer in Nov. 2004. On Oct. 20, 2006, judges, attorneys, friends and family gathered to remember him, as the Judges of the U.S. District Court for the Western District of North Carolina dedicated a portrait of McKnight at the United States Courthouse in Charlotte.

Erna A.P. Womble, a member of Womble Carlyle’s Product Liability Litigation Practice Group, was one of only two attorneys chosen to make a presentation at the ceremony.

"It is not possible to forget Brent McKnight and what he stood for. He was a magnificent human being," Womble said at the presentation. "It is a measure of the worth of a person, particularly a lawyer or judge, to have it said of him: 'To know him was to respect him.' To know H. Brent McKnight was to respect him."

Womble succeeded McKnight as chair of the North Carolina Bar Association’s Professionalism Committee. Following McKnight’s death, Womble and the Professionalism Committee established the H. Brent McKnight Renaissance Lawyer Award recognizing North Carolina attorneys who embody some of the same qualities as McKnight: respect for others, service to the community and profession, enthusiasm for intellectual achievement and commitment to excellence.

McKnight had been a Morehead Scholar and Rhodes Scholar. U.S. Supreme Court Chief Justice William Rehnquist had appointed him to the Advisory Committee on Civil Rules to The Judicial Conference of The United States. Before becoming a judge in the U.S. District Court for the Western District of North Carolina, McKnight served as an assistant district attorney in Mecklenburg County, a Mecklenburg County District Court Judge and a U.S. Magistrate Judge.
