Firm Represents Carlyle Group in Sale of Interest to Affiliate of Mubadala Development Co.
The Firm is representing The Carlyle Group in connection with the announced agreement to sell a 7.5% non-voting interest in Carlyle to an affiliate of Mubadala Development Company, an investment company owned by the government of the Emirate of Abu Dhabi, for $1.35 billion. Under the terms of the agreement, Mubadala and/or its affiliates will also commit $500 million to Carlyle Partners V, L.P., Carlyle's new U.S. buyout fund. The deal represents a 10% liquidity discount to the parties' agreed-upon $20 billion valuation of Carlyle.

The Simpson Thacher team working on the transaction includes: Bill Dougherty, Josh Bonnie, Tom Bell, John Creed, Barrie Covit, Anthony King, Kurt Dudas and Kay Ch'ien.

Christopher Conniff joins Ropes & Gray's Government Enforcement Group
Ropes & Gray is pleased to announce that Christopher P. Conniff has joined the firm's Government Enforcement Group as a partner. Conniff will base his practice in the firm's New York office.

Conniff comes to Ropes & Gray after serving as an Assistant United States Attorney in the Southern District of New York for six years. During this time, he led teams that prevailed in a number of significant and highly publicized cases, including the prosecution of more than 30 members and associates of the Gambino Organized Crime Family of La Cosa Nostra and of an international arms-trafficking organization. In addition, he investigated and prosecuted defendants in a variety of cases, including money laundering, fraud, tax evasion, embezzlement, RICO, murder in aid of racketeering, and narcotics trafficking. He has also argued appeals before the U.S. Court of Appeals for the Second Circuit.

Before serving as a federal prosecutor, Conniff was a partner at Gage & Pavlis, representing clients in cases ranging from public corruption to fraud and tax evasion, as well as complex civil matters. For example, he advised one of three defendants in one of the largest international bank-fraud cases ever brought by the New York County District Attorney's Office. He also successfully defended an Internet research firm in a securities class-action filed in the United States District Court for the Southern District of New York and a national discount brokerage firm against an executive's breach of contract.

"Our clients in New York and throughout the country have gained another impressive advocate," said Joan McPhee, co-chair of the Government Enforcement Group. "Christopher's impressive experience both as a federal prosecutor and as a defense attorney in private practice will be a valuable addition to Ropes & Gray's Government Enforcement Group."

Conniff is admitted to the bars of the State of New York and of the Commonwealth of Massachusetts. He earned his undergraduate degree from the College of the Holy Cross and his law degree from Fordham University School of Law.

Two Leading Corporate Partners Join DLA Piper in New York
DLA Piper has announced that Drew Chapman and Jack Kantrowitz, both leading corporate and securities lawyers, have joined the firm’s Corporate and Finance practice group as partners in New York. Their move marks a significant step in the continued expansion of DLA Piper’s global Corporate and Finance practice in New York.

The arrival of these new partners comes approximately six months after Roger Meltzer joined DLA Piper from Cahill Gordon & Reindel LLP to lead an aggressive expansion of the firm’s Corporate and Finance practice in the U.S. and globally. As Global Chair of the practice, Meltzer has been working to attract and manage significant engagements in New York and abroad and to lead efforts to recruit prominent corporate lawyers in major financial centers around the world.

“The addition of these partners is a significant step in advancing our strategy to grow our leading global corporate and finance practice,” said Meltzer. “Jack brings substantial experience with cross-border IPOs and strong ties to the world’s foremost investment banks, with whom we are actively working to forge stronger relationships around the world. DLA Piper’s corporate group has seen a number of additions in the past few months. Last week, the firm announced that private equity partners Steven Napolitano, Richard Ginsberg, Brendan Head, Christopher Giordano, and Jason Booth joined the firm in Chicago and New York. Also last week, DLA Piper announced the addition of two new corporate partners in Hong Kong: Stephen Peepels and Gene Buttrill. Earlier this month, the firm added four new corporate partners in Phoenix: Steven Pidgeon, David Lewis, Greg Hall and Chris Miner. These additions closely follow other corporate lateral hires, including Khoa Do and Michael Reagan as partners in the Palo Alto office, as well as Chris Paci in the New York office.

McDermott Ranked Among Leading Corporate Transaction Firms
McDermott Will & Emery is ranked among the leading transactional law firms in a first-of-kind report, Law Firm Leaders and Contenders in the Corporate Transactions Market, just released by BTI Consulting. McDermott, an international law firm with more than 1,100 lawyers, ranked among the top nine firms overall and was identified as a "major player" among transactional law firms for both domestic and cross-border transactions.

California Intellectual Property Practice Welcomes New Partner
McDermott Will & Emery is pleased to announce the arrival of Timur S. Engin as partner in the Firm’s Intellectual Property, Media & Technology Department based in Silicon Valley.

Mr. Engin’s practice focuses on patent litigation and he has experience in the biotechnology, semiconductor, computer networking, geographic information system, wireless communications, medical device, chemical, consumer appliance, commercial graphics and digital video recorder industries. He has also prosecuted patents related to medical devices and techniques, environmental biology and computer networking. Mr. Engin has represented individual and corporate clients in private securities litigation and is experienced in internal corporate investigations.

"Timur is an important addition to the Firm’s growing intellectual property practice, California alone has added six intellectual property partners this year," commented Anthony de Alcuaz, partner-in-charge of the Silicon Valley office. "He brings a wealth of experience from which our clients will greatly benefit."

Mr. Engin earned his J.D. from the University of Virginia School of Law and his B.S. in biology from the University of South Carolina, Honors College. He is registered to practice before the U.S. Patent and Trademark Office and is admitted to the bars of California and Massachusetts. Mr. Engin is also admitted to practice in the U.S. District Court for the District of Massachusetts, the Northern District of California and the Court of Appeals for the Federal Circuit.

Warren Joins Lewis and Roca LLP As Of Counsel
Lewis and Roca LLP is proud to announce that Kevin Warren has joined the firm as of counsel in the firm’s Sports & Entertainment practice group.

Warren will focus his practice on all sports and entertainment related matters. Additionally, Warren serves as Vice President of Operations and Legal Counsel for the Minnesota Vikings. He is responsible for legal affairs for both the team and the Vikings’ charitable entity (Viking Children’s Fund), special projects, various day-to-day business operational issues and strategic planning while also serving as the Vikings’ primary liaison with the NFL. Warren’s first exposure to sports law came while working with a law firm that specialized in representing universities charged with NCAA violations. Warren also spent the 2001-02 NFL seasons with the Detroit Lions as Senior V.P. of Business Operations/General Counsel.

Prior to joining the Detroit Lions, Warren worked from 1997-2001 with the St. Louis Rams, including the Rams’ Super Bowl XXXIV championship over the Tennessee Titans. During his tenure with St. Louis, Warren served as V.P. of Player Programs/Football Legal Counsel from 1997-2000 before serving as V. P. of Football Administration in 2001.

Warren received his J.D. from The University of Notre Dame Law School (1990), his M.B.A from Arizona State University (1988) and his B.S. from Grand Canyon University (1986).
