Mayer, Brown, Rowe & Maw advises Fujitsu Services on the acquisition of the majority of shares in TDS
Mayer, Brown, Rowe & Maw LLP is advising Fujitsu Services on the acquisition of the majority of shares in TDS AG in Neckarsulm. Corporate partner Dr. Rüdiger Herrmann from the firm's Frankfurt office is leading the team advising on this transaction. He is assisted by partners Mark Walker, Dr. Ulrike Binder, and Dr. Hans-Georg Kamann, who are advising in the areas of corporate law, capital markets law, and cartel law, respectively. The Mayer, Brown, Rowe & Maw team worked together with Fujitsu Head of Legal Jonathan Smith. Fujitsu Services will acquire most of the shares from the financial investor General Atlantic. Other shareholders have also offered their shares to Fujitsu Services. As a result, Fujitsu Services will hold 79.1 percent of the shares. The transaction still requires approval by the relevant cartel authorities. A public takeover offer will be submitted subsequently.

The London office of Mayer, Brown, Rowe & Maw has been advising Fujitsu Services for several years. This transaction constitutes another milestone for the firm's Frankfurt office in terms of its record of advising the IT industry, having expanded its existing relationship with the client to include this significant matter, advising on both corporate and IT-law.

Fujitsu Services is a subsidiary of the Fujitsu Group and operates as an IT service provider across Europe. Fujitsu Services designs, implements, and operates application and ITinfrastructure.

Through the acquisition, the service provider intends to strengthen its market position in Germany and send a clear signal to the market of its European growth strategy.

TDS operates in IT outsourcing, IT consulting and HR services. The company offers its services to both medium-sized and significant commercial customers.

Krieg DeVault LLP Announces Partnership of Vicki J. Wright
Vicki J. Wright has been named a partner in the law firm of Krieg DeVault LLP.

Ms. Wright is a 1982 graduate of Indiana University, where she received a B.A. in sociology. She received her Paralegal Certificate from the University of Missouri at Kansas City in 1992. Ms. Wright received her law degree from the Indiana University School of Law - Indianapolis in 1998. Ms. Wright joined Krieg DeVault as a senior attorney in October, 2004. She is a member of the firm’s Construction, Litigation, and Real Estate & Environmental Practice Groups. Ms. Wright represents multi-national, Fortune 500 companies and mid-west based businesses involved in environmental matters, complex litigation, products liability claims and toxic tort litigation. Aside from State and Local bar work, Ms. Wright is a Council member for the American Bar Association Section of Environment, Energy and Resources and a Fellow of the American Bar Foundation. She will be teaching the “Law of Hazardous Waste Regulation” at the Indiana School of Law – Indianapolis, Spring 2007 semester. She is a member of the Indiana State Bar Association Ethics Committee and occasionally speaks and writes on matters of professional responsibility as applied to environmental law. Ms. Wright resides in Indianapolis, Indiana.

Krieg DeVault LLP Announces Partnership of David E. Corbitt
David E. Corbitt has been named a partner in the law firm of Krieg DeVault LLP.

Mr. Corbitt received a Doctor of Jurisprudence degree, cum laude, in 1997 from Indiana University School of Law – Bloomington, where he was an associate member of the Indiana Law Journal. He received a Bachelor of Science degree in accounting from Central Connecticut State University where he was also a recipient of the Scholar-Athlete Award as well as other honors for academic achievement. Mr. Corbitt joined Krieg DeVault as an associate in January, 2003. Julie C. Bolling has been named a partner in the law firm of Krieg DeVault LLP.

Ms. Bolling is a 1994 graduate of the University of Indianapolis, where she received a B.S., magna cum laude, in Business Administration. She received her law degree, magna cum laude, from the Indiana University School of Law - Indianapolis in 1997. Ms. Bolling joined Krieg DeVault as an associate in May, 2001. Hunton & Williams Advises Amadeus in Leading Conglomerate Merger Case Before the German Bundeskartellamt
In an important decision handed down by the Bundeskartellamt, Hunton & Williams has achieved clearance for the acquisition of German-based TravelTainment AG by its client, Madrid-based Amadeus IT Group SA. Amadeus is the holding company of a group of IT companies, which offer technology, marketing and distribution services to the travel industry worldwide.

Dr. Michael Rosenthal, managing partner of the Brussels office and member of the Competition Practice Group, led the Hunton & Williams effort. In its review of the merger, the Bundeskartellamt was concerned about an alleged strengthening of Amadeus’ position in leisure computer reservation systems. After an in-depth Phase II investigation, the Bundeskartellamt cleared the transaction without conditions, and, notably, without even issuing a Statement of Objections decision is of general interest as it discusses in detail the authority’s approach, under German merger control rules, to conglomerate effects as well as to de minimis markets. It also discusses issues of market definition and the competitive conditions in a changing travel industry.

Despite Amadeus’ alleged 65-70 percent market share, the Bundeskartellamt indicated in its decision that the presumption of dominance (triggered under German law when a 33 percent market share threshold is exceeded) appeared to have been rebutted by a number of countervailing factors.

With regard to the authority’s approach to conglomerate effects, the authority ultimately agreed not to investigate bundling and refusal to supply concerns raised by highly critical third parties, as this was an abuse of dominance issue, which fell outside the scope of German merger control. Notably, the approach taken by the Bundeskartellamt in Amadeus/TravelTainment is contrary to the approach adopted at the EU-level. In Tetra Laval/ Sidel and GE/Honeywell, the European Court of First Instance decided that the European Commission was entitled to investigate in a merger control proceeding (and did not need to leave it to post-merger behavioral control under Article 82 EC) hether it was likely that the merged entity would use its ability to bundle products to distort competition.

Michael Esser-Wellié, who had previously split his time between Brussels and Düsseldorf, specialises in complex antitrust aspects of mergers and acquisitions, joint ventures, as well as in international cartel cases.
