Baker & McKenzie Represents Oceanis Group Shareholders on Group's Sale to MFS Living and Leisure
Baker & McKenzie advised the shareholders of the Oceanis Group (one of the world's largest aquarium owners and operators) on the sale of the group to MFS Living and Leisure Group for in excess of A$150 million.

The International Oceanis Group has aquariums in Australia, South Korea, China and Thailand. The global nature of the Oceanis Group meant that Baker & McKenzie's lead partner Hamish Walton and partner Bruce Webb needed to "obtain relevant consents to facilitate transfer of the aquarium business in a number of jurisdictions," commented Walton. "Our team had to negotiate a very complex suite of documents in an extremely short time frame," he added.

The MFS Living and Leisure Group owns a diversified portfolio of large leisure businesses in Australian Alpine Enterprises Holdings Pty Ltd and Oceanis Holdings Ltd. MFS Living and Leisure Group was represented by Deacons in the transaction.

Partners Vote to Create "K&L Gates"
Kirkpatrick & Lockhart Nicholson Graham LLP (K&LNG) and Preston Gates & Ellis LLP (PG&E) today announced that their partners have voted overwhelmingly in favor of a proposed combination of the two firms effective January 1, 2007.

The name of the combined firm will be Kirkpatrick & Lockhart Preston Gates Ellis LLP, and the firm will be branded as "K&L Gates." K&L Gates will comprise approximately 1,400 lawyers and 21 offices located in North America, Europe and Asia. The combination will rank as one of the most substantial in the history of the legal profession, and it will create one of the world’s largest law firms. The firm will be expected to have revenue exceeding US$750 Million in 2007, its first full year of existence.

Peter Kalis, K&LNG’s Chairman and Managing Partner, and Karen Glover, PG&E’s Managing Partner, said "When voting in favor of this combination, our partners were asked by their firm leaderships to endorse a specific vision of a law firm, and they have enthusiastically done so. Asstated in the combination agreement,

"The goal of the Combination is to achieve a focused alignment of the Combined Firm’s business with the business of clients and potential clients in an era characterized by intense consolidation and globalization and to create a Combined Firm that is committed to exemplary client service, to ethical probity, to best practices in all aspects of the enterprise, to reasonable and appropriate opportunities for work-balanced careers, to professional excellence, to workplace diversity, to the health and well-being of all of its stakeholders, to reasoned discourse and articulate communications, to professional development, to financial soundness, to community service and representations pro bono publico, and to effective management including practice group management as a key means to accomplishing its objectives."

K&L Gates will be governed by a firmwide Management Committee whose seven-person Executive Committee is believed to be one of the most diverse such governance bodies in the profession, as it will include two women, one Asian American man, and one African American man. Kalis will serve as Chairman and Global Managing Partner, and Glover will serve as Global Integration Partner.

K&L Gates will have offices in Anchorage, Beijing, Boston, Coeur d’Alene, Dallas, Harrisburg, Hong Kong, London, Los Angeles, Miami, Newark, New York, Orange County, Palo Alto, Pittsburgh, Portland, San Francisco, Seattle, Spokane, Taipei and Washington, D.C. K&L Gates counts among its strategic advantages:

Former CFTC Commissioner Fred W. Hatfield Joins Patton Boggs LLP
Fred W. Hatfield, Commissioner of the Commodity Futures Trading Commission (CFTC), will join Patton Boggs LLP as a Senior Public Policy Advisor in early January 2007. Mr. Hatfield’s practice will focus on financial services and hedge fund-related matters.

“Fred is a valuable addition to the firm, combining comprehensive knowledge of financial policy with a sophisticated understanding of the political forces that influence and impact regulatory decisions,” said Patton Boggs’ Managing Partner, Stuart Pape. “These attributes will enhance our growing financial services practice.”

A prominent Democrat with several years of legislative and administrative experience, he was tapped by President Bush to serve as a CFTC Commissioner in December 2004. He facilitated discussions between the Commission and the Securities and Exchange Commission (SEC) on single stock futures, foreign-based indexes, and debt security indexes. He also represented the CFTC at meetings of the President’s Corporate Fraud Task Force, a federal interagency cooperative law enforcement effort chaired by the Deputy Attorney General.

Before joining the CFTC, Mr. Hatfield worked extensively on Capitol Hill serving as Chief of Staff to former Senator John Breaux (D-LA) and was Chief of Staff to former House Majority Whip, Tony Coelho (D-CA).

In addition, he served as Deputy Commissioner General of the U.S. Pavilion at the World’s Fair in Lisbon, Portugal in 1998.

In the private sector, Mr. Hatfield has worked as a Senior Vice President, Human Relations and Community Relations at Education Training Communications Inc., as a Partner at the lobbying firm, Copeland and Hatfield Government Affairs, and as a teacher in Fresno, California.

A native of California, Mr. Hatfield graduated summa cum laude from California State University, Fresno.

Moser & Marsalek, P.C. elects a new Principal
The law firm of Moser and Marsalek, P.C. elected Zachary R. Pancoast as a Principal, effective January 1, 2007.

Zachary R. Pancoast , an attorney with Moser & Marsalek, P.C., since 2001, devotes his practice to Medical & Health Care Liability defense. Mr. Pancoast and The Medical & Health Care Liability group has defended hospitals, physicians, nurses, nursing homes and other healthcare institutions throughout Missouri and Illinois. Mr. Pancoast and the group also specialize in the defense of medical products and devices.

Mr. Pancoast is a member of The Missouri Bar, Illinois State Bar Association, American Bar Association, Bar Association of Metropolitan St. Louis, Lawyer's Association of St. Louis and is licensed to practice in both Missouri and Illinois. He also serves on the Board of Directors for the St. Louis Chapter of the Cystic Fibrosis Foundation.

Veteran of Disney and Major Music Clients in Los Angeles Joins Leading Entertainment Firm in Central US
PAUL BEZILLA JOINS LOMMEN ABDO PRACTICE IN MUSIC, FILM, TV; WILL FOCUS ON INTELLECTUAL PROPERTY, TECHNOLOGY AND OTHER ENTERTAINMENT MATTERS.

With a resume minted in Los Angeles, veteran entertainment lawyer, Paul Bezilla, has joined the Twin Cities-based law firm of Lommen, Abdo, Cole, King & Stageberg, P.A. Bezilla’s 25-plus years in the entertainment industry includes legal services for an array of high profile individuals and companies, including Frank Sinatra, Cher, Quincy Jones, Warner Bros. Records, The Walt Disney Company, PolyGram Music Publishing and K-tel Records. Bezilla’s new position increases Lommen Abdo’s representation in the entertainment field to seven attorneys, further establishing it as the largest entertainment law practice based in the Midwest.

Bezilla joins Lommen Abdo to work on its music, film, television, technology and other entertainment law matters. He was born in Chicago, raised in Iowa and attended the University of Iowa College of Law, after touring with a rock band throughout much of the country following college.
