Robinson & Cole LandLaw Partner to Teach at Harvard Graduate School of Design and Kennedy School
R&C LandLaw Partner Brian Blaesser has been invited to teach the graduate level lecture course on Planning and Environmental Law offered jointly by the Harvard Graduate School of Design (GSD) and the Kennedy School of Government.

Mr. Blaesser, who will serve as a Visiting Lecturer, is the author or co-author of various books and articles on land use, planning and environmental law, including Discretionary Land Use Controls (Thomson-West: 2006), Federal Land Use Law & Litigation (Thomson-West: 2006) and Land Use and the Constitution: Principles for Planning Practice (Planners Press: 1989). The course will cover concepts and principles regarding property rights, comprehensive planning, local land use regulation, environmental law, growth management controls, takings, including eminent domain, and federal statutes affecting local land use, such as the Religious Land Use and Institutionalized Persons Act (RLUIPA) and the Telecommunications Act (TCA).

Paul Hastings Represents Tokyo Electric Power in US$3.42 Billion Acquisition of Mirant's Power Plants in Philippines
Paul, Hastings, Janofsky & Walker (Paul Hastings), a leading international law firm, has successfully represented The Tokyo Electric Power Company, Incorporated (TEPCO) in its successful bid, together with Marubeni Corporation, to acquire Mirant Corporation's power generation business in the Philippines. Mirant is selling its ownership interests in the Pagbilao, Sual and Ilijan power plants, with a total combined capacity of 2,203MW.

The purchase price of approximately US$3.42 billion plus working capital represents one of the largest M&A energy transactions in Asia in recent years. Paul Hastings lawyers from its Tokyo and Hong Kong offices have worked with TEPCO over the past year in its interest to acquire the business. The assets on sale comprise 100% of the 735MW Pagbilao coal-fired power station, 100% of the 1,218MW Sual coal-fired power station and 20% of the 1,215MW Ilijan gas combined cycle power station. The total capacity of the assets which have changed hands is 2,203MW.

Raj Pande, a partner in Paul Hastings who led the team commented, "We are proud to have advised TEPCO in this landmark transaction in the Philippines. This further highlights our energy and M&A expertise in Asia."

Fulbright Advises Dallas Students on How to Succeed in Business
In its ninth year of involvement, Fulbright’s Dallas office once again stepped up to participate in “JA in a Day,” a Junior Achievement-sponsored program that teaches area students about free enterprise and how the economy works.

Nearly 40 Fulbright attorneys and staff members spent a full day in the classroom earlier this week exposing students to the economy, the free enterprise system and business operations.

The Fulbright team members taught over 500 children from kindergarten through fifth grade at two Dallas ISD inner-city schools, K. B. Polk Center for Academically Talented and Gifted and Julia C. Frazier Elementary.

Fulbright is a major supporter of Junior Achievement of Dallas, with Dallas administrative partner Karl Dial an active board member. Fulbright is also a title sponsor of the Junior Achievement Dallas Business Hall of Fame.

Fulbright senior associate Danielle Clarkson, assisted by her secretary Tiffany Burford, coordinated volunteer efforts for this event. Clarkson herself was a Junior Achievement student in high school.

UK Treasury Faces Hefty Refund Bill Following Dorsey-London Tax Success
The European Court of Justice (ECJ) ruled on Tuesday, December 12, 2006, that numerous multinational corporations had been unfairly taxed under previous U.K. dividend income tax rules, reports the Financial Times. Under the ruling, the nearly 20 claimants, represented by Dorsey & Whitney (London), stand to receive approximately £400 million in refunds.

Simon Whitehead, one of the lead Dorsey attorneys representing the claimants, said "We are very encouraged by the judgment.

Davis Wright Tremaine Partner James Wreggelsworth Named Chair of Partnerships and LLCS Committee of American Bar Association’s Section of Taxation
Davis Wright Tremaine LLP is proud to announce that James E. Wreggelsworth, a partner in the firm’s Seattle office, has been appointed as chair of the Partnerships and LLCs Committee of the American Bar Association’s (ABA) Section of Taxation. Wreggelsworth has been actively involved in ABA Tax Section matters for nearly 15 years, and has held various leadership positions within the Partnerships and LLCs Committee, including serving as chair of its Continuing Legal Education Subcommittee and as vice-chair of its Contributions and Distributions Subcommittee.

The ABA Section of Taxation is the national voice of tax lawyers with a membership of approximately 20,000 lawyers nationwide. Its goals include helping taxpayers better understand their rights and obligations under the tax laws and working to make the tax system more fair, simpler and easier to administer. The Partnerships and LLCs Committee, which Wreggelsworth now chairs, is the Tax Section’s second largest committee.

Wreggelsworth has practiced law for over 20 years, primarily focusing on federal tax matters and business law matters. His practice focuses on federal tax matters includes pass-through entity and real estate taxation, corporate tax planning, and work on complex M&A transactions, and public/private debt and stock offerings. He has been with Davis Wright Tremaine since 1987 and was chair of the firm’s business tax practice group from 1993 to 2001. His other professional activities have included serving as a member of the Advisory Board of BNA’s Corporate Tax and Business Planning Review, as a director of the Attorney-CPA Tax Clinic, and as past chair of the Seattle Tax Group. He has published numerous articles on federal tax matters and is a frequent speaker on federal income tax and limited liability company matters.

Wreggelsworth’s other honors include being named as a “leader in his field” by Chambers USA: America’s Leading Lawyers for Business; listed in Best Lawyers in America; listed as a “Super Lawyer” in Washington Law & Politics; and listed as a “Top Lawyer” in Seattle Magazine.

Baker & McKenzie Advises CVCI, Capital and Concord on US$459 Million Egyptian Private Equity Transaction
Baker & McKenzie has advised Mercury (Egypt) Pharmaceutical Manufacturing SAE (Mercury) and its shareholders on the US$459 million acquisition of a 93 percent stake in Amoun Pharmaceutical Co. (Amoun), bringing Mercury's holding in Amoun to 98.8 percent. Mercury had already acquired a 5.8 percent stake in Amoun through a public tender offer which closed on 19 November 2006 (on which Baker & McKenzie also advised). The Prime Minister of Egypt, Dr Ahmed Nazif, attended the signing.

Mercury is an investment vehicle backed by an international consortium of US and international private equity investors, led by Citigroup Venture Capital International (CVCI), Capital International Private Equity Fund IV (CIPEF) and Concord International Investments.

Baker & McKenzie fielded an international team that was jointly led by partners Richard Blunt from London and Mohamed Ghannam from Cairo. The team offered a combination of local Egyptian knowledge and experience with London market expertise and resources, which was attributed to as the key to the success of the transaction.

Richard Blunt, lead partner, London, commented: "We are delighted to have acted for the investors on this complex and significant deal. We believe that the manner in which the various challenges faced by the team were overcome pays testament both to the professionalism of the joint client team and the close working relationships between the London and Cairo office lawyers. The transaction demonstrates our ability to deliver complex and difficult deals for investors in emerging markets to an international standard."

Mohamed Ghannam, lead partner, Cairo, said: “This transaction is one of the largest ever private equity transactions in the Egyptian market. We expect its successful implementation to boost the confidence of potential private equity investors in the Egyptian market; we are already seeing extremely strong interest in a number of industry sectors – both from US/European funds and from the Gulf.”

In addition to Richard and Mohamed, the corporate team included associates Chris Chambers, Seumus O’Gorman and Philomena Pacheco from London; and Ghada El Ehwany, Khaled Moussa and Karim Youssef from Cairo. On the banking side, London finance partners Bernard Sharp and Nick Tostivin, working with Mohamed Ghannam, were assisted by Lamyaa Gadelhak (Cairo) and Matthew Padian (London).
