Wrongful Death Suit Against Pro Bono Client, United Way of New York City, Discontinued with Prejudice
Justice Howard Silver (Sup. Ct. Bronx) entered an order of discontinuance with prejudice in favor of Kaye Scholer pro bono client United Way of New York City ("UWNYC") in Reyes-Arnaldi v. VIP Community Services, No. 16334/2005, an action for personal injuries and wrongful death. The time to appeal the order expired on December 15, 2006 without a notice of appeal having been filed. New York attorneys Peter Samberg, counsel, and Elan E. Weinreb, associate, represented UWNYC.

The plaintiffs in this action, a widow and her four children, sued UWNYC after their 41-year-old husband and father, Arturo Arnaldi, died shortly after receiving methadone, a drug used to treat heroin addiction, from a clinic operated and controlled by Vocational Instruction Project Community Services, Inc. ("VIP"), a not-for-profit corporation partially funded by UWNYC. Over approximately eight months, through motion practice, legal and medical research, deposition preparation, and negotiations, Mr. Samberg and Mr. Weinreb who started on the case facing a motion for entry of a default judgment, convinced the plaintiffs that UWNYC was not sufficiently involved in Mr. Arnaldi's treatment so as to incur tort liability. As a result of their efforts, in September, the plaintiffs and VIP agreed to join UWNYC in a motion for an order of discontinuance with prejudice. While the complaint in this action did not specify the damages sought, in the course of negotiations, it was revealed that the plaintiffs were seeking at least $300,000.

Hogan & Hartson Advises on $165 Million Placement of Shares of Wimm-Bill-Dann
Hogan & Hartson LLP represented Troika Dialog as placement agent in the $165 million placement of shares of Wimm-Bill-Dann, representing 10% of the outstanding shares. Wimm-Bill-Dann, a publicly listed Russian company, is Russia’s leading producer of juice and dairy products.

Hogan & Hartson partner Elizabeth Katkin led the transaction out of London and Moscow, assisted by partner John Basnage and associate Julie Lasso (London), and associate Ilia Viktorov (Moscow).

Resnick Selected to NLC Information Technology and Communications Policy Steering Committee
President of the National League of Cities (NLC), Indianapolis Mayor Bart Peterson, selected Gary I. Resnick, a shareholder with GrayRobinson in Fort Lauderdale and a Commissioner in Wilton Manors, FL, to be Vice Chair of the NLC Information Technology and Communications Policy Steering Committee in 2007.

This Committee consists of city officials from around the country and guides the NLC's legislative activities with Congress, federal agencies, and other federal associations on technology and communications issues.

Resnick has served on the ITC Committee for several years and represents numerous cities and counties on communications and technology issues. He was recently selected by the South Florida Legal Guide as one of the Top Lawyers in communications.

AKIN GUMP NAMED "LAW FIRM OF THE YEAR" BY M&A ADVISOR MAGAZINE
Akin Gump Strauss Hauer & Feld LLP has been named “Law Firm of the Year” by The M&A Advisor for the firm’s work over the past year in middle-market mergers and acquisitions. The M&A Advisor, a leading industry publication geared to buyers and sellers of middle-market companies, held its 5th Annual M&A Advisor Awards ceremony at The New York Athletic Club in New York on December 11.

Over the last 12 months, Akin Gump completed 46 middle-market M&A transactions, demonstrating an impressive success rate in aggressively closing deals. In 2006 the firm also expanded its private equity practice to support various types of middle-market M&A transactions. Lott Appointed Transactions and Corporate Advisory Services Practice Group Leader
Victor H. Lott, Jr., a partner in Mobile office of Adams and Reese LLP, has been named Transactions and Corporate Advisory Services Practice Group Leader by the firm. He will begin service on Januray 1, 2007. In this capacity, Lott will lead the firm’s Transactions and Corporate Advisory Services Practice Group which includes the following teams: Banking and Finance, Commercial Restructuring and Bankruptcy, Corporate / Securities / Mergers and Acquisitions, Forestry, Public Finance, Real Estate and Tax. Lott previously served as a member and Chairman of the firm’s Executive Committee.

Lott’s law practice focuses on corporate finance, mergers and acquisitions and real estate, both advising clients on routine matters and overseeing complex business transactions. He has experience in a wide variety of legal matters including sale and acquisition of significant assets of public and private companies; venture capital financing; corporate governance and structuring; mezzanine finance; asset based lending; real estate development and finance; and lender representation. Lott annually closes transactions valued well in excess of $1 billion in the aggregate and has particular experience in heavy manufacturing, resort development, telecom asset acquisition, asset acquisition in “stalking horse” transactions, financings by oil and gas trading entities and major timber purchases and financings.

Lott is a former president of the Alabama State Bar and former chairman of the Alabama State Bar Disciplinary Commission. He has also served as president of the Alabama State Bar Foundation and is a member of the Alabama Law Institute and a fellow of the Alabama Law Foundation. He graduated from the University of the South (Sewanee) in 1972 with a Bachelor of Arts in Political Science, cum laude, and received his Juris Doctorate in 1975 from the University of Alabama School of Law. Weil, Gotshal & Manges Advises Saban Capital Group/German Media Partners on Sale of Majority Stake in ProSiebenSat.1 Media AG
Frankfurt am Main, December 15, 2006 - The Munich office of the international law firm Weil, Gotshal & Manges LLP, together with its Boston, London and Frankfurt offices, advised Saban Capital Group and German Media Partners L.P. on the sale of its shares in ProSiebenSat.1 Media AG to a consortium consisting of financial investors Kohlberg Kravis Roberts & Co. (KKR) and Permira. German Media Partners L.P. is the company through which US media entrepreneur Haim Saban (Saban Capital Group) and a group of private equity investors (including Providence Equity Partners, Thomas H. Lee Partners, Hellman & Friedman and Bain Capital Partners) held the shares acquired in 2003 in Germany's largest commercial television group. The transaction volume amounted to approx. € 3.1 billion. The transaction is subject to antitrust and media regulatory clearances.

Following the successful completion of the transaction, Lavena Holding 4 GmbH, the acquisition vehicle controlled by funds advised by KKR and Permira, will hold approx. 50.5% of the registered share capital of ProSiebenSat.1 Media AG and launch a voluntary public takeover offer to the remaining shareholders.

Weil, Gotshal & Manges previously advised German Media Partners on the intended sale of the interest in ProSiebenSat.1 Media AG to Axel Springer AG, which was prohibited by the German antitrust authorities, as well as on a € 1.25 billion sponsor recapitalization.

Weil, Gotshal & Manges LLP's transaction team was led by partners Gerhard Schmidt and Thomas Schmid and was supported by partners James Westra, Tobias Geerling, Richard Ginsburg and Joseph Newberg as well as associates Thomas Gemmeke, Marc Gorbauch, Christian Küpker, Bernhard Rehbein and Kevin Sullivan.
