True Move Company Limited High-Yield Debt Offering
Davis Polk & Wardwell advised Citigroup Global Markets Limited and Deutsche Bank AG, Singapore Branch, as representatives of the initial purchasers in connection with an offering of US$465 million principal amount of 10.75% guaranteed notes due 2013.

True Move Company Limited is a nationwide mobile telecommunications operator in Thailand.

The Davis Polk corporate team included partner William F. Barron, counsel Mark J. Lehmkuhler and associates Jason H. Pan and Christopher Woo of the Hong Kong office. Partner John D. Paton and associate Brian Radigan of the London office provided tax advice. Sandra Cheng of the Hong Kong office was the legal assistant for the transaction.

Is a Release of Liability a Contract of Adhesion?
The Court of Common Pleas of Somerset County granted summary judgment in favor of the Hidden Valley ski resort based upon a Release from Liability which the season pass holder executed upon receipt of the pass, and the Superior Court reversed, finding that the release amounted to a contract of adhesion, which is unenforceable in Pennsylvania. The Superior Court faulted the release for not clearly defining the legal term “negligence” as it appeared on the release.

Such agreements are disfavored by the Courts and are strictly construed against the party seeking to enforce it. In order to benefit from the release, it must satisfy the following standards

1. It must not contravene any policy of law;

2. It must be a contract between individuals relating to their private affairs;

3. Each party must be a free bargaining agent, not simply one drawn into an adhesion contract, with no recourse but to reject the entire transaction; and

4. The agreement must spell out the intent of the parties with the utmost particularity.

A copy of the opinion in Chepkevich v. Hidden Valley Resort, 2006 Pa.Super. 32 (2006), is attached.

ATTORNEY BRUCE HARWOOD NAMED TO THE HERITAGE UNITED WAY BOARD OF DIRECTORS
Bruce A. Harwood, a shareholder and the head of Sheehan Phinney Bass + Green’s insolvency and creditors’ rights department, was appointed to the Heritage United Way’s Board of Directors for a three-year term.

Randy Lutz Named to O’Malley-Brown Natural Resources/Environmental Transition Committee
Randall M. Lutz, Esq., Chair of the Environmental Group, was just named to the O’Malley-Brown Natural Resources/Environmental Transition Committee.
