Ober|Kaler's Jeff Miles Selected
Nationally respected Washington, DC antitrust lawyer, John J. Miles, was one of twelve lawyers selected by Nightingale's Healthcare News for its December 2006 "Outstanding Healthcare Antitrust Lawyers" list.

A principal in Ober|Kaler's Washington, DC office, Mr. Miles has more than thirty years of experience practicing antitrust law in the health care sector. His clients include hospitals, health systems, hospital networks, large physician practices, and physician networks. Mr. Miles is particularly adept with the antitrust ramifications of different types of collaborative transactions, including mergers, virtual mergers, joint ventures, and networks.

Mr. Miles wrote and updates Health Care & Antitrust Law, a five-volume treatise on health care antitrust law published by West Group. He has written and co-written numerous other books, book chapters, law review articles, and shorter articles and papers dealing with antitrust issues. He is the past chair of the American Health Lawyers Association's Antitrust Practice Group and former vice chair of the ABA Antitrust Law Section's Health Care Committee.

In addition to the American Health Lawyers Association, and American Economic Association, Mr. Miles is a member of the American, District of Columbia, and Virginia State Bar Associations.

Mr. Miles is a former Trial Attorney with the US Department of Justice Antitrust Division, where he focused on health care antitrust enforcement. He also served as the Assistant Attorney General in charge of the Virginia Attorney General's Antitrust Unit.

Before earning his law degree from Washington & Lee University School of Law (magna cum laude, 1973), Mr. Miles graduated from Virginia Tech, earning his M.A. in 1971, and his B.S. in 1968.

He lives in Alexandria, Virginia.

Nightingale's Healthcare News Names King & Spalding Partner Jeff Spigel an "Outstanding Healthcare Antitrust Lawyer"
King & Spalding Business Litigation and Antitrust partner Jeff Spigel has been named to the Nightingale’s Healthcare News list of "outstanding healthcare antitrust lawyers". The annual list ran in the December issue of the monthly newsletter.

Spigel’s practice focuses on assisting clients, including regulated and non-regulated entities, with responding to civil and criminal antitrust investigations in the U.S. and Europe, obtaining Hart-Scott-Rodino approval of clients’ proposed mergers, acquisitions and joint ventures, pursuing or defending against antitrust claims, and counseling clients on competition issues such as benchmarking, competitor collaborations, distribution, licensing, marketing, pricing and trade association issues. Mr. Spigel appears regularly before the U.S. Department of Justice and the Federal Trade Commission and he coordinates with foreign counsel in dealing with regulatory bodies in jurisdictions around the globe.

Dylan Anne Pauly joins Hodgson Russ LLP

Ms. Pauly focuses her practice in the areas of special education law, general education matters, and labor and employment matters.

Ms. Pauly received a J.D., cum laude, from University at Buffalo Law School, State University of New York, and a B.S.ed, summa cum laude, State University of New York at Plattsburgh. Prior to joining Hodgson Russ, Ms. Pauly worked as both an assistant district attorney and an assistant public defender, handling both felony- and misdemeanor-level offenses. Freshfields advises Bank of China on US$965m acquisition of Singapore Aircraft leasing Enterprise
International law firm Freshfields Bruckhaus Deringer has advised Bank of China (BOC) on its acquisition of the entire issued share capital of Singapore Aircraft Leasing Enterprise (SALE), the largest aircraft leasing company based in Asia for US$965m, which was completed on Friday 15 December 2006.

Headquartered in Singapore, SALE is the largest aircraft leasing company based in Asia. SALE owns a fleet of 63 aircrafts and manages 14 aircraft on behalf of third parties. In addition, SALE has firm orders for another 28 aircraft, and options and purchase rights to acquire 20 additional aircrafts. SALE's fleet is one of the youngest in the industry with an average age of 3.5 years. More than 70 per cent of the fleet comprises the highly-popular narrow-body Boeing Next-Generation B737 and Airbus A320 aircraft. SALE has a diversified customer base in 20 countries across six continents. As of 30 September 2006, SALE's total assets amounted to US$3.1bn and equity amounted to US$535m.

The acquisition forms part of BOC's overall corporate strategy in expanding its scope of diverse financial services and increasing its diversification into non-interest income. SALE will provide a well-established platform for BOC to expand into aircraft leasing, and potentially lead to other cross-selling opportunities with airline companies. BOC will leverage its global client resources and institutional network in China and overseas to expand SALE's business globally, and particularly in the Chinese aviation sector, which is one of the fastest growing in the world.

The Freshfields Bruckhaus Deringer team was led by Hong Kong-based partner Ng Kay Ian and London-based partner Robert Murphy. They were assisted by a team of lawyers including Of Counsel Paul Ng, Chong Teck Yion, Hua Weiwei, Edward Smith, Sebastian Smith, Thomas Davies, Sarah Harris, Michelle Yip and Olivia Sim from the Hong Kong office and Alexander Van der Bijl and Alastair Lewis from the London office.

Freshfields advises on IPO by China Coal Energy - the firm's 10th Hong Kong IPO for 2006 and its 4th billion-dollar IPO this year
International law firm Freshfields Bruckhaus Deringer has advised on the initial public offering (IPO) by China Coal Energy Company Limited (China Coal Energy), China's second largest coal enterprise by 2005 revenues, on its listing on the Hong Kong Stock Exchange which completed today. China Coal Energy sold 3.25bn H shares, or 29 per cent of its enlarged share capital. Priced at the top of its marketed range, this IPO raised US$1.7bn, and total proceeds could increase to US$2bn if the over-allotment option is exercised in full.

Freshfields Bruckhaus Deringer acted as counsel to the underwriters on this IPO, led by China International Capital Corporation (CICC), Citigroup and Morgan Stanley. By completing this IPO, Freshfields Bruckhaus Deringer has completed 10 IPOs on the Hong Kong Stock Exchange in 2006, raising an aggregate of US$40bn, with four out of the 10 IPOs being in the 'billion-dollar' category.

China Coal Energy is one of China's largest coal suppliers. China Coal Energy sells high-quality coal products produced from its nine operating coal mines and thirteen coal processing plants through its extensive domestic and global sales and marketing network. Two of its coal mines, the Antaibao Open Pit Mine and the Anjialing Open Pit Mine, are among the largest open pit mines in China. China Coal Energy also has one of the largest coal reserves in the world. Its recoverable coal reserves of 3,420 million tonnes as of 30 June 2006 is sufficient to sustain the company's production for the next 68 years based on its 2005 annual production level. The majority of the proceeds will be used to invest in the construction of new open pit mines and underground mines. The China Coal Energy IPO has received a strong demand from investors, with its retail portion being over-subscribed 182 times.
