Hogan & Hartson Advises German Media Partners on Sale of Majority Stake in Germany's Largest Commercial Television Group
A team from the Berlin and Munich offices of Hogan & Hartson LLP has advised Saban Capital Group and German Media Partners L.P. on the sale of its interest in ProSiebenSat.1 Media AG, to a consortium comprising financial investors Kohlberg Kravis Roberts & Co. (KKR) and Permira.

German Media Partners L.P. is the company through which U.S. media entrepreneur Haim Saban (Saban Capital Group) and a group of private equity investors (including Providence Equity Partners, Thomas H. Lee Partners, Hellman & Friedman, and Bain Capital Partners) held the shares acquired in 2003.

Hogan & Hartson has continued to represent German Media Partners since its purchase of ProSiebenSat.1 Media AG, advising the company on the subsequent increase of this holding and the planned resale to Axel Springer AG.

The Hogan & Hartson team included Christoph Wagner, (lead partner), Dirk Besse, Andreas Gruenwald, Andreas Nelle, Jörg Meißner, und Wolfgang Kircher.

Chadbourne Represented EBRD in a Deal to Acquire 20% of Russia's First Low-Cost Airline
Chadbourne & Parke LLP represented the European Bank for Reconstruction and Development (EBRD) in a deal to acquire a 20% stake in Russia's first low-cost airline, Sky Express.

The stake was acquired through an investment of $10 million. The deal was signed on December 18.

The bank's investment in Sky Express is expected to rise in several stages and could go up to $20 million, EBRD said. The airline's start-up capitalization is $48 million.

Working on the deal for Chadbourne were Moscow office managing partner Laura Brank, London partner Jennifer Handz and Moscow associate Dmitry Gubarev.

Sky Express' other shareholders include Boris Abramovich, general director and a key shareholder of Russia's Krasnoyarsk Airlines, who owns a blocking stake in the new airline.

Sky Express, which will be based at Moscow's Vnukovo airport, is to have a fleet of 18 Boeing-737s by late 2007. The company projects its passenger traffic at about 600,000 people in January-June 2007 and at 3.5 million people by late 2008.

Sky Express will operate only in the Russian market, with flights to St. Petersburg, Rostov-on-Don, Yekaterinburg, Volgograd, Kaliningrad, Samara and other cities.

Weil Gotshal Counsels Banks in Largest Corporate Loan in History
Weil, Gotshal & Manges LLP represented JPMorgan, Citigroup and Goldman Sachs, as lead arrangers, in connection with an $18.485 billion financing for Ford Motor Company - the largest ever corporate debt financing. To close the deal, Ford pledged its assets as collateral for the first time in its 103 year history. Weil Gotshal partners Dan Dokos and Matthew Bloch and associates Andrew Yoon, Heather Emmel, Danek Freeman, Marcus Villanueva, Julio Gurdian and Timothy Nestler led the firm's effort. The deal is designed to give Ford Motor Company additional liquidity in order to address near and medium-term negative operating-related cash flow, to fund its restructuring, and to protect against a recession or other unanticipated events.

Weil Gotshal Advises on the Sale of Polish Food Company to Argan Capital
Weil Gotshal attorneys from the Warsaw office represented BACP Europe Fund I, L.P., a private equity arm of Bank of America, in the sale of its portfolio company Hortex Holding S.A., Poland's leading producer of branded fruit juices and frozen foods, to Argan Capital, a private equity partnership recently spun out from Bank of America.

This transaction was led by Piotr Tomaszewski, assisted by Filip Uzieblo.

IFIL Investments to Acquire Majority Interest in Cushman & Wakefield
Paul, Weiss client IFIL Investments SpA announced that it will pay $563 million to acquire a controlling stake in Cushman & Wakefield Inc., the world’s largest private commercial real estate services company. The transaction valued Cushman & Wakefield at $975 million. IFIL, the investment group of our longtime client, the Agnelli Group of Italy, will be replacing Rockfeller Group International, Inc. as controlling shareholder of Cushman & Wakefield and management and employees will retain up to 32.5 percent of the company. Paul, Weiss Deal Honored as Top Securitization of the Year by the International Financing Review
The International Financing Review recently named Paul, Weiss client Lehman Brothers Inc. as the winner of its "2006 Global Securitization House of the Year" award in part for its work on the $1.7-billion securitization of Dunkin' Brands Inc. Lehman also won the "Whole Business Award" for the Dunkin' Brands deal. The publication noted that the securitization "allowed Dunkin' Brands to achieve the highest degree of leverage in a whole business securitization...and lowered the cost of funding to buyers...compared with the usual approach -- bank debt." Paul, Weiss represented Lehman Brothers Inc. as lead underwriter and sole structuring agent in this novel transaction.
