Burr & Forman successfully represents Alabama employers targeted by various unions
Burr & Forman has successfully represented seven different employers in Alabama targeted by various unions in 2006, including the United Auto Workers, the Steelworkers, and the Machinists. This brings to a conclusion the most active labor organizing effort in many years and continues Burr & Forman’s record of success representing employers in a variety of industries throughout the Southeast.

The most recent win occurred on Friday, December 15 when the Steelworkers union withdrew its petition for election and abandoned its effort to organize at an automotive supplier plant in Alabama.

“It has been a challenging and demanding year, but we are pleased to have successfully represented each of our clients in these union campaigns,” stated Marcel Debruge, a partner practicing in the firm’s Labor & Employment section, who handled these campaigns. Other firm lawyers, including Fred Ingram, Peter Spanos, John Coleman, Ron Flowers and Devin Dolive were heavily involved in this effort. With one of the most experienced labor practices in the Southeast, Burr & Forman has been at the forefront of developments in labor and employment law for more than half a century.

Loeb & Loeb Trust and Estate Litigation Partners David Nelson and Andy Garb Successfully Represent Trustees in the Decision by the California Court of Appeal
Loeb & Loeb Trust and Estate Litigation partners David Nelson and Andy Garb successfully represented the trustees of a trust that controls one of the largest privately-owned media companies in the world. The trustees are also directors of the corporation.

Mr. Nelson and Mr. Garb were able to fend off challenges to the dividend-setting policies of the media company on the grounds that to do so would constitute a violation of the trust's no-contest clause. The decision, by the California Court of Appeal, which was ordered published by the Court, is an important precedent in the area of no-contest clause litigation.

Lewis and Roca Partner Named to Catholic Community Services Board
Lewis and Roca is pleased to announce that Brenden J. Griffin, a Partner with the firm’s Tucson office, has been elected secretary to the Board of Catholic Community Services of Southern Arizona, Inc. and vice president for its foundation. The organization serves over 100,000 people annually with programs that include emergency assistance, health and home care services, domestic violence protection and legal assistance, job development, and marriage and family counseling.

Griffin is a member of the firm’s ERISA and Insurance practice groups, and represents clients in significant personal injury cases, and on ERISA, Life, Health and Disability Insurance and insurance bad faith matters.

Griffin earned his J.D. from the University of San Diego School of Law in 1994, order of the coif, and his B.A. in International Relations from the University of San Diego in 1991, with honors, and is an alumnus of Salpointe Catholic High School class of 1987.

Hall Named to Tucson Paralegal Association Board
Lewis and Roca is pleased to announce that Valarie Hall, a paralegal with the firm’s Tucson office, has been elected second vice president of the Tucson Paralegal Association. Hall, whose primary responsibility is organization membership, will serve a one-year term. The Tucson Paralegal Association (TPA) is an affiliate of the National Association of Legal Assistants and has a current membership of over 100 paralegals working in Tucson and throughout southern Arizona.

Hall is a land use and real estate paralegal working in the areas of zoning, acquisition and land sales. She earned her bachelor’s degree from San Diego State University.

Deutsche Land plc/Acquisition of Main Airport Center (Frankfurt, Main)
Kaye Scholer (Germany) LLP represented Deutsche Land plc, a London Stock Exchange-listed company, in acquiring Main Airport Center, Frankfurt, and in negotiating two sale purchase agreements, dated December 19, 2006, with Tishman Speyer Deutschland and Steigenberger Vermögensverwaltung. The Main Airport Center comprises 55,000 square meters of Grade A office space, housing tenants Lufthansa, Dell, Hyperion and Nortel, along with 1460 car parking spaces and a service station. The deal, which was signed on December 20, 2006, is targeted to close in three weeks.

The purchase price reflects a total enterprise value of approximately $265 million, including the assumption or refinance of $235 million in debt, making this the largest real estate transaction for our new client.

The Kaye Scholer team out of the Frankfurt office was led by Joe Borggraefe (European partner, Tax) and included Michael Mölling (counsel, Corporate Finance), Martin Weger (associate, Corporate Finance and Tax) and Thomas J. Krall (contract lawyer, Real Estate).

Second Federal Court Appoints Weissmann to be a Special Master in NYC Suits
A second federal court has recently appointed Jenner & Block Partner Andrew Weissmann to be a Special Master for two more cases in connection with civil suits brought by the City of New York against several gun dealers in an effort to curtail the flow of illegally obtained firearms into the city. As part of a settlement agreement with the dealers, the U.S. District Court of the Southern District of Georgia will allow Mr. Weissmann, along with Associate Joshua A. Block, to monitor the dealers' operations to ensure that their sale practices comply with federal law. In the civil suits, the City alleges that dealers sold firearms without the criminal background checks required by law.

In early December, Mr. Weissmann was appointed by the U.S. District Court for the Eastern District of New York to be a Special Master in monitoring three of the dealers from the original suit.

Mr. Weissmann is the former Enron Task Force Director and former Chief of the Criminal Division for the U.S. Attorney’s Office for the Eastern District of New York. Joshua A. Block is an associate in the New York office of Jenner & Block, and a graduate of Yale Law School, who joined the firm after his clerkship for Second Circuit Judge Robert Sack.

DAMIEN GERADIN JOINS HOWREY AS PARTNER
Howrey LLP announced this morning that Professor Damien Geradin, one of Europe’s leading authorities on competition law, has agreed to join the firm as a Partner, effective immediately.

“We are delighted that Damien has agreed to join the partnership having been a part-time Of Counsel with us for just over a year,” said Robert F. Ruyak, Chairman and CEO of Howrey, “Damien’s legal expertise and understanding of the business environment have been invaluable to clients both in Europe and the United States. His credentials on both sides of the Atlantic are impeccable.”

Trevor Soames, the Managing Partner of the Brussels office and Chair of the European Antitrust practice welcomed Damien’s decision to become partner and to expand his commitment to the firm. “Howrey prides itself on its ability to provide clients with innovative solutions to complex problems and places great value on both practical and academic expertise - Damien is able to contribute at both interconnected levels and we welcome him to his new role as partner.”

Commenting on his becoming a partner, Geradin said, "I am delighted to become a Howrey partner. The firm has grown tremendously in Brussels where it has become a premier competition practice. I am proud to be part of a great team, which will go from strength to strength."

Since joining Howrey as Of Counsel in late 2005, Damien has been engaged in a variety of significant Article 81 and 82 cases for a range of clients including QUALCOMM. He is a Professor of Competition Law and Economics at the University of Tilburg and a visiting Professor of Law at the College of Europe in Bruges. Before entering private practice, he also taught at several leading US law schools, including Columbia, Harvard and Yale. He has published 15 books and over 65 law review articles in the areas of competition law and the regulation of network industries. He is the author of Global Antitrust Law and Economics, a major casebook co-authored with Professor Einer Elhauge of Harvard Law School. Damien is the editor of the Journal of Competition Law and Economics and is on the advisory board of several other competition law journals.

Professor Geradin's work covers all areas of competition law with a special focus on the application of competition rules to network industries (telecommunications, energy, transport). He is also doing substantial work on issues related to standardization, IP licensing and competition rules.

He holds a PhD in law from Cambridge University and was a Fulbright scholar at Yale Law School.
