Duane Morris Adds Two Trial Partners in Philadelphia
Duane Morris LLP is pleased to welcome James E. Brown and Kristin Werner to the firm's Philadelphia office as partners in the Trial Practice Group. Both join the firm from Cozen O'Connor.

James and Kristin both have served as lead trial and appellate counsel in matters involving insurance coverage and complex commercial disputes in many state and federal courts. They are admitted to practice in Pennsylvania, the U.S. Court of Appeals for the Third Circuit, the U.S. District Court for the Eastern District of Pennsylvania and the U.S. District Court for the Southern District of New York. In addition, James is admitted to practice in New Jersey and the U.S. District Court for the District of New Jersey. Kristin is also admitted to practice in New York. They co-wrote the chapter on issue and claim preclusion under the doctrines of res judicata and collateral estoppel in Business and Commercial Litigation in Federal Courts (2nd ed., 2005).

James Brown focuses his practice on commercial litigation, including complex insurance coverage disputes and litigation arising out of environmental and mass tort claims. His article "Standing and Direct Review in Appellate Court" was published in the Temple Law Quarterly. James was the 1988 recipient of the J. Howard Reber Memorial Award for writing. He earned his J.D. from Temple University School of Law in 1988, where he was an editor of the Temple Law Review, after graduating with a B.A. from Franklin & Marshall College in 1985.

Kristin Werner concentrates her practice on commercial disputes including toxic tort, insurance coverage and business tort litigation. After earning her B.A. from Saint Joseph's University in 1990, she graduated with a J.D. from Villanova University School of Law in 1993, where she was a member of the Villanova Law Review.

James Y. Rayis Joins Dickinson Wright
Dickinson Wright PLLC is pleased to announce the appointment of James Y. Rayis, who has joined the firm's international, corporate, corporate government and information technology/security law practices in Detroit and Washington, D.C. He also has significant expertise in government procurement and contracting, and internet and e-commerce.

Mr. Rayis is a Detroit native who joins Dickinson Wright from Atlanta, Georgia, where he was named among Atlanta's top 50 lawyers and accountants by Atlanta Business Chronicle. He has substantial experience in trade and global licensing and distribution, foreign investment and expansion, and other business transactions including joint ventures and mergers and acquisitions. He provides advice and counsel on corporate liability and responsibility and on issues involving corrupt practices laws and acts. He represents companies worldwide in their procurement work with U.S. and foreign government contracts and projects, including on reconstruction projects in Iraq.

Mr. Rayis was vice president, general counsel with a Colorado-based foreign venture capital firm, and has worked with large law firms in Atlanta. He is a member of the State Bars of Michigan and Georgia, and is licensed in Colorado and before the Court of International Trade. He is Co-chair of the Middle East Committee of the American Bar Association (ABA) Section of International Law and is previous chairman of the State Bar of Georgia International Section. He is a member of the Chaldean American Chamber of Commerce and is active in pro bono work for charities and for the arts. He speaks French and Aramaic (Chaldean-Assyrian).

He holds a bachelor of arts degree in economics from Michigan State University and a J.D. degree from the University of Georgia School of Law, where he was a Dean Rusk Research Assistanceship Winner and a member of the managing board of Georgia Journal of International and Comparative Law.

CRAVATH REPRESENTS JOHN H. HARLAND CO. IN ITS ACQUISITION BY M & F WORLDWIDE
Cravath represented the John H. Harland Company in its acquisition by M & F Worldwide Corp. for approximately $1.7 billion. The lawyers involved in this matter are partner Robert I. Townsend, III and associate Michael Kim on corporate matters; partner Stephen L. Gordon and associate Michael N. Breidenbach on tax matters; associates Jennifer S. Conway and Kerry Halpern-Skoglund on executive compensation and benefits matters; and associate Annmarie M. Terraciano on environmental matters.

Apollo Management and TPG in $27.8 Billion Acquisition of Harrah’s Entertainment
Cleary Gottlieb is representing an investment consortium consisting of Apollo Management and Texas Pacific Group (TPG) in its approximately $27.8 billion leveraged buyout of Harrah’s Entertainment, the world's largest gambling operator by revenue. Harrah's has agreed to be acquired by Apollo and TPG for $90 per share in an all-cash deal, which includes the assumption of $10.7 billion in debt. The acquisition was announced on December 19 and is subject to shareholder and regulatory approvals.

Apollo is a recognized leader in private equity, debt and capital markets investing. Long-time Cleary Gottlieb client TPG is a private investment partnership that currently has more than $30 billion of assets under management.

Cadwalader Names New Partners

She received her J.D., cum laude, from the Benjamin N. Cardozo School of Law and her B.A. from New York University. She is admitted to practice in the State of New York.

Israel Dahan, a New York-based litigator, concentrates his practice in the areas of complex securities fraud, director and officer liability, and brokerage and class action litigation. He graduated summa cum laude from Touro College and cum laude from Brooklyn Law School, where he was Note & Comment Editor for the Journal of Law and Policy. He is admitted to practice in New York and New Jersey.

Matthew Hendrickson is an antitrust practitioner who represents parties to mergers and acquisitions transactions before the Federal Trade Commission and the Antitrust Division of the U.S. Department of Justice, handles antitrust litigation, and counsels on U.S. competition laws and the Hart-Scott-Rodino Act. Resident in the New York office, he received a B.A., cum laude, from Williams College and graduated from the University of Minnesota Law School, magna cum laude, where he was a member of the Law Review.

Stephanie Meltzer, a member of the Business Fraud and Complex Litigation Group in New York, represents corporations, financial institutions, investment firms, and individuals in all aspects of criminal investigations and litigation, both pre- and postindictment, as well as in complex civil litigation and investigations, including class, shareholders, whistleblower and RICO actions in federal and state courts. Ms. Meltzer served as an Assistant United States Attorney for the District of Columbia where she oversaw and directed fraud investigations involving a variety of government agencies. She earned her B.A. from the University of Michigan and her J.D., cum laude, from Tulane Law School, where she was on the editorial board of the Tulane Law Review. A Capital Markets attorney in New York, Lisa Pauquette’s practice involves the representation of commercial and investment banks and other financial institutions in securitization, mortgage banking and financing transactions. She has been involved in the purchase and sale of residential first and second mortgage loans and commercial and multifamily mortgage loans as well as in structuring and negotiating warehouse lines and repurchase agreements for mortgage assets and residual securities. She graduated from Middlebury College with a B.A., and received her J.D. from Boston University School of Law. She is admitted to practice in the State of New York. A London-based Capital Markets lawyer, Nick Shiren has extensive experience in securitization transactions involving numerous asset classes, including residential and commercial mortgages, auto loans, credit cards, aircraft leases and commercial leases.

He also has advised on commercial paper conduit and master trust structures, asset repackaging, derivative products and CDOs. He received a Bachelor of Laws (honors) and a Bachelor of Commerce from the University of Queensland, and a Masters of Laws from the University of New South Wales. He is admitted to practice as a Solicitor in England and Wales; as a Solicitor and Barrister, High Court of Australia; as a Legal Practitioner in the Supreme Court of New South Wales, and as a Solicitor in the Supreme Court of Queensland.

Gary Silverstein, resident in the New York Tax Department, represents issuers, underwriters, insurers and other parties in connection with the tax aspects of ortgagebacked and asset-backed securities, REMICs and other debt issuances, including CDO and CLO transactions. He graduated with a B.A., cum laude, received his J.D. from Columbia Law School and earned an LL.M. in Taxation from New York University School of Law.

Butzel Long Attorneys Elected Shareholders
The law firm of Butzel Long has elected the following attorneys as shareholders: John E. Benko, George B. Donnini, Roberta P. Granadier, Craig M. Stanley and Mark H. Zietlow. Previously, Ms. Granadier and Mr. Zietlow were senior attorneys. Mr. Benko, Mr. Donnini and Mr. Stanley were associate attorneys.

John E. Benko practices in the firm's Detroit and Lansing offices. His primary areas of concentration include business and commercial litigation, with a specific focus on business disputes, tort defense and construction disputes, bankruptcy, commercial workouts and creditor's rights. Mr. Benko is a graduate of Central Michigan University (B.S., 1993) and the University of Michigan Law School (J.D., 1998). He is a resident of Royal Oak.

George B. Donnini's practice concentrates primarily in the areas of white collar criminal defense, SEC enforcement actions, and assisting corporate clients with the conduct of internal investigations. In 2004, he worked on a significant criminal health care fraud case (United States v. MacKenzie, et al, 01 CR 10350, U.S. District Court, Massachusetts). This case, which culminated in an acquittal of the firm's client, involved allegations of federal anti-kickback statute and Prescription Drug Marketing Act violations.

Prior to joining Butzel Long, Mr. Donnini was a judge advocate with the United States Marine Corps and served in that capacity for slightly over four years. He was counsel of record in numerous criminal trials and provided legal advice to hundreds of military personnel and family members in civil matters as well. Prior to his service with the Marine Corps, Mr. Donnini also served as a law clerk to the Honorable William H. Pauley III, United States District Court for the Southern District of New York.

Mr. Donnini is licensed to practice law in Michigan, New York and California. He also is admitted to practice before the following federal courts: (1) Sixth Circuit Court of Appeals; (2) Eastern District of Michigan; (3) Western District of Michigan; (4) Southern District of New York; and (5) Eastern District of New York. Mr. Donnini is actively involved in the American Bar Association's (ABA) White Collar Crime Committee (WCCC). At the end of 2006, he was appointed to serve a two-year term on the ABA WCCC as the regional co-chair for the Midwest Region Subcommittee. He will also serve a two-year term as national co-chair for the Young Lawyers Division of the ABA WCCC.

Mr. Donnini is a graduate of Duke University School of Law (J.D., 1998) and The George Washington University (B.A., magna cum laude, phi beta kappa, 1995.) Mr. Donnini is a resident of Grosse Pointe Park.

Roberta P. Granadier is based in Butzel Long's Bloomfield Hills office. She practices in the area of employee benefits law. She has extensive experience in Employee Retirement Income Security Act (ERISA) law, employee benefits, executive compensation and employment law. Her practice includes retirement and compensation planning, consulting and design of qualified and nonqualified plans, stock option and equity-based programs. Her practice also includes consulting and drafting regarding Qualified Domestic Relations Orders (QDROs), Qualified Separate Line of Business (QSLOBs), Individual Retirement Accounts (IRAs), cafeteria plans, health insurance issues, employment agreements and severance arrangements, golden parachutes, Consolidated Omnibus Budget Reconciliation Act (COBRA), Family and Medical Leave Act (FMLA), Fair Labor Standards Act (FLSA), American With Disabilities Act (ADA), Age Discrimination In Employment Act of 1967 (ADEA) and Health Insurance Portability and Accountability Act (HIPAA).

She is a member of the Michigan Bar Association (Taxation Section), and the Oakland County Bar and American Bar Associations. She served as Chairperson of the Employee Benefits Committee of the Oakland County Bar Association (1999-2000). She has presented at employee benefit conferences including the 2004 Summer Tax Conference sponsored by the Michigan State Bar.

Ms. Granadier is a graduate of Boston University Law School (J.D., 1985), and the University of Michigan (B.A., 1981). She is a resident of Bloomfield Hills.

Craig M. Stanley is based in the firm's Detroit office. His practice focuses on management-side labor and employment law and non-compete, trade secret, and business litigation. He represents companies in collective bargaining, union campaigns, National Labor Relations Board (NLRB) proceedings, and arbitrations, and in employment discrimination, employment contract, non-competition/trade secret, Section 301, and business litigation. He counsels clients on strike planning, work stoppages, union avoidance, labor policies, effective supervision, neutrality agreements, independent contractors/temporary employees, wage and hour issues, and human resources strategy and compliance. He also has counseled Asian, European, and South American manufacturers on establishing and maintaining U.S operations.

Mr. Stanley is a member of the State Bar of Michigan and American Bar Association Labor and Employment and Litigation Sections and is active in the ABA Developing Labor Law and NLRB Practice and Procedure committees. He is a contributing author and frequent speaker for professional organizations. Mr. Stanley is active in the community, serving as Board President of Detroit Merit Academy and counsel to Providence Youth Outreach and Monroe County Opportunity Program. He is a member of the Federalist Society and the Republican National Lawyers Association.

Mr. Stanley is a graduate of Purdue University, B.S., and the University of Detroit Mercy School of Law, J.D., cum laude. While in law school, he served as Executive Editor of the Law Review and received the Dean's Scholarship for Academic Excellence and both the CALI and ABA awards for Excellence in Labor and Employment Law. In addition, Mr. Stanley clerked for the National Labor Relations Board, Region 7. Mr. Stanley is a resident of Oakland Township.

Mark H. Zietlow practices in Butzel Long's Holland, Mich. office. He concentrates his practice in business, corporate and taxation, international transactions, employment law, trademark licensing and registration, construction law, dealership, distribution and franchising, e-commerce, nonprofit organizations, and business litigation.

Prior to joining Butzel Long, Mr. Zietlow was the Legal and Administrative Officer for Robotics International Corporation. It was a high-tech company engaged in design and development of robotics for security, household tasks, and entertainment.

Mr. Zietlow is a frequent lecturer on legal issues. He serves on boards of directors, advisory committees, and cabinets for both profit and nonprofit organizations, including Tulip Time Festival. He has also served on the board of directors for National Child Safety Council, Center for Dispute Resolution, Voluntary Action Center, Child Development Services, and Ottawa County Bar Association.

His professional memberships include the Business Law Section and the Intellectual Property Section of the State Bar of Michigan, and the National Association of Dealer Counsel. He has been accepted by the U.S. Small Business Administration as a designated 504 Closing Attorney.

Mr. Zietlow earned a Bachelor of Arts, summa cum laude, from Capital University, Columbus, Ohio; Juris Doctor from the Ohio State University College of Law; Master of the Science of Taxation, with distinction, from the Grand Valley State University Seidman School of Business; and Master of Arts, with honors, from the Ohio State University Graduate School of Public Policy and Management. Mr. Zietlow is a resident of Holland.
