King & Spalding Advises John H. Harland Company on its $1.7 Billion Sale to M&F Worldwide Corp.
King & Spalding, a leading international law firm, advised John H. Harland Company on its $1.7 billion acquisition by M&F Worldwide Corp., announced today. Upon completion of the transaction, Harland will become a wholly owned subsidiary of M&F Worldwide.

Harland is a leading provider of printed products and software and related services sold to the financial institution market, including banks, credit unions, thrifts, brokerage houses and financial software companies. M&F Worldwide is the parent company of Clarke American, which is a strategic partner to over 3,200 financial institutions, offering them a wide array of comprehensive marketing services and products.

Partner to speak at ANA Advertising Law & Business Affairs Conference
Partner Lewis Rose, Chair of the Firm’s Advertising Law Practice Group, will be speaking at the 2007 ANA Advertising Law & Business Affairs Conference on January 17th and 18th in New York. Mr. Rose will be speaking on a panel entitled “Some Traditions Always Change – Direct Marketing: Snail Mail, CAN-SPAM, Do Not Call, Do Not Fax.” Mr. Rose will discuss the growing myriad of regulations that complicate direct marketing efforts.

Indianapolis, December 20, 2006…The Indianapolis Chapter of The National Association of Women Business Owners (NAWBO) presented Ice Miller attorney Kay Fleming with the 2006 Indianapolis Choice Award at their holiday luncheon on Wednesday, December 13. The award recognizes the outstanding accomplishments of a leading advocate for NAWBO Indianapolis and women business owners around the state of Indiana.

"Kay's tireless efforts to promote women and minority-owned businesses deserve the recognition from the NAWBO community," stated Cassie Stockamp, president, NAWBO Indianapolis. "Kay is certainly an inspiration to women and through her work, has helped to improve the business climate for women and helped to fulfill the potential of their economic and social contributions to the state," continued Stockamp.

Fleming's practice is in the business area, concentrating primarily in gaming, minority and women business enterprise certifications and property tax reassessment issues. She is a member of Epsilon Sigma Alpha, a philanthropic organization that raises money for entities such as Riley Children's Hospital, St. Judes, Dayspring Shelter and Camp Riley.

Fleming is an advisory member of the NAWBO board of directors, volunteer coordinator for Special Olympics Marion County and a member of the board of directors of the Indiana Business Diversity Council.

Thirteen Hunton & Williams Attorneys Named ‘Legal Elite’ by Georgia Trend Magazine
Hunton & Williams is proud to announce that 13 attorneys in the firm’s Atlanta office have been recognized as 2006 members of Georgia Trend magazine’s Legal Elite. The firm is also honored that Rita Sheffey was selected to be profiled in the magazine for her work in the Pro Bono arena.

To compile this year’s list, the magazine polled several thousand members of the Georgia State Bar, asking them to nominate the “most effective lawyers” in each of 11 practice areas: Business Law; Personal Injury; Criminal Law; Labor and Employment; Taxes, Trusts and Estates; Real Estate Law; Bankruptcy/Creditors’ Rights; Intellectual Property; Family Law; Corporate Law; and Pro Bono. The final list was released in the magazine’s December 2006 issue. Hunton & Williams lawyers were selected in 8 of the 11 practice areas.

Fried Frank Client Forest City Ratner Companies Wins New York Board Approval for Brooklyn Atlantic Yards Project
Fried Frank client Forest City Ratner Companies today obtained approval from The Public Authorities Control Board, Governor George Pataki and the State Senate and Assembly leaders for the $4 billion development of the Atlantic Yards project in Brooklyn. The large-scale, mixed-use development project includes a basketball arena for the National Basketball Association’s Nets and thousands of units of housing and office space. Fried Frank has served as principal outside counsel for the development, representing Forest City throughout the initial planning and public approval process, including environmental reviews, and are also representing Forest City on the real estate transactional and financing aspects of the development.

Working on the project from the real estate department have been partners Stephen A. Lefkowitz and Melanie Meyers, special counsel David I. Badain, associate Paulina A. Williams and former real estate associate John Nastasi. Corporate partner Arthur S. Kaufman and corporate associate Elizabeth J. Kennedy will be working on the financing. Also working on the project from the tax department have been partners Robert Cassanos, Brian Kniesly, and Joel Scharfstein and tax associate Andrea N. Sankari.

Freshfields Bruckhaus Deringer lead adviser to Eurotunnel
Freshfields Bruckhaus Deringer is acting as lead adviser to Eurotunnel in connection with the restructuring of the group's €9bn of debt.

A team of Freshfields Bruckhaus Deringer lawyers has been coordinating the legal aspects of negotiations for the reduction of Eurotunnel's debt with its principal creditors and the new financing package to be provided to the group post-restructuring by a consortium of financiers. These negotiations took place in the months leading up to the opening of French safeguard proceedings and during the conduct of the safeguard proceedings themselves, and included the preparation of Eurotunnel's proposed safeguard plan.

Following the recent positive votes of Eurotunnel's senior and junior bank creditors and bondholders, a hearing of the Commercial Court of Paris has been held to formally approve the proposed safeguard plan. Once approved, the restructuring will be implemented in the new year.

The Freshfields team is being led from Paris by Patrick Bonvarlet, Antoine Vignial (head of corporate) and Alan Mason, handling corporate matters. Antonin Besse is leading the finance team, also from Paris, with James Clarke and Sebastien Marcelin-Rice. Eric Thomas from Paris is leading on tax issues. Vincent Brenot from the Paris office advised on Public Law matters. Barry O'Brien, Stephen Hewes, Mark Trapnell, David Taylor and Sandy Shandro are advising on the UK aspects of the restructuring.

Eurotunnel is also being advised by insolvency specialists Georges Jourde and Guilhem Brémond and by Antoine Tchekhoff and Bruno Robin.
