Kaye Scholer Represents Alta Windpower Development LLC in Ground-breaking Wind Energy Contract
Kaye Scholer represented Alta Windpower Development LLC, a subsidiary of Allco Financial Group Inc. of Australia, a global financial-services business, on the financing and real estate aspects of a ground-breaking wind energy contract with Southern California Edison. The agreement is the largest wind energy contract ever signed by a U.S. utility and it will provide Southern California Edison's customers with a major new source of emission-free power – 1,500 megawatts(a) (MW) or more of power generated by new projects to be built in the Tehachapi area of California. The contract, which more than doubles SCE's wind energy portfolio, envisions more than 50 square miles of wind parks in the Tehachapi region – triple the size of any existing U.S. wind farm. Oak Creek Energy Systems Inc. is a partner with Allco in the development, construction, and operations of the projects.

HOWREY SCORES FOR CLIENT PROCTER & GAMBLE IN AIR FRESHNER DESIGN BATTLE
The European IP team from Howrey LLP has secured a major victory for its client, The Procter & Gamble Company, in an important designs dispute against Reckitt Benckiser. The High Court in London ruled that Reckitt Benckiser's Air Wick Odour Stop product infringes one of P&G's Registered Community Designs, which it also found to be valid.

This is one of the first cases of its kind under the Community Designs Regulation that introduced EU-wide, unitary design rights as of April 2003. The finding of infringement indicates that Community Designs (and national designs registered under harmonized EU design law) may be afforded a somewhat broader scope of protection in appropriate circumstances, than was the case under pre-harmonised law, making them potentially more valuable to rights holders. The decision also gives guidance on the approach to a number of aspects of the new law that have been debated since its introduction.

The London court's determination in substantive proceedings follows successful results in several other member states of the EU in preliminary relief proceedings. Howrey’s London office represented the client in the substantive proceedings and was also responsible for overall co-ordination of the dispute across Europe. Howrey’s Paris, Amsterdam and Brussels office represented the client in proceedings in France, the Netherlands and Belgium respectively.

Debevoise & Plimpton Names Seven New Counsel
Debevoise & Plimpton LLP is pleased to announce that Jennifer R. Cowan, Suzanne M. Grosso, Huey-Fun Lee, Nandini Mani and Michael Potenza, resident in our New York office, have been named Counsel, and Saloni Joshi and Wendy A. Semel, resident in our London office, have been named International Counsel to the firm.

Jennifer R. Cowan is a member of the firm’s Litigation Department. Her practice includes white collar and regulatory matters, including defense of government investigations and conduct of internal investigations, and general commercial litigation. Prior to joining the firm in 1998, she was a Law Clerk to the Honorable Jan E. DuBois in the Eastern District of Pennsylvania. Ms. Cowan received her J.D. in 1997 from Columbia Law School, where she was a Stone Scholar, a Research and Writing Editor for the Journal of Law and Social Problems, and a recipient of the James A. Elkins Prize in Constitutional Law. She received her B.A., magna cum laude, in Political Science, with honors, from Barnard College in 1991.

Suzanne M. Grosso is a member of the firm’s Litigation Department. Her practice includes international and domestic arbitration; bankruptcy, class action, copyright, derivative, First Amendment, and general commercial litigation; and government and internal investigations. Prior to joining the firm in 1998, she was a Law Clerk to the Honorable John G. Koeltl in the Southern District of New York. Ms. Grosso received her J.D., cum laude, from Harvard Law School in 1997 and her B.S., summa cum laude, in Accounting and Economics from New York University in 1993.

Saloni Joshi is a member of the firm’s Corporate Department. Her practice includes advising sponsors and investors on private equity and investment fund formation, including leveraged buy-out, venture capital funds and funds of funds, as well as private equity acquisitions in Europe. She joined the firm in London in 1999. Ms. Joshi received her LL.B., with honors, from Warwick University in 1995 and the College of Law in 1996.

Huey-Fun Lee is a member of the firm’s Tax Department. Her practice includes the transactional tax aspects of a wide range of matters, including mergers and acquisitions, debt restructurings, financing transactions, equity offerings, private equity and joint ventures. She joined the firm in 1994. Ms. Lee received her LL.M. in Taxation from New York University in 1994, her J.D., cum laude, from the University of Mississippi School of Law in 1993, her M.A. in Accounting from the University of West Florida in 1991, and her B.S. in Accounting from the National Chengchi University School of Business Administration (Taipei) in 1987.

Nandini Mani is a member of the firm’s Litigation Department. Her practice includes a wide variety of commercial litigations, including international and domestic arbitrations, contract disputes, insurance and reinsurance-related disputes, judgment enforcement disputes, and internal investigations involving both civil and criminal law issues. She joined the firm in 1997 and, from 1998-1999, she was a Law Clerk to the Honorable William G. Bassler in the District of New Jersey before returning to the firm in 2000. Ms. Mani received her J.D., with honors, from the University of Chicago Law School in 1997 and her B.A. in Political Science from Yale University in 1994.

Michael Potenza is a member of the firm’s Litigation Department. His practice includes a wide variety of litigation involving intellectual property matters, including copyright, trademark and other intellectual property rights, and white collar litigation. Prior to joining the firm in 1997, he was a Law Clerk to the Honorable William G. Bassler in the District of New Jersey and, from 1998-1999, he was a Law Clerk to the Honorable Samuel A. Alito, Jr. in the U.S. Court of Appeals for the Third Circuit before returning to the firm in 1999. Mr. Potenza received his J.D., magna cum laude, from Harvard Law School in 1995 and his B.A., magna cum laude, in History from Yale University in 1990.

Wendy A. Semel is a member of the firm’s Corporate Department. Her practice includes mergers and acquisitions, both public and private, and securities offerings. She joined the firm in 1997 and has been based in London since 1999. Ms. Semel received her J.D. from Yale Law School, where she was a Case Notes Editor of the Yale Law Journal, in 1997. She received both her B.A., summa cum laude, in Political Science and her M.A. in American History in 1994 from Fordham University, where she was a junior-elect member of Phi Beta Kappa.

International Paper In Agreement To Sell Five Wood Products Plants To Georgia-Pacific For Approximately $237 Million
Debevoise & Plimpton LLP is advising International Paper in its agreement to sell five wood products mills to Georgia-Pacific for approximately $237 million, subject to various adjustments at closing. The agreement is part of International Paper’s previously announced transformation plan to focus on uncoated papers and packaging, as well as xpedx, its North American distribution business. Proceeds from divestitures announced to date, including the agreement announced today, total approximately $11 billion.

Weil, Gotshal & Manges Advises Värde Partners on Acquisition of Real Estate Portfolio From HypoVereinsbank
The Frankfurt and Munich offices of the international law firm Weil, Gotshal & Manges LLP advised leading alternative investment manager Värde Partners, Inc. on the acquisition of a real estate portfolio from German HypoVereinsbank and its real estate subsidiaries. The portfolio consists of 86 commercial properties located in Germany owned by the HVB Group. The parties agreed not to disclose the purchase price.

Paul Hastings Advises UBS on High-Yield Bond Offering by PT Pakuwon Jati
Paul, Hastings, Janofsky & Walker (Paul Hastings), a leading international law firm, represented UBS, which acted as the underwriter of an offering of US$110 million high-yield senior secured notes by PT Pakuwon Jati. PT Pakuwon Jati, which develops large-scale combined commercial and residential properties in both Surabaya and Jakarta, Indonesia, sold the bonds, which have a 5-year maturity to international investors to fund a new development project and repay existing debt.
