PHILLIPS LYTLE ATTORNEY SAKINA N. RIDDELL NAMED CHAIR OF GEORGETOWN UNIVERSITY ALUMNI ASSOCIATION – BUFFALO COMMITTEE
Sakina N. Riddell, an attorney with the law firm of Phillips Lytle LLP, one of the region’s largest full service law firms, was recently named chairwoman of the Buffalo Committee for the Georgetown University Alumni Admissions Program Committee. A recent member of the committee, Ms. Riddell received her J.D. from Georgetown University Law Center.

At Phillips Lytle, Ms. Riddell concentrates her practice in the areas of commercial lending and real estate finance transactions. She is a member of the New York, Women’s, Minority and Erie County Bar Associations. In addition to her J.D. from Georgetown, Ms. Riddell received her A.B., cum laude, from Duke University. She also serves on the Board of Directors for Pick of the Crop Dance and is a member of the mentoring and retention committee of Dupont Minority Counsel Network.

New Chairman of the Irish Chapter of the Licensing Executives Society
Alistair Payne, partner and head of the Commercial Intellectual Property Group at Matheson Ormsby Prentice, has been elected as the new Chairman of the Irish Chapter of the Licensing Executives Society (Britain and Ireland). The LES is the society for professionals interested in the transfer of technology, or licensing of intellectual property rights - from technical know how and patented inventions to software, copyright and trade marks.

Alistair has extensive experience gained over many years both in private practice and in-house, in relation to all aspects of intellectual property law. In particular he has represented multinational clients in the telecommunications, broadcasting, financial services, energy, pharmaceutical, manufacturing and retail sectors. Alistair provides strategic brand and trade mark protection advice and implements this advice through MOP Trade Mark Advisers. Both a WIPO and a .eu Domain Name Dispute Resolution Panelist, Alistair also regularly acts for clients seeking to protect their domain names and advises on internet law issues.

Los Angeles Attorney Gary K. Daglian Joins Klinedinst PC
Klinedinst PC is pleased to introduce Gary K. Daglian as the newest lawyer to join the firm's Los Angeles law office. Mr. Daglian is a general civil attorney, defending business and professionals in complex legal matters.

As a licensed real estate broker, Mr. Daglian has focused much of his legal practice in real estate matters. He represents real estate brokers and salespersons in all aspects of litigation. Cases he has handled include issues surrounding fiduciary responsibilities, agency principles, contracts, allegations of ethics violations, disclosure requirements, and unfair lending practices.

"Gary is a dynamic individual who will be an integral part of our real estate practice group," said John D. Klinedinst, CEO of Klinedinst PC."He is able to quickly get his arms around the issues confronting his clients, and craft a comprehensive legal defense. We're very pleased to have him join the Los Angeles office as our newest attorney."

Mr. Daglian's practice is not restricted to real estate legal defense. He is experienced in handling a wide variety of civil litigation, including business disputes and professional liability matters. He also has worked extensively in the family law probate arena, representing families and estates in probate court litigation.

A graduate of Loyola Law School, Mr. Daglian was a member of was placed on the Dean’s List and was recognized for his skill in the art of oral advocacy. He was the recipient of the First Honors Award in Trial Advocacy and was a member of the Dean's List who was recognized for his skill in the art of oral advocacy. He also was selected as a member of Loyola's nationally-ranked Byrne Trial Advocacy Team and the Scott Moot Court Honors Board to represent Loyola in various national trial and appellate competitions. in the National Civil Trial ompetition.

He graduated magna cum laude with a B.A. in Political Science and Economics from the University of Southern California. While at USC, Mr. Daglian was the recipient of the Kalpakian Scholarship, and continues to be active in
the local Armenian community.

Henson & Efron Attorneys Obtain Dismissal of Federal Class Action Securities Fraud Case
Henson & Efron, P.A. attorneys Joseph T. Dixon, Jr. and Wesley T. Graham won a motion to dismiss a federal securities fraud class action lawsuit on behalf of their client, a former chairman and chief executive officer of a publicly held corporation that owns and operates restaurants nationwide. The case involved federal securities fraud claims under the Securities Exchange Act, and the pleading requirements under the Private Securities Litigation Reform Act, including intent, loss causation and materiality.

In granting the motion to dismiss without prejudice, the judge recognized the Plaintiffs, securities holders of the corporation, had failed to adequately plead the necessary elements of a class-action securities fraud complaint. Specifically, the judge agreed with Henson & Efron's argument that the Plaintiffs did not allege how Henson & Efron's client knew any of the alleged acts were fraudulent.

H3GM assisted Dialogic Communications Corp. (DCC) in the sale of the company to PLantCML
H3GM assisted Dialogic Communications Corp. (DCC), based in Franklin, Tennessee, in the sale of the company to PLantCML, a privately-held company based in Temecula, California. DCC provides emergency notification software and servces and will be combined with PlantCML to create one of the largest emergency response service companies in the United States. Golden Gate Capital provided the financing for the transaction.

H3GM represented DCC from the time of its formation in the 1980's through it's sale in October 2006.

American Esoteric Laboratories (AEL) acquires DRL Labs, Ltd.
H3GM assisted American Esoteric Laboratories (AEL), a full service provider of esoteric and clinical reference laboratory services, in acquiring DRL Labs, Ltd. (DRL). DRL was an affiliate of East Texas Medical Center (ETMC) Regional Healthcare System, located in Tyler, Texas.

With more than 1,800 physicians and hospital clients located in various states, DRL was the largest remaining Texas-based independent reference laboratory. The acquisition also brings AEL’s annual revenue to $100 million.

Laboratory industry veterans Brian Carr and Jim Billington founded AEL in 2003. H3GM assisted AEL in obtaining $70 million in equity financing in 2003 and has represented AEL in all of its subsequent mergers and acquisition activities.
