Davis Polk Advises Morgan Stanley on its Acquisition of Russian Bank
Davis Polk & Wardwell advised Morgan Stanley on its acquisition of CityMortgage Bank (CMB), a leading Moscow-based mortgage bank that specializes in originating, servicing and securitizing residential mortgage loans in the Russian Federation. The terms of the transaction were not disclosed.

The transaction is the latest step in Morgan Stanley’s strategy of building a global, vertically integrated residential mortgage business. It follows previous acquisitions in the United Kingdom, Italy and the United States where, as here, Davis Polk acted as principal legal adviser to Morgan Stanley coordinating specialist and local counsel.

Morgan Stanley is a leading global financial services firm providing a wide range of investment banking, securities, investment management, wealth management and credit services.

CMB is a leading specialist mortgage bank in the Russian Federation. The Bank was formed with the participation of ROSGOSSTRAKH, the leading Russian insurance company, and started mortgage operations in Moscow in March 2004. Currently CMB operates in 12 regions of the Russian Federation. Since its inception, CMB has originated more than US$300 million in Russian residential mortgages.

The Davis Polk corporate team included partner Thomas J. Reid and associates Harald Halbhuber, Petja Toskan and Lina E. Ziurys, all of the London office.

Affymax Initial Public Offering
Davis Polk & Wardwell advised Morgan Stanley & Co. Incorporated as sole book-running manager and Cowen and Company, LLC, Thomas Weisel Partners LLC and RBC Capital Markets Corporation as co-managers of the approximately $96 million initial public offering of 4,255,000 shares of common stock of Affymax, Inc. Affymax’s shares trade on the Nasdaq Global Market under the symbol “AFFY.”

Affymax is a clinical-stage biopharmaceutical company developing novel peptide-based drugs to improve the treatment of serious and often life-threatening conditions. Affymax’s lead product candidate, Hematide(TM), is currently in Phase 2 clinical trials for the treatment of anemia associated with chronic kidney disease and cancer.

The Davis Polk corporate team included partner Bruce K. Dallas, associates Mischa Travers, Sarvenaz Madi and Lee B. Shepard, summer associate Samantha Harper and legal assistant Cari M. Hebel, all of the Menlo Park office. Partner Matthew B. Lehr of the Menlo Park office provided litigation and intellectual property advice. Partner Rachel D. Kleinberg of the Menlo Park office provided tax advice. The NASD team included counsel Marcie A. Goldstein and legal assistant Peggy Ann Petercsak of the New York office.

Mr. Heist received his B.S. and J.D. from Villanova University.

Granger Elevated to Partner at Schottenstein Zox & Dunn
Schottenstein Zox & Dunn (SZD) is proud to announce that Aaron L. Granger has been named Partner of the firm.

Granger counsels clients in workplace safety and management representation matters and focuses his work on helping public and private sector employers limit their liability. He currently serves as Chair of the Workers’ Compensation Committee of the Columbus Bar Association and is also a member of both the American and Ohio State Bar Associations.

Active in the community, Granger is vice president of the board of trustees for South Side Learning and Development Center, serves on the board of directors for Ohio Wesleyan University Alumni Association and is a Werth Center board member for the American Cancer Society. He is a member of Alpha-Phi-Alpha Fraternity, Inc. and recently served on the Community Action Agency Task Force.

SAUL EWING PARTNER APPOINTED CO-CHAIR OF LABOR AND EMPLOYMENT LAW COMMITTEE
Christopher P. Stief, a Partner in the Litigation Department and Co-Chair of the Employee Defection & Recruitment Practice Group, has been appointed Co-Chair of the Philadelphia Bar Association?s Labor and Employment Law Committee. The appointment was made by Philadelphia Bar Association Chancellor-Elect Jane Leslie Dalton.
The Committee holds discussions and seminars on topics relevant to its members and represents the Philadelphia Bar Association if involvement in labor or employment matters is necessary. Mr. Stief received his B.A. from Dickinson College and earned his J.D., cum laude, from Boston University School of Law.

GOL Airline Crash Lawsuit Update
Long Island pilots Joseph Lepore and Jan Paladino may be home for the holidays, but the investigations and litigation set in motion by the midair collision in Brazil will be continuing into the new year and possibly beyond.
Lexi Hazam of Lieff Cabraser Heimann & Bernstein in San Francisco, which is representing 21 families, said Judge Brian Cogan set tight deadlines for the defendants' attorneys to file motions arguing that the case should not be heard in the United States. Hazam said she expected a decision around May on where the case will be heard. She said that if the case remains in the U.S. court, she expects settlement negotiations to begin to avoid a trial. "It is extremely rare in aviation cases for a case to go to a jury.
