Jennifer Kleiner joins the firm
Jennifer practices business law, with special attention to mergers and acquisitions, capital formation, securities, investment funds and hedge funds. Her practice also includes general business structuring, negotiation and preparation of limited liability company operating agreements, limited partnership agreements, and various financing transaction agreements.

Prior to joining Levett Rockwood in December 2006, Jennifer was an associate in the corporate department at Sonnenschein Nath & Rosenthal LLP in New York, where she focused on mergers and acquisitions, securities, private equity transactions and private placements of securities, and counseled hedge fund clients.

Jennifer graduated with honors from Colgate University (magna cum laude and Phi Beta Kappa) in 1991. Jennifer received her law degree from New York University School of Law in 1996, where she was a staff editor of the Journal of Law and Social Change.

Jennifer is admitted to practice in Connecticut and New York. She is a member of the American Bar Association.

Thacher Proffitt Advises on Tenacia Deal in the State of Veracruz, Mexico
Thacher Proffitt acted as legal counsel for the State of Veracruz' first ever securitization of the tenacia, a federal tax imposed on the ownership and use of vehicles, as discussed in the article, "Thacher Proffitt & Wood advises in securitization in the Mexican market." The deal was structured under a program worth MX 6.3 billion pesos, and proceeds from the securitization were used to pay debt and to secure funds for the construction and development of infrastrucutre projects.

Steve Hut named Baltimore Sun’s Newsmaker of the Week
Steve Hut and his team of WilmerHale lawyers have been part of the news headlines in Maryland and throughout the nation this month for their work in putting a halt to all executions in Maryland—so much so that this week the Baltimore Sun named Steve as their newsmaker of the week.

Steve and the team achieved a significant victory for their client, Maryland death row inmate Vernon Evans, last week when the Maryland Court of Appeals held that the procedures for implementing lethal injection were adopted without complying with the state’s Administrative Procedure Act and indefinitely postponed Vernon Evans’s death. Members of the team of lawyers who worked with Steve to obtain this important victory include Todd Zubler, who argued the winning point in the Court of Appeals, Kalea Seitz Clark, and Anne Harden Tindall.

Ted Zangari - To court public, lawyers jump on blog wagon
Kate Coscarelli talks about lawyers jumping on the blogging bandwagon in this article. Talking about lawyers blogging, Ted Zangari, editor of the blog redevelopnj.com, stated: "Every work product an attorney puts out is essentially a marketing product. (This) is mostly thoughtful legal and public policy analysis." Kate goes on to mention that about a dozen Sills Cummis attorneys contribute to the blogs.

Litigation Lawyers Author Wall Street Journal Op-Ed
Litigation partners Adam Goldberg and Preston Burton authored an article in The Wall Street Journal about the upcoming onslaught of corporate investigations by the Democratically controlled Congress. The article, entitled "Surf's Up on Capitol Hill", compares these investigations to surfing because despite preparation, the biggest factor is the size and nature of the wave.

According to Goldberg and Burton's advice, it is important for corporations to be aware of the intricacies involved in these investigations. Attorney-client privilege is not necessarily recognized by Congress, and corporations are also only entitled to limited counsel meaning lawyers advise only about legal rights. The article also describes the pitfalls of asserting Fifth Amendment rights in these cases.

Tis the season to make a difference
Westport-based Source Marketing has a budget to give holiday gifts to its clients. But this year the public relations firm scrapped the practice and used the money to bring holiday celebrations to 45 needy families.

Sarah Stabile, Source's public relations director, said the company contacted its clients to explain its plan and that the clients agreed it was a better use of money.

"They don't need another bottle of wine," Stabile said of the Fortune 500 companies that backed the decision.

The company used its funds to "adopt" the 45 families that are clients of Norwalk Emergency Shelter.

"We're happy to do this because it's a chance to give to people who are barely getting by," Stabile said.

Source's 45 employees helped give 300 people a nice holiday. On Dec. 8, the employees hit the streets in teams and shopped for the families, and three days later they held a wrapping party.

"We got blessed by it," said Carol Antonetz, executive director of Norwalk Shelter. "They're wonderful people."

But even with Source's contribution, Antonetz said, there were 20 families not adopted this season. There was a total of 120 families who needed help, she said.

"We're trying to find some money to do something for them," she said of the remaining families.

Other charities state on their Web sites that they need more donations to provide food, clothing, shelter and other services to people in the region. Those charities include Bridgeport Rescue Mission and Operation Hope, based in Fairfield.

Paul Timpanelli, president and chief executive officer of the Bridgeport Regional Business Council, said he hadn't heard of any other businesses turning over their holiday budgets and parties to charity.

He commended Source for doing something noble.

Timpanelli said businesses here have a history of helping throughout the year.

It is simply the right thing to do, said Attorney Richard Bieder of the law firm of Koskoff, Koskoff & Bieder.

The firm donated 15 laptops to the Bridgeport school system this month, Bieder said, because fellow partner Mike Koskoff said the firm should do something to improve education in the city.

"Bridgeport's been pretty good to us," so the firm believes it should return the favor, he said.

Bieder said there is plenty of opportunities for businesses to help Bridgeport schools. He said the firm chose to donate laptops in the hope students will eventually be able to take them home to do their assignments.

The 15 computers are to go to Winthrop Middle School and will be used as a pilot program that could lead to further use of computers throughout the district, he said. The district is loading the computers with programs this month and they should be in the schools soon.

The firm spent about $7,500 to buy the laptops, Bieder said, adding it got a deal by buying in bulk.

What prompted the decision to help the school district was a conversation about computers as the partners were deciding what upgrades they needed for their office systems. Bieder said they starting talking about how important it is to be computer-savvy and what future generations will have to know. That led to a discussion about the schools. But instead of stopping there, the firm decided to determine whether there was something it could do to help and called the district to work out this plan.

Coretta Dean, director of education technology for the district, said in a news release she is excited about the donation because it will help more children gain exposure to technology.

The major concern for the district was whether the donation would reduce state and federal aid, but Bieder said it doesn't appear it will. He challenged other Bridgeport businesses to get involved with the school district and to change a life for the better.

O’Melveny Receives Top M&A Ranking from The Legal 500 US
The Legal 500 US ranks O'Melveny among the top tier law firms for international M&A deals valued between $1 billion and $5 billion. The guide states:

O'Melveny & Myers lawyers are often involved in high-profile deals such as the work they did advising the board of directors of the New York Stock Exchange Group on the exchange's combination with Euronext. The transaction was led from New York by Spencer Klein, Steve Epstein, and Sheila Fitzpatrick. The firm also represented Regis Corporation in its $2.6bn attempt to buy Alberto-Culver's Sally Beauty Company business unit, the Jean Coutu Group in its $3.4bn sale of its Brooks and Eckerd drugstore operations to Rite Aid Corporation, and SanDisk in its $1.55bn acquisition of msystems.
