Seven Oppenheimer Attorneys Honored as “Rising Stars”

To be eligible for “Rising Stars,” attorneys must be 40 years old or younger or licensed to practice for 10 years or less. Each year ballots are sent to all Minnesota “Super Lawyers” to nominate the best up-and-coming lawyers they’ve observed in action. Fewer than 2.5 percent of all Minnesota lawyers receive this honor.

Salans advises Groupe des Caisses d’Epargne on the financing of Veolia’s waste processing centre in New Caledonia
International Law firm Salans has advised Groupe Caisses d'Epargne (GCE) on the financing of Veolia Propreté's waste processing centre based in New Caledonia.

This scheme is based on the participation of four saving banks as well as various New Caledonia based investors who subscribe to the capital of SA Calédonienne de Services Publics (Veolia Group) in capital or in shareholder loans.

The total amount raised from capital and shareholder account contributions has reached close to €34m.

Carrie A. Wrisberg coauthors paper in December 26 issue of Neurology
Carrie A. Wrisberg coauthors The impact of litigation on neurologic research published in Neurology.

The lead author, Brad A. Racette, MD, associate professor of neurology, treats patients and performs research at Washington University School of Medicine. Dr. Racette joined forces with coauthors Ann Bradley, JD, Joel S. Perlmutter, MD and Wrisberg to discuss how litigation and its peripheral effects may bias investigators, impede research efforts, and harm research participants. Solutions are proposed including rigorous enforcing of policies to prevent researcher conflicts of interest and enacting comprehensive legislation to designate medical research study data and protocols as privileged.

Personal experience provides foundation for the paper. After Dr. Racette published research results potentially linking welding to increased risk of Parkinson's Disease, attorneys in state and federal welding fume lawsuits served Racette with numerous extensive subpoenas attempting to force disclosure and testimony regarding underlying research data.

Carrie A. Wrisberg and Ann Bradley successfully represented Dr. Racette and Washington University in efforts to protect patient privacy and the privacy of the research data.

Drinker Biddle Partner Stephanie Wickouski Named One of 12 Outstanding Restructuring Lawyers of 2006
Drinker Biddle & Reath LLP is pleased to announce that M. Stephanie Wickouski, Regional Partner in Charge of the firm’s New York office and Co-Vice-Chair of the Corporate Restructuring Practice, has been selected among the “Outstanding Restructuring Lawyers – 2006” by Turnarounds & Workouts, a nationally prominent bi-monthly newsletter for professionals tracking distressed businesses in the United States and Canada.
Wickouski is cited by Turnarounds & Workouts for her counsel to indenture trustees in the following notable bankruptcies of Northwest Airlines FLYi, Loral Space, and WHX Corp. and Tower Automotive. It also notes her service as counsel to the largest creditors in the United Air Lines bankruptcy and her authorship of the definitive treatise, Bankruptcy Crimes, 3rd Edition, which will be released in early 2007.
Wickouski has more than 27 years of experience in complex reorganization cases before federal bankruptcy courts throughout the country, and in counseling clients on all aspects of credit and financial relationships. For the past several years, Wickouski has been named in Best Lawyers in America in both the bankruptcy and corporate/M&A categories.
In addition to authoring Bankruptcy Crimes, Wickouski also has a national reputation in health care insolvency and is a frequent lecturer, author and commentator on bankruptcy subjects. Her articles have appeared in The National Law Journal, ABA Litigation Magazine, Legal Times, Washington Business Journal and official publications of the District of Columbia, New Jersey, and Pennsylvania State Bar Associations. She is a frequent commentator in The Washington Post on bankruptcy issues, and has appeared on national television in connection with recent high-profile bankruptcy cases. Wickouski has taught creditors’ rights at the Catholic University School of Law and was formerly a law clerk to the Hon. Roger M. Whelan, former U.S. Bankruptcy Judge for the District of Columbia.

Cooley Godward Kronish’s M&A Practice Advises Special Committee of the Board of Directors of Movie Star, Inc. in Merger Agreement with Frederick’s of Hollywood
Cooley Godward Kronish’s Mergers & Acquisitions practice has advised the Special Committee of the Board of Directors of Movie Star, Inc. (AMEX: MSI) in a merger agreement it has signed with FOH Holdings, Inc., the parent company of Frederick’s of Hollywood, Inc. (“Frederick’s”). Under the terms of the agreement, Frederick’s shareholders will receive approximately 23.7 million shares of newly issued Movie Star common stock. The combined company will be called “Frederick’s of Hollywood Group Inc.”

Frederick’s shareholders will be issued 60% of the shares of the combined company in exchange for their shares of Frederick’s. The combined company will also seek to refinance both companies’ existing bank facilities and Frederick’s term debt on more favorable terms. The transaction is expected to close in the second quarter of 2007.

The New York-based Cooley team was led by Corporate/M&A partner Scott Kaufman and special counsel Andres Hoyos, and included associates Kevin Bloss, Sung Kim and Tara Hereich. Also contributing were partner Lesse Castleberry and associate Franny Wang from the Tax practice, partner Gary Kravetz and associate Leslie Kroupa from the Real Estate practice, and Nick Smithberg from the Bankruptcy and Restructuring practice.

Over the past five years, Cooley Godward Kronish has handled more than 300 M&A transactions, ranging in size from less than $5 million to more than $5 billion, making the practice one of the most active in the country. In addition to handling acquisitions of venture capital-backed corporations and other closely held entities, the Firm regularly negotiates acquisitions involving large, publicly traded companies. Cooley’s extensive experience in this area is built in part upon its nationally recognized Public Securities practice and ongoing representation of more than 100 publicly held companies.

Southern New Jersey Economic Forecasts January 23 At Rutgers Quarterly Business Outlook
A distinguished panel of industry leaders will forecast what they see ahead for the Southern New Jersey economy in the first quarter of 2007 at the Rutgers-Camden Quarterly Business Outlook, moderated by Rutgers University School of Business-Camden Dean Mitchell Koza, on Tues., Jan. 23rd, 8 to 9:30 a.m ., at the Clarion Hotel and Conference Center in Cherry Hill.

Now in its 12 th year as an economic barometer for South Jersey, the free breakfast conference, sponsored by the Rutgers University School of Business-Camden, evaluates the region's health by examining key South Jersey industries. Five area executives will report on how their respective business sectors fared during the winter and will forecast the region's economic health for the coming quarter. Supported by the regional law firm Flaster/Greenberg and the Chamber of Commerce Southern New Jersey, the conference is free of charge and open to the public.
