Perkins Coie Closes $1.4 Billion Deal for Client KSL Capital
A team of Perkins Coie attorneys successfully closed a $1.4 billion CMBS/mezz financing on behalf of KSL Capital Partners in connection with an acquisition by a KSL-sponsored acquisition of ClubCorp, Inc. ClubCorp, Inc. owns or operates approximately 100 golf courses, 60 business clubs as well as the Barton Creek and Homestead Resorts.

The transaction involved the restructuring of the ownership of approximately 170 golf courses, business clubs and two resorts. The mortgage financing is secured by mortgages on 61 of the company's golf courses as well as its two resorts and the mezzanine financing is secured by a pledge of equity in connection with a large number of business clubs and golf courses.

The Perkins Coie team began working on the transaction in mid-September when KSL Capital Partners (KSL), a leading private equity firm with $1 billion of committed capital in the resort and leisure industry, announced that it had entered into an agreement to acquire ClubCorp, Inc., the world leader in delivering premier golf, private club, and resort experiences.

Among ClubCorp’s nationally recognized resort and golf properties are Barton Creek Resort & Spa in Austin, Texas (site of two Canadian Tour events), and The Homestead in Hot Springs, Virginia (America’s first resort founded in 1766); Firestone Country Club in Akron, Ohio (site of the World Golf Championships – Bridgestone Invitational), and Mission Hills Country Club in Rancho Mirage, California (home of the Kraft Nabisco Championship). The more than 60 business clubs and business and sports clubs include the Boston College Club, City Club on Bunker Hill in Los Angeles, Columbia Tower Club in Seattle, Metropolitan Club in Chicago, and the City Club of Washington, DTC.

Citigroup Corporate and Investment Banking acted as MOA advisor, and Simpson Thatcher & Bartlett LLP acted as MOA legal advisor to KSL. Perkins Coie LLP served as lead finance counsel and Brownstein Hyatt & Farber, P.C. represented KSL in connection with real estate matters related to the acquisition. Citigroup Global Markets Realty Corp. led the financing for the acquisition.

The Perkins Coie team involved in the transaction was led by Bruce Bonjour of the Chicago office and included attorneys in its Chicago, Seattle, Washington, DC, Phoenix, Portland and San Francisco offices.

Willis Appointed to Minority Justice Committee
The Nebraska Supreme Court has appointed Fraser Stryker attorney Sherman P. Willis to a three-year term as a member of the Minority Justice Committee ("MJC"), beginning January 1, 2007. The MJC is a joint effort of the Nebraska Supreme Court and the Nebraska State Bar Association, with assistance from the University of Nebraska Public Policy Center. The MJC was formed in response to the Nebraska Supreme Court-appointed Minority and Justice Task Force's two-year investigation of identifying actual and/or perceived racial/ethnic bias and discrimination in the Nebraska justice system.

The mission of the MJC is to achieve three primary aims:
· Address racial disparities in both the juvenile and adult justice systems;
· Ensure equal access to justice; and
· Increase the diversity of Nebraska's legal profession and judicial workforce.

The MJC is co-chaired by Linda R. Crump, Esq., president of the Nebraska State Bar Association, and Justice John M. Gerrard of the Nebraska Supreme Court. MJC Membership is comprised of judges, attorneys, and other members of the Nebraska legal profession. As a new member of the MJC, Willis has been assigned to the Diversity in the Profession and Court System Subcommittee.

Willkie Represents Cadmus in $430 Million Merger Agreement With Cenveo
it was announced that Willkie client Cadmus Communications Corporation and Cenveo, Inc. have entered into a definitive merger agreement for Cenveo to acquire Cadmus for about $430 million in cash including assumption of debt. Richmond, VA-based Cadmus is the world's largest provider of content management and production services to scientific, technical and medical journal publishers; the fifth largest periodicals printer in North America; and a leading provider of specialty packaging and promotional printing services. Headquartered in Stamford, CT, Cenveo is one of North America's leading providers of print and visual communications. The transaction was handled by partner David Boston, partners elect Adam Turteltaub, Christopher Peters and David Rubinsky, and associates Johanna Ferraro and Erika Shalette.

Vincent Loh Joins Robins, Kaplan, Miller & Ciresi L.L.P.
Vincent Loh has joined the Los Angeles office of the national law firm of Robins, Kaplan, Miller & Ciresi L.L.P. as an associate. Mr. Loh’s practice focuses in the area of business trial and litigation. Prior to joining Robins, Kaplan, Miller & Ciresi L.L.P., Mr. Loh was a Law Clerk to the Honorable Patricia Collins, Jacqueline Connor, and John Segal, Los Angeles Superior Court.

Correale has more than 18 years of legal and business experience in the entertainment industry including serving in senior executive roles for two major record labels.

Neil Ekblom Wins Five Defense Verdicts in 2006 New York Jury Trials
Neil Harkin Ekblom, a partner of the Health Law/Medical Malpractice Unit in Clausen Miller’s New York office, won five defense verdicts in jury trials in 2006. Based upon the amounts requested by plaintiff’s attorneys on summations, Mr. Ekblom saved insurance clients, client physicians and hospitals over $13,000,000 in 2006.

Mr. Ekblom continued his string of defense verdicts to 18 consecutive with a verdict on December 21, 2006, in White Plains, NY on a case called Timothy and Nancy Baker v. Eye Associates (5359/01).
In Baker, the 38 year old plaintiff alleged failure on behalf of several physicians to properly treat his uveitis condition with immunosuppressive therapy, causing his vision to worsen from a perfect 20/20 without glasses, to legal blindness, or worse than 20/200 in both eyes. The plaintiff’s attorney, Mark Campbell, a regular in White Plains, called economist Dr. Andrew Weintraub of New Jersey to substantiate a $2,000,000 lost wages claim. The plaintiff also alleged that the vision loss caused his inability to support his two children and his divorce, and his wife had a derivative claim for the period of time for which they were married. Mr. Ekblom argued that Mr. Baker caused the loss of vision to himself by failing to follow the doctor’s orders regarding prednisone usage.

This defense verdict, just before Christmas weekend, confirms our faith in the jury system. The trial was handled with experience and fairness by Judge Aldo Nastasi. Post trial motions by Mr. Campbell were denied.

The excellent result in the three week Baker trial was obtained with the valuable assistance of many Clausen Miller attorneys and paralegals. Mr. Ekblom thanks associates Michael Loffredo, Edward Soyka, and Ted Tobin for their Memos of Law on various issues throughout the trial. Barbara Strugalla, Clausen Miller’s nurse paralegal in Chicago, created several charts used to condense the information in medical records which were extremely valuable for the jury’s understanding of the issues of the case. George Staudemeyer obtained important medical research which was used in cross-examination of the plaintiff’s expert, Perry Berg, M.D. an ophthalmologist from New Jersey. Mr. Soyka and Mr. Joseph Zimmer, another Clausen Miller paralegal, assisted with the logistics of bringing two internationally known experts to court to discuss uveitis and Behcet’s disease. These included Dr. Christopher Walton of Memphis, Tennessee and Dr. Desmond O’Duffy of Sarasota, Florida.
