Buchanan Ingersoll & Rooney Attorneys Assist in High Profile Deal
Three Buchanan Ingersoll & Rooney attorneys represented American Apparel Inc. in a deal which was featured in the December 19 editions of the Wall Street Journal and The New York Times. American Apparel and its founder Dov Charney are long time clients of litigation shareholder Stuart Slotnick. Corporate Finance shareholder Robert Frucht and Corporate Finance associate John Leonti led Buchanan's team in representing American Apparel and Charney in the negotiation and execution of the acquisition agreement and other material transaction documents with Endeavor Acquisition Corp., a special purpose acquisition company (SPAC).

The deal, which was announced under an accelerated time frame, is valued at approximately $250 million plus the assumption of $110 million in debt. The closing of the transaction is conditioned upon SEC and other regulatory clearance. American Apparel will, upon closing, be a public company, expected to be listed on the American Stock Exchange or another national exchange.

American Apparel is an internationally recognized clothier (known for being one of the last clothing lines manufactured in the United States) that sells its clothing directly online and in more than 140 retail stores in 11 countries.

"Dov is a dynamic business leader and we were fortunate to be a part of this cutting edge transaction," stated Slotnick.

Frucht added, "American Apparel has a national and international presence, and Buchanan Ingersoll & Rooney was honored to be able to work on this transaction.

30 Year Wilke Fleury Veteran Appointed To Sacramento Superior Court
Alan Perkins, a partner at Wilke, Fleury, Hoffelt, Gould & Birney LLP since 1982, was appointed on February 16, 2005 to the Sacramento Superior Court.

During his tenure at the firm, Mr. Perkins’ practice focused on bankruptcy as well as construction and real property cases. He also has extensive experience in alternative dispute resolution and served as a court-appointed and private arbitrator and mediator.

An adjunct professor at UC Davis’ King Hall School of Law, Mr. Perkins also is a long-time community activist.

Perkins is the seventh Wilke Fleury attorney to be selected for a judgeship.

DAVID B. CASSELMAN elected Vice President and Secretary of the state organization of ABOTA
WCC is also proud to confirm that senior partner DAVID B. CASSELMAN (2005 President of the Los Angeles Chapter of the American Board of Trial Advocates "ABOTA" and recipient of their 2006 Civility Award) has recently been elected Vice President and Secretary of the state organization of ABOTA. This organization consists solely of experienced trial lawyers and is dedicated to the preservation of the 7th Amendment right to a jury trial, and civility among trial lawyers. His election means that in 2009, Mr. Casselman will be the President of California ABOTA. Mr. Casselman continues to serve as a member of the Executive Boards of the Los Angeles Chapter, as well as the State organization and the National Board of the American Board of Trial Advocates.

David B. Casselman recently finalized what is believed to be the largest settlement in Santa Barbara County history. In a major inverse condemnation and governmental tort claim, Caltrans settled and has now paid $81 million to compensate a group of Montecito residents. The firm has also successfully handled many large complex cases, such as Big Rock landslide litigation, Lockheed environmental litigation, class actions against Denny's, General Motors, CitiBank, Home Store and many others. In 2001, WC&C obtained two of the ten largest verdicts in the State of California.
2005 Super Lawyers

Five WC&C partners were named 2005 Southern California Super Lawyer by Law & Politics Media, Inc.: Leonard J. Comden, Gary S. Soter, Ronald R. Kollitz, Daniel L. Warshaw and Frank W. Chen. The Southern California Super Lawyers list was published in the February 2005 issue of Los Angeles Magazine, and in Southern California Super Lawyers edition mailed to every lawyer, judge and corporate counsel in the state. The Super Lawyers honor, which is bestowed upon the top 5% of attorneys in Southern California, is decided by an elaborate selection process conducted by a panel of 270 Southland legal peers and leaders after balloting 65,000 lawyers in Los Angeles and Orange Counties requesting nominations of great attorneys in more than 60 practice areas.

David B. Casselman featured on America's Best Lawyers
Sky Radio recently featured named partner David B. Casselman on American Airlines inflight radio program entitled "America's Best Lawyers".

Mr. Casselman was interviewed about recent developments in corporate fraud and how it relates to litigation. Mr. Casselman also discussed two of the more interesting cases that he tried and was awarded multi-million dollar verdicts from the jury.

Firm’s Pro Bono Work Aids Children and Others in Need
Tyler Cooper was honored November 15, 2006, by Lawyers for Children America for its pro bono efforts on behalf of abused and neglected children. The firm's work with the organization is just one aspect of its longstanding commitment to providing free legal help to those who can least afford it.

Tyler Cooper received the Joseph Goldstein Award recognizing its track record in legal advocacy for children. A number of the firm's attorneys have been involved in pro bono work for abused and neglected children over the past few years. Lawyers for Children America (LFCA), a non-profit group of attorneys and other volunteers, had traditionally given the award to multiple law firms. However, the 2006 award was given to Tyler Cooper alone, at LFCA's 3rd Annual Donald J. Cohen Awards ceremony at the Hartford Marriott in Farmington.

Among the Tyler Cooper attorneys involved in pro bono work for LFCA are Paul R. Guggina, Andrea K. Hallier, Elizabeth K. Acee and Gerald A. DeSimone.

The firm's attorneys represent and appear in court on behalf of children who are in the custody of the state as they go through foster care, adoption, or reunion with their families. Cases referred to the firm by LFCA involve children in all age groups, and range from child abandonment and neglect to sexual, physical or emotional abuse.

Tyler Cooper's attorneys advocate for the children's interests, often serving as court-appointed legal guardians, according to Paul Guggina, an associate in the firm's Hartford office who works closely with LFCA. Paul explained that when a case of child abuse or neglect is discovered, a process is set in motion among state and judicial advocates to protect the child's interests.

Often the abuse will initially be spotted by a school or a hospital, which would be required by law to report the circumstances to state authorities. The state Department of Children and Families steps in and assigns a case worker. Generally, the courts get involved as well. In some circumstances, particularly when a child is removed from the home and needs an interim legal guardian, the courts will refer a case to Lawyers for Children America. LFCA then goes to its roster of volunteer attorneys and assigns the case to a particular lawyer.

Pro bono work with LFCA is often a long-term commitment, said Paul. "These cases can drag on for years," he pointed out. "The child's attorney tends to be the only constant through a very long process." State social workers handling a child's case may come and go, he explained, and children are frequently shuffled among numerous foster placements during the course of a case. LFCA attorneys often develop a more meaningful relationship with their clients than court-appointed paid attorneys, because the latter handle many such cases, while LFCA volunteers usually only represent one or two children at a time.

"The pro bono attorneys working for Lawyers for Children America provide a valuable resource," Paul said, particularly for children who must be protected as they are moved from home to home in the foster care system.

Advocating for the interests of children is just one aspect of the pro bono work that Tyler Cooper does, according to Ben A. Solnit, the partner who coordinates the firm's pro bono efforts. In fact, the firm is involved with many projects under the umbrella of "pro bono publico," a Latin phrase meaning "for the public good."

Ben, who works in the firm's New Haven office and is Co-Chair of the Litigation Group, explained that a variety of non-profits and community organizations, as well as state agencies, benefit from the firm's pro bono work. In fact, the firm donates thousands of hours every year to pro bono projects.

Ben has long maintained an interest in pro bono projects and was himself the recipient of an award for work in this arena. He received the Champion of Liberty Award in 2005 from the Connecticut chapter of the American Civil Liberties Union for his work on behalf of mentally ill inmates in the state's prisons.

"Pro bono is a win-win," said Ben. "We assist people and groups in the community who otherwise might not have a lawyer's help, and at the same time, we get valuable experience."

That experience can range from legal representation of needy clients, to sitting on boards of directors of community organizations, according to Ben. "Pro bono could also involve setting up a non-profit structure, or working informally as a non-profit's lawyer."

Ben said that the firm gets some of its pro bono cases from organizations like Lawyers for Children America and Connecticut Legal Services. But many of the firm's attorneys bring in their own pro bono projects. "We have a policy that every lawyer is expected to do some work of this kind," he said.

The firm is a signatory to the American Bar Association's Law Firm Pro Bono Challenge, under which it pledges pro bono efforts equal to at least 3 percent of total billable hours. For 2005, the most recent year for which figures are available, the firm did pro bono work worth more than $850,000, which represented efforts by 78 percent of partners and counsel and 80 percent of associates.

Historically, Tyler Cooper has been a leader in the area of pro bono matters. The Connecticut Bar Association's Legal Services Award is named for a former partner of the firm, Charles J. Parker. Moreover, former partner James W. Cooper was instrumental in the founding of the New Haven Legal Assistance Association.

Providing free legal representation to the disadvantaged may not be the most publicized work lawyers engage in. As Paul Guggina puts it, "Pro bono is like the secret work we all do." Apparently not all that secret, as evidenced by Tyler Cooper's award from Lawyers for Children America and other recognition of the firm's commitment to projects "for the public good.
