Farella Braun + Martel Elevates Sam Dibble To Partnership
Farella Braun + Martel LLP announces today that Samuel C. Dibble has been elevated to the partnership, effective January 1, 2007.

Dibble is a member of Farella Braun + Martel's Business Transactions practice. He advises clients on a wide array of corporate transactions, including leveraged buy-outs, asset sales and other types of mergers and acquisitions. He also has extensive experience in corporate finance, including venture capital financings, mezzanine investments, issuances of high yield bond and convertible debt securities. His clients include private and publicly held companies, investment banks and real estate management companies, as well as boards of directors and special committees of public companies in the context of mergers, acquisitions and other significant transactions.

Dibble received his J.D. from the University of California at Berkeley, Boalt Hall School of Law (1998), where he was a John M. Olin Scholar in Law and Economics and the Technical Editor for the Berkeley Journal of International Law. He earned his A.B., with honors, in Quantitative Economics from Stanford University (1992). In 2003, he earned the Chartered Financial Analyst® designation. He is a member of the Corporations Committee of the Business Law Section of the State Bar of California.

Employment Law 360: Legislation to Watch in 2007
Employers will be confronted with new challenges in 2007, as the 110th Congress is expected to consider legislation that could expand workers' rights, raise the federal minimum wage and empower labor unions.

These potential changes translate into a high probability that litigation will increase in the coming year, according to labor and employment lawyers.

Nelson Named Fellow of American Academy of Trial Counsel
Carol Sue Nelson, a shareholder at Maynard, Cooper & Gale, P.C., has been selected as a Fellow of the American Academy of Trial Counsel. The American Academy of Trial Counsel is a legal honorary comprised of lawyers who have exhibited accomplishment in litigation and trial work, and have superior ethical reputations. Nelson has been an attorney for almost 30 years practicing in the area of Labor and Employment.

Nelson's practice focuses on employment litigation and advising and counseling clients on employment issues, affirmative action and OFCCP. She graduated magna cum laude from Cumberland School of Law in 1977 where she was a member of Curia Honoris.

Nelson graduated summa cum laude from Auburn University in 1974. She has been named in Best Lawyers in America® 2007 for Labor and Employment Law and in America’s Leading Lawyers for Business 2006 by Chambers USA for Employment. Nelson is a member of the Labor and Employment and Litigation sections of the American Bar Association and the Labor and Employment section of the Alabama State Bar Association. She is a member of the Alabama Law Institute and a former member of the Executive Committee of the Birmingham Bar Association.

Nelson is Chair of the Governor’s Alabama Women’s Commission, a member of the Dean’s Advisory Committee for the Cumberland School of Law and a member of the Dean’s Advisory Committee for Auburn University’s College of Liberal Arts. She is also a member of the Women’s Network and Drive Out Breast Cancer.

Derden Named Partner in Charge of Houston Office
Adams and Reese is pleased to announce that A. Christopher Derden has been named Partner in Charge of the firm’s Houston office. As Partner in Charge, Derden will be responsible for the overall administration of the firm’s Houston office.

Derden is a member of the Environmental & Toxic Tort Practice Team and the Class Action and Complex Litigation Practice Teams. His law practice includes work in the areas of toxic tort, products liability, mass tort, class action, oil and gas litigation and employment law.

Derden received his Bachelor of Arts from Baylor University in 1990 and his Juris Doctor degree from South Texas College of Law in 1994. He is admitted to practice before all courts in the state of Texas and the United States District Court for the Southern District of Texas. He is a member of the Houston Bar Association, Texas Bar Association and the Defense Research Institute.

Villa Selected for Leadership Louisiana 2007
Troy Villa, Partner in Charge of the Baton Rouge office of Adams and Reese LLP, has been selected to participate in Leadership Louisiana 2007. The Leadership Louisiana program is a nationally recognized program that enhances the capacity of leaders from across the state. All aspects of the program are designed to empower participants and the members themselves serve to inspire and motivate their peers. With over 720 Alumni, the program boast nearly 20 successful years.

Villa is a member of the firm’s Banking and Finance Team in the Transactions and Corporate Advisory Services Practice Group. He represents both lenders and borrowers in leveraged financing transactions, mezzanine financing, private equity funding, venture capital and other high-yield credit facilities. He also represents clients in a wide variety of business transactions, including the structuring, negotiation and drafting of contracts and agreements related to mergers and acquisitions, corporate reorganizations, limited liability company and other entity formations and restructuring and other general corporate matters.

Villa received his Bachelor of Science degree from Nicholls State University in 1986 and his Juris Doctorate from Louisiana State University Law School in 1990. While in law school, he served as senior editor of the Louisiana Law Review and authored "The Status of Enforcing Fiduciary Duties in a Limited Partnership, Vol. 49 L.L. Rev. 1217 (1989)."

Villa is a member of Louisiana Association of Business and Industry (Tax and Finance Council), the Louisiana Bar Association and the Baton Rouge Bar Association. He is also active in civic and community organizations. He has served on the Board of Directors of the American Red Cross-Louisiana Capital Area Chapter since 1998 and as chairman of that organization for 2002-2003. He also serves as the Treasurer of the Board of Directors of the Academic Distinction Fund in Baton Rouge, a private community education fund; and as a director for the Diocese of Baton Rouge Catholic School Board.
