Thelen Reid Brown Raysman & Steiner Adds Five Attorneys to Technology and Outsourcing Practice
Thelen Reid Brown Raysman & Steiner LLP continues its post-merger expansion with the addition of five new attorneys in the firm's Technology, Media, and Communications (TMC) Department.

Richard Green, formerly of Connecticut's Wiggin and Dana, has joined the firm as a partner in the Hartford office. Making the move with Green are former Wiggin associates Craig Conte, Betsy Golden, and Kasia Lessard. Conte will be resident in the firm's New York offices, while Golden and Lessard will be based in Hartford. Also joining the Technology practice in New York is associate Ieuan Jolly, who comes to the firm from the London office of Pillsbury Winthrop Shaw Pittman, where he practiced in the Global Sourcing and Technology Department.

For Green and Conte, joining Thelen Reid Brown Raysman & Steiner is something of a homecoming as both lawyers started their careers with Brown Raysman in the 1990's. "We are very pleased to welcome Rich and Craig back to the firm," said Jeffrey Neuburger, Chair of Thelen Reid Brown Raysman's Technology, Media, and Communications practice. "Rich's established client base and knowledge of the IT and outsourcing landscape make him a great addition to one of our signature departments."

Green's choice of Hartford as the home office for his group also allows the firm to re-establish one of its core practice groups in New England. "With his drive, savvy, and strong marketing skills, Rich represents a formidable emerging IT talent," said Hartford office Managing Partner Norman Roos. "With the addition of Rich and his team, we can greatly enhance our position to perform IT work generated in Hartford and elsewhere throughout the firm."

Green and his team will continue to focus their practice on the representation of customers and vendors in technology, intellectual property, e-business, and outsourcing matters. On the customer side, Green will continue to represent large, Global 1000 companies such as Tokio Marine Nichido, while companies in the emerging to mid-cap category, such as FusionPoint LLC, will remain the focal point of his vendor-side work. Rich and his team will also leverage the firm's global reach to help them better serve their international clients, including UK-based Office-Shadow Ltd.

Green said it was the combined firms' global capabilities that proved the deciding factor in drawing his group to the firm. "There are a lot of good corporate practices out there testing the IT and outsourcing waters, but no one has the combination of organic global presence and genuine technology and outsourcing experience offered by the merger of Thelen Reid and Brown Raysman," Green said. "When we looked at what globalization really means for our clients-the further opening of capital markets, a focus on outsourcing and technology, and the necessity to do business in or with China-Thelen Reid Brown Raysman & Steiner presented the most compelling platform."

Green received his law degree from the University of Connecticut in 1998 and graduated, summa cum laude, from the Honors Scholar Program at Central Connecticut State University with a B.A. in 1995. He served as a non-commissioned officer in the U.S. Marine Corps until 1991. In 2006, Green was named a "Best Lawyer" in Connecticut.

Stoel Rives Partner Elected President of Oregon Historical Society
Guy Randles, a partner at Stoel Rives and chair of the firm’s Construction and Design group, was recently elected president of the Oregon Historical Society (OHS). He will preside over OHS as it pursues initiatives such as the commemoration of the 150th anniversary of Oregon statehood, scheduled for 2009.OHS was formed in 1898 and has published its journal, Oregon Historical Quarterly, continuously since 1900. It operates a museum, a research library that contains one of the nation’s most extensive collections of state history material, and a variety of educational programs. OHS also brings internationally recognized historians to Portland for an annual lecture series, the Mark O. Hatfield Distinguished Historians Forum.

“This is a particularly exciting time for the Oregon Historical Society,” says Randles. “We have a new Executive Director and some real momentum in increasing funding to further our mission of historic preservation and public education.” He notes that OHS is important to the community because “understanding history is crucial to understanding the present and planning for the future—it gives you deeper insight into human nature and societal patterns.”

Randles has been an OHS board member since 2002 and has served on several of its managing committees, including the Development Committee and the Executive Committee. He is the third Stoel Rives partner to become the organization’s president. He has also served on the boards of numerous other nonprofits, including the Campaign for Equal Justice, Oregon Independent College Fund, Catholic Charities and Multnomah County Legal Aid Service.

Randles concentrates his law practice in construction, contract and public procurement matters. He has extensive contracting, litigation and mediation experience, and is in much demand as a mediator and arbitrator to resolve disputes. He is a frequent writer and speaker on construction-related legal issues and has been selected by his peers for inclusion in the Construction Law category of The Best Lawyers in America (2004-06). Randles received his B.A. with highest honors from the University of Notre Dame and his J.D. from Boalt Hall School of Law at the University of California Berkeley.

Veteran Northrop Grumman Corporate Counsel, John Mullan, Joins Sheppard Mullin Los Angeles
John Mullan has joined the Los Angeles office of Sheppard, Mullin, Richter & Hampton LLP as part of the firm's Corporate practice group. Mullan was most recently corporate vice president and secretary with Northrop Grumman Corporation in Los Angeles.

"We're very pleased to welcome John to the firm and to the Los Angeles office," said Randy Short, head of the firm's Corporate practice group. "As in-house counsel of client Northrop Grumman, we have worked closely with John for years. He is an excellent business lawyer who will be a valuable addition to our practical approach to assisting clients. We are thrilled to have him join the Corporate group."

Commented Mullan, "I am excited about this relationship with a premier firm and am looking forward to working closely with Sheppard Mullin's practice groups and clients. Having previously practiced with a law firm, as well as in-house, I've gained valuable perspective from both sides and am familiar with the challenges each faces."

In related news, Sheppard Mullin recently launched an Aerospace and Defense M&A practice, led by Los Angeles-based Corporate partner Larry Braun. "Our attorneys have 100+ years combined experience serving aerospace and defense industry clients and have worked on all types of corporate transactions, including M&A, joint ventures, and public and private offerings," commented Braun. "Whether it is a private equity firm or a technology company, our clients know they can depend on the group's professionals to understand the business challenges and legal issues in which industry participants compete."

Mullan joined Grumman Corporation more than 30 years ago and was deputy general counsel at the time of its acquisition by Northrop in 1994. He has held a number of in-house legal positions at Northrop Grumman throughout the years, and has served as corporate vice president and secretary since 1999.

Previously, Mullan was an attorney with a registered investment advisor, a real estate development company and a law firm in New York. He earned an LL.B. from Columbia University, an LL.M. in Taxation from New York University, a BA (cum laude) from St. Johns University, and was a Woodrow Wilson Fellow at Stanford University.

From Negotiating Historic Environmental Agreements to Multi-Billion Dollar Deals, Pillsbury Helped Clients Break New Ground in 2006
As the new year gets underway, Pillsbury Winthrop Shaw Pittman looks back on a busy 2006 for the firm and its clients, which included several billion dollar transactions and prominent litigation victories that broke new ground and helped clients reach key business goals.

Among the major transactions Pillsbury handled in 2006 were:

Multi-Billion Public Offering. Pillsbury represented underwriters ABN AMRO Rothschild, Goldman Sachs JBWere and UBS Investment Bank in an approximately $12 billion secondary offering for Telstra Corp. Ltd., Australia's leading telecommunications and information services provider. Issued by the Commonwealth of Australia, the offering was the largest ever in Australia and the second largest global equity offering of 2006. Lead partner: Bob Meyers (Sydney)

Winkler Co. Sells Real Estate Portfolio. Pillsbury fielded a cross-disciplinary team of real estate, corporate, tax and litigation attorneys to help the Mark Winkler Company simultaneously sell-off its entire real estate portfolio. The deal, valued at $2.3 billion, was the largest-ever, one-time disposition of real estate assets in the DC area. Lead partner: John Engel (Washington, DC)

Varig Airlines Submits Restructuring Plan. Varig Brazilian Airlines, one of the largest airlines in Latin America, turned to Pillsbury in the first-ever bankruptcy filed in Brazil under a new and untested law there. Varig and its lawyers at Pillsbury ultimately convinced creditors to approve a restructuring plan that included a sale valued at $24 million. At the time of its filing, Varig reported debt of $2.8 billion. Lead partner: Rick Antonoff (New York)

Taking PETCO Private. Pillsbury represented the Committee of Independent Directors of PETCO Animal Supplies Inc., in a $1.8 billion bid to go private. The deal was among the biggest and most controversial transactions of 2006, as it featured two competing bidders, one of which was brought by a rival company and the other brought by PETCO's former owners. FPL Acquires Wisconsin Nuclear Plant. Pillsbury advised FPL Energy LLC in the $998 million acquisition of the Point Beach Nuclear Plant in Wisconsin. The sale was the largest of FPL's three nuclear plant acquisitions handled by Pillsbury, and among the largest nuclear deal acquisitions ever signed in the U.S. Lead partner: John O'Neill (Washington, DC)

Marvell Acquires Intel Corp. Unit. Pillsbury represented communications client Marvell Technology Group Ltd. in its $600 million carve-out acquisition of Intel's handheld chip unit. Lead partner: David Lamarre (San Francisco)

Stock Option Backdating Investigations. Pillsbury was among the leading firms in 2006 to advise clients after the first wave of government investigations into the backdating of stock options hit mid-year. Drawing on 40 lawyers from the firm’s executive compensation and benefits, tax, corporate investigation, securities and litigation practices, Pillsbury now represents more than a dozen clients, conducting internal investigations for audit committees, and responding to inquiries from government agencies including the SEC, IRS and Dept. of Justice, as well as assisting companies in responding to delisting notices. The firm is also defending companies and individual officers and directors in related shareholder litigation and securities class actions. Lead partner: Jeffrey Ross (San Francisco)

Teck Cominco’s Historic Settlement Agreement with EPA. Pillsbury helped metals company Teck Cominco negotiate a historic settlement agreement with the U.S. EPA to conduct a special study on the ecological and human health conditions of the Columbia River from the Grand Coulee dam to the Canadian border. This landmark agreement, which includes the participation of the Government of Canada, the US Department of the Interior, the State of Washington, and the Spokane and Confederated Colville Tribes, may help establish the pattern by which transboundary pollution issues between Canada and the U.S. will be dealt with in the future and will serve as a template for how nations resolve pollution challenges that straddle national boundaries. Antitrust Victory for Sinclair Broadcast Group. Pillsbury recently obtained a complete victory for Sinclair Broadcast Group, Inc. in an antitrust case when a U.S. District Court judge in Des Moines denied plaintiff’s motion for preliminary injunction. Sinclair had to defend itself against allegations from cable company Mediacom that Sinclair violated antitrust laws by tying major network stations (ABC, CBS, NBC and Fox) with minor network stations (CW and MyNetworkTV). Ultimately, the judge agreed that Mediacom failed to demonstrate an unlawful tying arrangement and that their claimed injury was not redressable under the antitrust laws. This matter unfolded at lightning speed, with Pillsbury securing victory for the client within two weeks of being hired. Lead partners: Kathryn Schmeltzer and Richard Liebeskind (Washington, DC)

Fellowes Shreds the Competition in Patent Case. Pillsbury won summary judgment on behalf of document storage and office products company, Fellowes, Inc., in a patent infringement suit filed by Taiwanese manufacturer Michilin Prosperity Co. Michilin alleged that a certain model of Fellowes’ “Powershred” office shredder infringed a Michilin patent. Fellowes’ motion for summary judgment of non-infringement had previously been denied twice on the belief that the issues raised by Michilin required a jury trial on questions of fact. But the Judge vacated and reversed his own previous two rulings after Pillsbury, relying on patent law’s doctrine of equivalents, argued on behalf of Fellowes that Michilin disclosed, but did not claim, an embodiment of Michilin’s invention. Failure to do so meant that a key feature of the product was dedicated to the public and therefore not suitable for protection in this action. Colonies Partners Receives Landmark Settlement from San Bernardino County. After a four-year legal battle and a six-week trial, San Bernardino County Supervisors approved a $102 million cash settlement for Pillsbury client Colonies Partners LP. The settlement, which related to a dispute over whether the county was responsible for flood control improvements to handle water runoff from a newly extended freeway that was being drained onto Colonies’ property, is the largest in the county’s history. In the settlement, the County Flood Control District was held responsible. Lead partners: Richard Ruben (Orange County) and Scott Sommer (San Francisco)
