BINGHAM MCCUTCHEN ELECTS 11 LAWYERS TO PARTNERSHIP IN U.S. OFFICES
Bingham McCutchen LLP has elected 11 attorneys from five U.S. offices to its partnership.
The lawyers span the firm’s corporate, finance, litigation and securities areas. Their partnership status became effective January 1, 2007.
“These excellent new partners reflect Bingham's continued and focused growth, our geographic reach and the depth of our practice areas,” said Bingham Chairman Jay S. Zimmerman.

Boston
• Newton Davis, an attorney in the Corporate, M&A and Securities Group, represents corporate clients, as well as private equity sponsors and their portfolio companies, in structuring, negotiating and implementing a variety of domestic and international transactions, including mergers, acquisitions, divestitures and recapitalizations. He is a 1996 graduate of the Columbia University School of Law.
• Jason Frank, an attorney in the Securities Litigation Group, defends clients in shareholder class actions, derivative suits, Securities and Exchange Commission proceedings, and mergers and acquisition-related litigation. He has represented clients in trial and appellate courts throughout the United States, as well as before the American Arbitration Association, the National Association of Securities Dealers and the New York Stock Exchange. • Steven Giordano, an attorney in the Investment Management Group, focuses on the formation of domestic and offshore private investment funds, including hedge funds, private equity, venture capital, real estate investment funds and funds of funds, from both a legal and tax perspective. • Siobhan Mee, an attorney in the Complex and Class Action Litigation Group, focuses her practice on a broad range of commercial litigation. She handles complex matters in state and federal courts, arbitration proceedings, and regulatory proceedings. She represents national and regional corporations as well as individuals in contract disputes, fraud and other tort claims, various securities matters, and environmental investigations. She is a 1998 graduate of the Boston College Law School.
• Glen Openshaw, an attorney in the Corporate, M&A and Securities Group, provides counsel to a wide range of public and private companies in general corporate matters, strategic matters and transactions, including public and private securities offerings and mergers and acquisitions of public and privately held companies. He is a 1997 graduate of Brigham Young University's J. Reuben Clark Law School.
• Michael Weissmann, an attorney in the Broker-Dealer Group, represents national and regional broker-dealers, investment advisers, and registered representatives in customer arbitrations, in court, and in regulatory proceedings and investigations before the SEC, NASD, NYSE and state regulators, advising those clients on a number of compliance issues. Two Buchanan Ingersoll & Rooney Attorneys Selected as Virginia Rising Stars
Two Buchanan Ingersoll & Rooney attorneys have been named as 2007 Virginia Rising Stars by Virginia Super Lawyers — Rising Stars Edition, published by Law & Politics, a division of Key Professional Media, Inc.

The attorneys selected are shareholder Susan M. Dadio and associate Travis D. Boone of the firm's Alexandria office.

The list of Virginia Rising Stars will be published in the January 2007 edition of Richmond magazine. The honor is given to just 2.5 percent of Virginia attorneys, and the selection process includes peer nominations as well as independent research on candidates.

Susan M. Dadio is a member of the firm's Intellectual Property Section. She focuses on complex patent litigation and inter parte matters, as well as patent procurement and portfolio management. Joao Pessoa is a city of 650,000 and is located on the easternmost tip of Brazil and, in fact, of all South America. The two mayors are exploring a possible Sister City relationship because the State of Connecticut is a Sister State to the State of Paraiba and the two cities are the respective state capitals.

Prominent Government Relations & Public Finance Team Joins Buchanan: David Sweet Leads Group in Harrisburg
Buchanan Ingersoll & Rooney PC announced today that a three-attorney team led by shareholder David Sweet — former member of the Pennsylvania House of Representatives (D-Washington County) and campaign manager of Ed Rendell's successful run for Pennsylvania governor in 2002 — has joined the firm in its Harrisburg office. Accompanying Sweet are shareholder Donna Kreiser and counsel Eloise Frazier, both of whom have significant governmental experience. The group brings to Buchanan a collective 70 years of government relations and public finance experience, including regulatory matters, legislative advocacy and bond financings. All three attorneys join the firm from Pepper Hamilton.

According to Sweet, Buchanan Ingersoll & Rooney was of particular interest to the group following the merger last summer between Buchanan Ingersoll and Klett Rooney.

"The operation at Buchanan is very focused and intent on the things that we do best — government relations and public finance — and that made all the difference to us," he said. "I know a lot of people at the new Buchanan, and I have great respect and admiration for the firm and management's plans to grow the organization."

Buchanan CEO Tom VanKirk said Sweet, Kreiser and Frazier were welcome additions to the firm.

"While their practice is in a market where we've seen recent growth, it's clear that the addition of this outstanding group will benefit all of our offices in the commonwealth of Pennsylvania. These extremely talented individuals expand our existing government relations and public finance practices, and that growth is in line with the strategic goals we've established on a firmwide basis. We know this will allow us to serve all our clients even better."

Sweet has represented clients before state and local government agencies, boards and commissions, and in matters before the Pennsylvania General Assembly and the Governor's Office. Most recently, he has been representing the Commonwealth of Pennsylvania in its oversight responsibility for the expansion of the convention center in Philadelphia, a project worth $700 million. He also served as the executive director of Governor Rendell's 2003 transition team.

Kreiser and Frazier, both Republicans, worked for former Pennsylvania Governor Tom Ridge. Kreiser was the former deputy counsel in the Pennsylvania Governor's Office of General Counsel, and Frazier served as deputy general counsel for legislation in the first year of Ridge's administration.

John Quain, co-head of Buchanan's Harrisburg office and former chairman of the Pennsylvania Public Utility Commission, indicated that the firm anticipated demand for the services the three attorneys have to offer in the region. "Harrisburg continues to be a focal point for growth at Buchanan. We have two centers of practice here — a law center and a government relations center — that allow us room to literally grow and develop our practices."

About David Sweet

David Sweet is a shareholder in the Harrisburg office of Buchanan Ingersoll & Rooney PC and is a member of the firm's State Government Relations Section. He focuses on administrative and regulatory matters, legislative advocacy and public finance.

Sweet was a member of the Pennsylvania House of Representatives (D-Washington County) from 1977 to 1988. He was chairman of the House Local Government Committee for the 1987-88 legislative session, and through his efforts, major legislation on local tax reform, distressed municipalities and Pennsylvania's land use and zoning regulations was enacted.

He has represented clients before state and local agencies, boards and commissions, and in matters before the Pennsylvania General Assembly and the Governor's Office. As bond counsel or underwriter's counsel, he has participated in a variety of projects where counties or authorities have issued more than $3 billion in bonds and notes.

In 1993-94, Sweet chaired Pennsylvania Gov. Casey's Commission on Corrections Planning and the Pennsylvania Chamber of Business and Industry's State Government Committee. In 1991, he received the County Commissioners Association of Pennsylvania's "Friend of County Government Commendation," which is the highest award the association gives to a non-member. He also has received awards from the Pennsylvania League of Cities, the Commission on Crime and Delinquency, the Economic Development Association and the Southwestern Pennsylvania Regional Planning Commission.

Sweet serves on the Board of Trustees of the University of Pennsylvania, and is vice chair of the board of Pennsylvania Partnerships for Children. He is a member of the American, Pennsylvania and Washington County Bar Associations, the National and Pennsylvania Association of Bond Lawyers and the Pennsylvania Association of Health Care Lawyers.
Sweet received his J.D. degree from the Dickinson School of Law, his M.A. degree from the University of Chicago and his B.A. degree from the University of Pennsylvania. He is admitted to practice in Pennsylvania.

About Donna Kreiser

Donna Kreiser is a shareholder in the Harrisburg office of Buchanan Ingersoll & Rooney PC and is a member of the firm's State Government Relations Section. She focuses on public and project finance, economic development and real estate matters. She has served as underwriter's counsel, trustee's counsel and bank counsel in public finance transactions.

As former deputy general counsel in the Pennsylvania Governor's Office of General Counsel (OGC), Kreiser was OGC's chief legal liaison with the Pennsylvania Housing and Finance Agency, the Department of Community and Economic Development, the Pennsylvania Infrastructure Investment Authority and the State Employees' Retirement System. She was OGC's liaison on all public finance transactions, working directly with the issuing agencies. She appointed and worked with bond counsel and reviewed and approved all bond documents for the governor's signature.

Kreiser also was chief counsel to the Pennsylvania Historical and Museum Commission, counsel to the first lady's staff and the Governor's Residence and the general counsel's designee on the Board of Finance and Revenue.

Before joining the OGC, Kreiser was associate general counsel and assistant secretary at McCrory Corporation in York, Pennsylvania, at the time the largest retail variety store chain in the country. She supervised all real estate matters for the company, including lease agreements, acquisitions, sales of properties and other matters. She coordinated with bankruptcy counsel during McCrory's Chapter 11 proceeding, including the closing and disposal of more than 500 stores.

Appointed by Governor Ed Rendell to serve as commissioner on the Pennsylvania Commission for Women in 2003, she previously served as chairperson of the Commission, having been appointed by then-Governor Tom Ridge in 2001. In 2002, Donna was appointed by the Senate of Pennsylvania to serve on the board of trustees of the Thaddeus Stevens College of Technology in Lancaster. She is a member of the Board of School Directors of the Columbia Borough School District.

Kreiser is a member of the Pennsylvania and Dauphin County Bar Associations, the National Association of Bond Lawyers and the Pennsylvania Association of Bond Lawyers. She received her J.D. degree from the University of Pittsburgh School of Law and her B.A. degree, magna cum laude, from Shippensburg University. She is admitted to practice in Pennsylvania.

About Eloise Frazier

Eloise Frazier is counsel in the Harrisburg office of Buchanan Ingersoll & Rooney PC and is a member of the firm's State Government Relations Section. She focuses her practice on the representation of major corporate, health care and environmental clients and is experienced in public finance.

With more than 15 years of experience in the Pennsylvania legislature, the Pennsylvania Governor's Office and the U.S. Attorney General's Office, Frazier served as deputy general counsel for legislation in the first year of Pennsylvania Governor Tom Ridge's administration (1995-96). She has held various positions within the Republican Caucus of the House of Representatives, including several years as director of legislative programs for the Republican leader. Her services in the administrations of Governors Ridge and Thornburgh included close contacts with the leaders and staff of the Democratic and Republican Caucuses of the House and the Senate.

During her tenure with the U.S. Attorney General's Office, Frazier developed contacts in various federal agencies and on Capitol Hill, and worked closely with staff of The White House, the National Security Council and the Department of State.

In addition to her presence in Pennsylvania government, Frazier is skilled in legislative and regulatory drafting. She has assisted clients with drafting complex legislation, including reform of the medical professional liability insurance system, preparation of new regulations, public-private partnerships for transportation, and drafting and introduction of legislative and regulatory amendments. Her knowledge of the budget process has enabled her to provide assistance to clients with regard to preferred and non-preferred appropriations and obtaining authorization for and release of projects in a capital budget.

Frazier's finance work has included representation of both issuers and underwriters and has involved the issuance by local governments and agencies of revenue bonds, general obligation bonds, refunding bonds and tax and revenue anticipation notes. Her experience covers both tax-exempt and taxable issues.

She received her J.D. degree from Dickinson School of Law and her B.S. degree, with highest honors, from the Pennsylvania State University. Frazier is a member of the Pennsylvania and Dauphin County Bar Associations and the Pennsylvania Association of Bond Lawyers. She is admitted to practice in Pennsylvania.
