Cozen O'Connor Attorney Theodore Z. Davis Appointed Interim Chief Operating Officer of City of Camden
Cozen O’Connor member Theodore Z. Davis has been appointed interim Chief Operating Officer of the City of Camden by New Jersey Governor Jon Corzine. A former judge of the Superior Court of New Jersey and a former presiding judge of the Chancery Division - General Equity in Camden County, Davis practices in the general litigation department of the firm’s Cherry Hill office.

Over the course of his career, he served on a part-time basis as an assistant city attorney for the City of Camden, N.J., and as assistant county prosecutor for Camden County. The late New Jersey Chief Justice Richard J. Hughes appointed Davis a member of the Supreme Court Board of Bar Examiners in 1974 and he served as the board’s chairman until 1981. Davis was appointed to the post of Superior Court Judge in 1981, and was named the Presiding Judge of the Chancery Division - General Equity in 1991.

Davis is the former chair of the New Jersey Supreme Court Task Force on Minority Concerns, the first task force of its kind in the United States, and is an advisor to community groups and institutions. Davis serves on the board of trustees of Temple University and on the board of the Temple University Health System. He is also a lecturer on legal topics and was an adjunct professor at Temple University School of Law for seven years. Davis is a member of the National, New Jersey and Camden County Bar Associations.

Davis earned his undergraduate degree from Temple University’s School of Business (B.S., Accounting) and his law degree from Temple University School of Law (L.L.B., 1963). He is admitted to practice in New Jersey and before the U.S. Supreme Court, the U.S. District Court for the District of New Jersey, the U.S. Court of Appeals for the Third Circuit and the U.S. Tax Court.

Cozen O'Connor Announces Changes in Department and Practice Group Chair Positions
Cozen O’Connor recently announced that Michael J. Heller has been named chair of the business law department, and Mark Foley has been named chair of the labor and employment practice group. Heller succeeds Edward L. Baxter, who for the past three years has led the business law department, overseeing the following practice groups: corporate, real estate, bankruptcy, patents, trademarks, health law, trusts and estates, and energy, environmental and utility. Foley replaces Jeffrey I. Pasek, who has chaired the labor and employment practice group since its inception and will now devote full-time attention to his client base. Both Heller and Foley are members in the firm’s Philadelphia office.

Heller, formerly vice chair of the business law department, is a member of the firm’s management and executive committees and also heads the emerging business and venture capital practice area. His practice is devoted to representing and counseling venture capital groups, private equity firms and other investors in equity and financing transactions as well as entrepreneurs and emerging growth companies, from the formation and business planning stage to forming, structuring and negotiating joint ventures and strategic alliances, technology licensing, transfer and development, negotiating and structuring angel, venture and other capital-raising transactions, mergers and acquisitions and initial public offerings.

Heller is a frequent speaker on venture capital and entrepreneurism in the mid-Atlantic region and is frequently quoted in local, regional and national publications on the subject. He is a member of the board of directors of the Greater Philadelphia Venture Group, Ben Franklin Technology Partners of Southeastern Pennsylvania and the Entrepreneur's Forum of Philadelphia, Inc.

A resident of Villanova, Pa., Heller received his undergraduate degree from The Pennsylvania State University (B.S., summa cum laude, 1986) and his law degree from Villanova University School of Law (J.D., magna cum laude, 1989), where he was editor of the Villanova Law Review and a member of the Order of the Coif.

Foley joined the firm in June 2006, along with three other labor and employment attorneys from the former Klett Rooney firm. He represents employers in all aspects of labor and employment law, with extensive experience in a broad range of matters under local, state and federal law. Foley was a member of Governor Rendell’s negotiating team in the Commonwealth of Pennsylvania’s collective bargaining negotiations with its 66,000 union employees and was lead negotiator for the City of Philadelphia in collective bargaining negotiations and interest arbitrations with the unions representing the city’s 22,500 union-represented employees.

“Mark is an extremely talented attorney, and will be an excellent leader for the group,” said O’Connor, “We are confident that Mark will lead the labor group in its expansion in size, reputation and geographic scope. Foley has been recognized by the Philadelphia Business Journal as one of the region’s 40 most dynamic young leaders, by Chambers USA as one of America’s leading business lawyers and is listed in The Best Lawyers in America. He is admitted to practice in Pennsylvania and is a member of the board of governors of the Pennsylvania Economy League and a member of the board of directors of the Philadelphia Chamber of Commerce.

Foley earned his undergraduate degree from The Pennsylvania State University (B.A., 1984) and his law degree from Villanova University School of Law (J.D., cum laude, 1987), where he was the associate editor of the Villanova Law Review and was elected to the Order of the Coif.

Andrews Kurth Expands National Real Estate Practice
AmLaw 100-ranked Andrews Kurth announced today that it has added a Real Estate group to its New York office. Three senior real estate attorneys, Richard Liebman, William Snedeker and Daniel Berk, will add an experienced real estate practice and capabilities to the New York office and expand the firm's national Real Estate practice to nearly 60 lawyers.

Liebman and Snedeker joined the New York office as Counsel in the firm's Business Transactions section on January 2, 2007. Berk will be joining as an Associate in the Business Transactions section on January 9, 2007. All three lawyers are formerly of Herzfeld & Rubin, P.C.

"We are very pleased to have lawyers of such caliber joining us at Andrews Kurth," said New York Deputy Managing Partner Lynne Fischman Uniman. "Their addition to the office will bring a sophisticated and highly regarded real estate practice to the New York office and improve the firm's capability to handle major real estate and related transactions for our clients."

Richard Liebman received his J.D. from Brooklyn Law School in 1980 where he was a member of the Brooklyn Law Review. He received his M.B.A. in finance and marketing management from Bernard M. Baruch College, City University of New York, in 1977. He graduated with a B.A. in economics from the University of Denver in 1973. Richard's experience is focused on real estate matters, real estate conduit financings, leasing and Brownfield transactions and includes retail commercial lease negotiations, 1031 Exchanges, complex real estate transactions and new construction issues.

William Snedeker received his J.D. from Georgetown University Law Center in 1983. He graduated with a B.A. from Amherst College in 1979, cum laude. William's experience includes public offerings of common stock, REIT interests and limited partnership interests in real estate partnerships and equipment leasing partnerships, private equity transactions, and representation of lenders and borrowers in acquisition financings, leveraged lease financings and conduit loan financings. He is a member of the Structured Finance Committee of the New York City Bar Association.

Daniel Berk received his J.D. from Brooklyn Law School in 1996. He received an M.S. in real estate development from New York University in 2005. He graduated with a B.A. in philosophy and political science from the University of Rochester in 1993, cum laude. Daniel's experience is focused on complex commercial real estate transactions, including, but not limited to, multi-state portfolio acquisitions, conduit financings and 1031 Exchanges.

Andrews Kurth Expands Corporate / Securities Practice
Andrews Kurth announced today that Lance Schuler has joined the firm as a Partner in the Corporate / Securities Practice.

"We are very pleased that Lance has joined Andrews Kurth," said Managing Partner Howard Ayers. "His extensive corporate experience will serve our clients well."

Lance has 20 years of legal experience. The last 12 of these were spent in various legal capacities with Enron Corp. where he was most recently a Managing Director and the General Counsel, Corporate Development.

Schuler received his J.D. in 1986 from The University of Texas School of Law, graduating with honors. He graduated with a B.B.A. in finance and management from The University of Texas in 1983, with honors.

Adelphia Bankruptcy Plan Approved
the U.S. Bankruptcy Court for the Southern District of New York approved Willkie client Adelphia Communications Corp.’s plan to pay creditors, ending one of the largest bankruptcy cases in U.S. history. Willkie has represented Adelphia in its bankruptcy proceedings since their inception in 2002. Adelphia was once the nation’s fifth largest cable television company comprising 230 legal entities. Last July, Adelphia sold substantially all of its cable operations to Comcast Corp. and Time Warner Inc. for $17.6 billion in cash and shares in Time Warner's cable unit. Under the approved plan, creditors will receive $15 billion of that amount in cash and Time Warner Cable shares. In his 267-page decision, U.S. Bankruptcy Judge Robert Gerber wrote “The plan has secured the assent of over $10 billion in claims, representing approximately 84 percent of the claims in this case.'' Judge Gerber noted that the “great bulk” of objections from a minority of creditors were without merit and were therefore rejected. The plan is governed by a so-called true-up mechanism, which allows the market to set the value of the Time Warner Cable shares once the plan goes into effect. At the time Adelphia filed for bankruptcy protection, it listed assets of $24.4 billion and liabilities of $18.6 billion. The Adelphia bankruptcy is one of the 12 biggest in U.S. history by assets. The multidisciplinary Willkie team representing Adelphia was led by partners Myron Trepper and Marc Abrams.

Daniel J. Anders Appointed to the Philadelphia Municipal Authority Board
Daniel J. Anders, an associate at Pepper Hamilton LLP, has been appointed by Mayor John Street to the board of directors of the Philadelphia Municipal Authority (PMA). Mr. Anders’ appointment was confirmed by Philadelphia City Council in December 2006. His term is for five years.

PMA is a quasi-public agency of the City of Philadelphia, created under the Pennsylvania Authorities Act of 1945. It has a five person board of directors and enters into long-term contracts on behalf of the City. Such contracts include service agreements, bond deals and office lease agreements for City properties.

Mr. Anders concentrates his practice in commercial litigation, with particular emphasis on federal securities, antitrust, insurance sales practice and ERISA class actions. He is active in many legal and civic organizations. Mr. Anders is the former president of the board of the Center for Lesbian and Gay Civil Rights and a founding board member of Liberty PA. He recently served as Chair of Mayor Street’s LGBT Advisory Board and as a member of the Economic Impact Committee of Mayor Street’s Gaming Advisory Task Force.

J. Anthony Manger Named Treasurer of NJ Ballet
The Somerville law firm Norris McLaughlin & Marcus, P.A. is pleased to announce that member J. Anthony Manger has been named Treasurer of the New Jersey Ballet for a one-year term. As Treasurer, Manger will be act as the Board of Directors’ representative in interacting with management on financial matters and overseeing, on behalf of the Board, the financial management of the organization.

The New Jersey Ballet has been designated a Major Arts Institution by the New Jersey State Council on the Arts for “artistic excellence, substantial programming and broad public service.” The New Jersey Ballet regularly performs at nine major venues throughout the State of New Jersey, including the New Jersey Performing Arts Center in Newark, the Paper Mill Playhouse in Millburn and the Community Theater in Morristown, among others.

As head of the Norris McLaughlin & Marcus Health Care Law Group, Manger has handled some of the largest and most significant health care mergers and acquisitions in New Jersey. He has assisted health care institutions in the formation of “captive” entities for the provision of liability insurance and health insurance for affiliated physicians and employees. He organized the State's largest medical malpractice insurer and, for many years, served as counsel to a national association of malpractice insurers. In addition, he has represented various parties in numerous health care capital finance transactions and has vast experience in health care regulatory, corporate and contract matters, patient care and other health care issues.

Manger has been recognized in the Health Care Law section of The Best Lawyers In America since 1993. He frequently speaks and writes on a variety of health care topics, and appeared on News 12 New Jersey to discuss New Jersey’s medical malpractice crisis. He is a member of the American Bar, American Health Lawyers, and the Healthcare Financial Management Association, as well as the American Institute of Certified Public Accountants. He is also a past Vice Chairman and Chairman of the Malpractice Insurance Committee of the New Jersey State Bar Association and a current Co-Chair of the Meritas Health Law Section Group.

Manger earned his J.D. from Columbia University in 1972 and his B.A. from Duke University in 1969.
