Morris, Manning & Martin Represents White Wolf Publishing in Merger
Morris, Manning & Martin (MMM) attorneys Bill Winter and Seth Weiner recently assisted White Wolf, Inc., White Wolf Publishing, Inc. and Arthaus Publishing, Inc., leading publishers of horror fiction and dark fantasy role playing games, in completing a merger with CCP hf for an undisclosed amount. White Wolf is based in Stone Mountain, Georgia. The new company will be known as CCP North America, Inc., but will continue to use White Wolf as its trade name.

Based in Reykjavik, Iceland, CCP hf is the creator of the world’s largest massively multiplayer online game universe, with participants playing in the same online universe from nearly every Internet-using country in the world. The combined companies hope to expand their worldwide presence with new on-line products in the horror fiction and dark fantasy genres.

In assisting White Wolf, MMM utilized its patent-pending Legal Project Management system to plan and manage the merger process. The project management tools, together with the advice of MMM’s project manager, Linda Klausing, provided White Wolf with weekly reports on open legal issues, document production, and legal fees, and aided White Wolf’s business team in successfully managing the complex cross-border transaction.

“I found MMM’s project management system to be an extremely informative resource – one that gave us a clear path from the very beginning,” said Mike Tinney, President of White Wolf Publishing, Inc. “Legal project management gave the process a level of transparency that allowed us to bring the right resources to bear in anticipation of each milestone and was ultimately one of the main contributors to an on time closing.

HASKELL SLAUGHTER MANAGING MEMBER REYNOLDS NAMED TO BOARD OF DIRECTORS OF BIRMINGHAM METROPOLITAN DEVELOPMENT BOARD
Thomas E. Reynolds, Managing Member of Haskell Slaughter Young & Rediker, LLC, has been named to the Board of Directors of the Birmingham Metropolitan Development Board (MDB). Reynolds will serve an initial three-year term, from 2007 through 2009, joining more than 70 other community leaders on the Board.

"We are delighted that Tom will be able to join the Metropolitan Development Board, which sets the leading policies on economic development for our community," stated MDB President Theodore J. vonCannon. "His firm's record of business and community stewardship will surely prove invaluable to advancing our activities."

The MDB is a private, non-profit economic development organization established in 1971 to promote Birmingham, Alabama's seven-county metropolitan area as a low-cost, high-return business location. The MDB focuses economic development and job creation activities for Bibb, Blount, Chilton, Jefferson, Shelby, St. Clair and Walker counties. Companies interested in the Birmingham area can visit the organization's Web site at www.mdb.org for information on demographics, incentives and other key economic development factors.

"As our Managing Partner, Tom's service on the MDB reflects the range of services and collective experience that Haskell Slaughter offers domestic and overseas clients," stated Frank M. Young III, leader of the firm's International Law and Immigration practice team. "Throughout its history, our firm has assisted clients with governmental relations and regulatory issues, litigation, securities law compliance, site acquisition, public finance, economic development incentives and immigration concerns in Alabama and throughout the Southeast. Along with MDB, we are committed to the continued economic growth of the greater Birmingham metropolitan area."

Mr. Reynolds's appointment to the MDB Board of Directors complements Haskell Slaughter's established practices in governmental relations, public finance, international law and economic development. The firm represents both Southeastern companies competing in the global marketplace and foreign businesses looking to expand in the United States, and is one of the few law firms in Alabama that combine significant immigration law experience with full-service litigation and transactional capacities. The firm's International law and Immigration practice team has particular expertise in representing Chinese and German clients in United States ventures and in representing Alabama clients doing business in China and Germany. In addition, Haskell Slaughter is the only Alabama member of TAGLaw, a worldwide network of law firms that pools the resources of 150 law firms in over 90 countries to provide member firms' clients with sophisticated legal services wherever their needs may arise.
