Shearman & Sterling Advises on $168 Million Financing for Logan’s Roadhouse
Shearman & Sterling represented Wachovia Bank, NA as administrative agent and collateral agent and Wachovia Capital Markets, LLC as sole bookrunner manager and sole lead arranger of a $168 million financing for Logan's Roadhouse, Inc. The financing was in connection with the completion of the purchase of the company from CBRL Group, Inc. by a company formed by Bruckmann, Rosser, Sherrill & Co. Inc., Canyon Capital Advisors LLC, Black Canyon Capital LLC, and other equity investors.

Logan's Roadhouse, Inc. based in Lexington, Kentucky, is known as the "The Real American Roadhouse®," a place where guests can come as they are and be themselves while enjoying entrees from a high quality, moderately priced menu that includes aged steaks hand-cut on the premises.

Charles Inducted to American College of Bankruptcy
Lewis and Roca is pleased to announce that Rob Charles, a Partner with the firm’s Tucson office, has been invited to become a Fellow of the prestigious American College of Bankruptcy. The induction ceremony will take place in Washington, D.C. on March 23, 2007. Charles joins his partners Gerald K. Smith and Susan M. Freeman in the College.

Charles is a partner in the firm’s Finance and Bankruptcy practice groups, practicing throughout Arizona and Nevada. He represents clients in business bankruptcy cases, commercial lawsuits and business transactions. Charles received his J.D. from the University of Arizona, James E. Rogers College of Law (1982, with Distinction), where he teaches Business Reorganization in Bankruptcy. He earned his B.A. from the University of Arizona.

Jaeckle Fleischmann Attorneys To Present At Rochester Capital Forum

Mr. Estes is Managing Partner of the Firm's Rochester office and is also a member of the Firm's Business & Corporate, Emerging Company and Intellectual Property practice groups. Mr. Estes concentrates his practice on advising emerging high-tech companies on legal and business issues, including how to develop and protect their intellectual property assets and secure various stages of funding. Mr. Estes is a founding member of UVANY, an organization of private equity investment firms sharing common goals of advancing the number, scale and quality of private equity investments across New York State. He is also a representative of the Genesis Fund, a unique seed capital fund serving high-tech start-ups across Upstate New York.

Ms. McGuire, Team Leader of the Firm's patent group, is a registered patent attorney admitted to practice before the U.S. Patent and Trademark Office. As a partner in the Firm's Intellectual Property and Emerging Company practice groups, she concentrates her practice on the preparation of patent applications, negotiating and preparing agreements including intellectual property licenses, and technical service, confidentiality and consulting agreements, and representing clients before the U.S. Patent and Trademark Office. HOWREY WINS FOR EFI
Howrey LLP’s Irvine-based patent litigation team has obtained a complete victory for long-time client EFI and its VUTEk printer division in defense of a patent lawsuit brought by Legget & Platt.

Judge Perry of the Eastern District of Missouri entered a summary judgment in VUTEk’s favor finding that all claims of Legget & Platt's asserted patent were invalid for anticipation and/or obviousness. Judge Perry also ruled, contrary to a prior Markman ruling, that all claims of the patent were invalid for indefiniteness.

This win represents an additional business victory for VUTEk, which recently released its next generation of two and three meter wide format printers. Legget & Platt added these printers to the lawsuit last month in hopes of a permanent injunction at a trial, to be set for early March. At the time the summary judgment motions were filed, VUTEk was starting the very costly process of having to redesign its ink curing systems to avoid the impact of an injunction that would have required retrofitting hundreds of installed printers and would have halted hundreds of millions of dollars of new revenue. With this victory, that issue is now moot.

Former Assistant United States Attorney Douglas Fuchs Joins Gibson Dunn's Los Angeles Office
Gibson, Dunn & Crutcher LLP is pleased to announce Douglas M. Fuchs will join the firm’s Los Angeles office as of counsel. Fuchs was previously an Assistant U.S. Attorney with the U.S. Attorney's Office in the Central District of California, where he served as Deputy Chief of the Major Frauds Section. He is recognized for the prosecution of former executives of Homestore.com.
