Weil, Gotshal & Manges Advises Monitor Clipper Partners on Acquisition of Vfw AG
The Frankfurt and Munich offices of the international law firm Weil, Gotshal & Manges LLP advised private equity investor Monitor Clipper Partners on the acquisition of 100% of the shares in Vfw AG, a leading provider in the field of reverse logistics, from Deutsche Post AG. The transaction is subject to clearance by the German antitrust authorities. The parties agreed not to disclose the purchase price.

The transaction team of Weil, Gotshal & Manges was led by partners Gerhard Schmidt, Christian Tappeiner (both Corporate, Frankfurt) and Tobias Geerling (Tax, Munich) and was assisted by associates Thomas Gemmeke, Michael Soergel, Bernhard Rehbein, Judith Garritzmann (all Corporate, Munich), Nicolai Nahrgang and Bjoern Strehl (both Corporate, Frankfurt), Christian Kuepker and Marc Gorbauch (both Tax, Munich) as well as Martin Buntscheck and Dr. Ingo Beuttenmueller (both Antitrust, Frankfurt).

OMM Represents Southern California Edison in Largest Wind Energy Contract in U.S. Power Industry History
O'Melveny recently represented Southern California Edison (SCE), the nation's leading purchaser of renewable energy, in negotiating a groundbreaking wind energy development transaction in which SCE contracted to purchase at least 1,500 megawatts of power from the massive Tehachapi renewable energy project. SCE, a subsidiary of Edison International (NYSE: EIX), is one of the nation's largest electric utilities, serving a population of more than 13 million in a 50,000-square mile service area within central, coastal and Southern California.

The agreement, the largest wind energy power purchase contract ever signed in the United States, is key to development of the Tehachapi Project by Alta Windpower Development, LLC, a subsidiary of Allco Financial Group Inc. of Australia, a global financial-services business. The contract, which more than doubles SCE's wind energy portfolio, envisions more than 50 square miles of wind parks in the Tehachapi, California region. Oak Creek Energy Systems Inc. of Mojave, California, is a partner with Allco in the development, construction and operations of the projects.

The deal team, led by partners Christine Tam and Greg Thorpe, included counsels Valerie Smith and Kris Cheh, associates Andrew Ellis, Jennifer Halvas, and Greg Pearman and former associate Aline Taireh. Partner Steve Warren advised on creditor's rights matters and partner Charles Read advised on regulatory issues.
