Simpson Thacher Represents Lopes in Initial Equity Offering
Simpson Thacher recently represented LPS Brasil - Consultoria de Imóveis S/A and its selling shareholder in an initial offering of common shares that closed on December 20, 2006. The transaction raised the U.S. dollar equivalent of approximately US$192 million in proceeds in a secondary offering. In addition, the underwriters exercised an overallotment option granted by the selling shareholder. The common shares were offered to the public in Brazil, with selling efforts to qualified institutional buyers in the United States under Rule 144A and to non-U.S. persons in Europe under Regulation S. LPS Brasil - Consultoria de Imóveis S/A is the largest real estate brokerage services firm in Brazil.

The Simpson Thacher team for the transaction consisted of Jaime Mercado, Andrea Andrezo, Grenfel Calheiros and Thiago Spercel (corporate), and Rob Holo, Jonathan Cantor and Peter Rosen (tax).

Paul Freehling quoted in Chicago Lawyer
An article in the January 2007 issue of Chicago Lawyer (Judge Easterbrook takes command of 7th Circuit) summarizes the influential tenure of Judge Easterbrook, the new chief judge of the 7th Circuit, and his recognition by scholars as a leading intellect in the judiciary.

Paul Freehling, a partner in Seyfarth Shaw and a veteran federal court litigator has appeared only once before a panel that included Easterbrook, but he said he has read nearly all of his opinions. "He's a brilliant writer; he can be very sarcastic. He gets right to the point that he is trying to make and makes it very clearly. There's no ambiguity in his decisions. He sometimes sees issues the attorneys didn't see." ... "Be prepared within an inch of your life," Freehling said. "Know what the issues are in the case, whether they've been argued up to that time or not. He may see issues that have never been argued. Be prepared to face a judge who can be exceedingly critical and harsh, but he's doing it because he's a brilliant intellect.

Seyfarth Shaw Names Allegra R. Rich New Full-Time Pro Bono Partner and Director of Philanthropy
Strengthening its commitment to public interest and community service, Seyfarth Shaw LLP, one of America’s leading full service law firms, has named Allegra R. Rich to the new position of full-time firm-wide Pro Bono Partner and Director of Philanthropy.

As Pro Bono Partner, Rich will be responsible for directing Seyfarth Shaw’s overall pro bono program in the firm’s nine offices throughout the United States, ensuring that legal and staff support is provided to maintain pro bono commitments and identifying additional opportunities for volunteer legal representation. As Director of Philanthropy, Rich will oversee the firm's community service activities and will manage the Seyfarth Shaw Charitable Foundation, through which attorneys and staff can suggest donations to qualified organizations on behalf of the firm. She will work closely with the firm's attorneys and staff to identify regional and national community service and charitable giving opportunities in order to provide the greatest possible benefit to the communities in which Seyfarth does business and the greatest possible support of the charitable and volunteer efforts of the firm's attorneys and staff. Previously, Rich, who started her legal career with Seyfarth Shaw, was a partner in the firm’s Labor & Employment Practice focused on employment discrimination matters and Employee Retirement Income Security Act (ERISA) litigation. She is returning to Seyfarth Shaw after a sabbatical during which she furthered her personal interest in community service and philanthropy.

DLA Piper launches uKNOW - a web-based global employment, benefits and pensions resource
DLA Piper today unveiled a new and innovative web-based resource for lawyers and human resources professionals: uKNOW.

uKNOW is the culmination of a project to promote global knowledge sharing and enable clients to access basic legal and business information about multiple jurisdictions. The site provides detailed advice for conducting business around the world and calls upon DLA Piper's global capabilities in employment and labour law.

The web-based knowledge portal, which will be available to DLA Piper's international clients, allows content searches by topic and country as well as providing worldwide business-centric news and legal updates. uKNOW will also provide details about employment-related client seminars and events happening in each of DLA Piper's 62 offices in 24 countries.

David Bradley, Head of Employment, Benefits and Pensions for EMEA and Joint Global Head of the group, commented: "uKNOW is a superb product. McDermott Named Among the Best Places to Work for GLBT Equality
Today, the Human Rights Campaign (HRC) released its annual list of the "Best Places to Work for GLBT Equality," naming McDermott Will & Emery among the 142 companies that achieved this honor. This recognition is given to companies who earn a 100 percent on the Human Rights Campaign Foundation’s Corporate Equality Index, which measures policies and practices implemented to promote fairness and equality in the workplace for LGBT employees.

In early 2006, McDermott formalized its Lesbian, Gay, Bisexual and Transgender (LGBT) Diversity Committee. Led by New York partner Lisa Linsky, the LGBT Diversity Committee's goal is to develop Firm-wide policies, programs and initiatives to maintain a supportive environment for all of our employees regardless of transgender or sexual orientation, gender identity or lifestyle choice.

"This is our version of the 'Good Housekeeping Seal of Approval' showing that these 142 companies have a philosophy of inclusion and are committed to fairness and equality for all Americans," said Joe Solmonese, HRC president. "Whether the seal is placed on recruiting materials used to attract new employees or prominently displayed at the entrance of a company’s store, this seal will act as a welcome mat for equality."

The 2006 HRC Corporate Equality Index rated companies on a scale of 0 to 100 percent on several factors, including whether they have a written non-discrimination policy covering sexual orientation; support transgender employees with written non-discrimination policies and benefits; offer inclusive health insurance, bereavement and family leave policies to employees with same-sex partners; offer diversity training; have LGBT employee groups; engage in appropriate and respectful advertising to the LGBT community; contribute to LGBT community organizations; and decline to engage in any activities that would undermine the goal of equal rights for lesbian, gay, bisexual and transgender people. The Human Rights Campaign is the largest national lesbian and gay political organization with members throughout the country.

Simon Firth Joins Kaye Scholer's Expanding Funds Practice in London
Simon Firth, a leading UK funds lawyer, has joined the London office of Kaye Scholer LLP to head the firm's domestic UK funds practice. Firth was previously a partner at Berwin Leighton Paisner LLP.

Simon has advised numerous UK and international fund managers on structuring and marketing a wide variety of investment funds and on related UK and EU regulation. He also has previous experience of US investment advisor regulation.

"Kaye Scholer's investment funds practice is core to the London office's strategic growth plans," said London office managing partner, Guilherme Brafman. "Simon's arrival will be a valuable addition to our team and provide us with a dedicated UK funds offering that few US firms can match."

Kaye Scholer's clients in London include numerous hedge fund managers, private equity firms and traditional investment managers.
